City Council Authorization for City to Accept Grants on Behalf of Toronto Atmospheric Foundation - by Councillor Mike Layton, seconded by Councillor Shelley Carroll

City staff confirm that the City can receive grants from charitable foundations and transfer them directly to Toronto Atmospheric Fund. Toronto Atmospheric Fund cannot receive charitable grants directly because Toronto Atmospheric Fund is a non-share capital corporation and therefore not a qualified donee. Under the Income Tax Act, the City is a qualified donee, as a registered Canadian municipality. The City has previously accepted grants on Toronto Atmospheric Fund's behalf to fund projects that align with Toronto Atmospheric Fund's mandate to advance solutions to climate change. This matter is time-sensitive and being presented as a Member Motion to avoid unnecessary delays in receiving the $150,000 grant from the Trottier Family Foundation. Toronto Atmospheric Fund anticipates applying for and receiving additional grants from charitable organizations for its programs. As an interim measure until the end of the current Council term, this Motion also seeks City Council authorization to allow appropriate City officials to enter into agreements for future grants and to receive and transfer funds to Toronto Atmospheric Fund, following review by the City. Beyond the term of this City Council, City staff advise that they and Toronto Atmospheric Fund are reviewing and updating the Toronto Atmospheric Fund governance framework, which will be the subject of future Council reporting, and may identify and recommend methods to simplify the receipt and transfer of charitable grants in the future. Toronto Atmospheric Fund and staff in the City Manager's Office, the Office of the Controller, the Chief Financial Officer and Treasurer and Legal Services have been consulted on this Motion and recommendations. Recognition of these funds will be included in Toronto Atmospheric Fund's financial reporting to the City.

2. City Council authorize the Chief Financial Officer and Treasurer to receive the $150,000 from the Trottier Family Foundation and transfer the funds to the Toronto Atmospheric Fund, in accordance with the Toronto Atmospheric Fund Act, 2005. 3. City Council authorize, until the end of the current term of City Council: a. the City Manager or designate, in consultation with the Chief Financial Officer and Treasurer, to negotiate and enter into agreements with foundations or other grantmaking institutions for other grants to the Toronto Atmospheric Fund that align with its mandate and on terms and conditions acceptable to the Controller and in a form satisfactory to the City Solicitor; and b. the Chief Financial Officer and Treasurer to receive such grants and transfer the funds to the Toronto Atmospheric Fund in accordance with the Toronto Atmospheric Fund Act, 2005.
