At its meeting held on May 21 and 22, 2025, City Council appointed the following members to the Board of Directors of TO Live for a term of office from May 23, 2025, to May 24, 2029, and until successors are appointed: Brett Hendrie Michael Herrera Sammy Lau These new appointments fill the positions previously held by Owais Lightwala who resigned on January 27, 2025 and Mustafa Humayun and Myriam Gafarou whose terms of office came to an end on May 22, 2025.

In accordance with Section 22 of the Board of Directors of TO Live By-law 2-2021, the Board will appoint members to the TO Live - Environmental, Social and Governance Committee, the TO Live - Finance and Audit Committee, and the TO Live - Human Resources and Stakeholder Relations Committee, and Chairs to the TO Live - Environmental, Social and Governance Committee and the TO Live - Finance and Audit Committee.

Update on TO Live Capital Projects Transition
The purpose of this report is to provide the Board of Directors of TO Live with an update on the process of TO Live transitioning its capital budget and plan to the City's Corporate Real Estate Management (CREM) Division, as per City Council's direction through Item EX19.20 St. Lawrence Centre for the Arts - Enhanced State of Good Repair Strategy and to provide clarity to item CT15.9 - Capital Projects Transition that was presented to the Board of Directors on April 17, 2025. Corporate Real Estate Management in collaboration with City staff from Purchasing and Materials Management Division (PMMD) and Legal Services, has worked closely with TO Live staff to develop a process to transition the oversight and delivery of TO Live's 2025-2034 Capital Budget and Plan and future capital plans, from TO Live to Corporate Real Estate Management. This includes the development of a governance framework that defines roles and responsibilities between TO Live and Corporate Real Estate Management in alignment with EX19.20 and the City's centralized capital delivery model. The framework is expected to be completed and implemented by the end of the third quarter of 2025. In the meantime, there are a number of projects that were planned or initiated by TO Live that require an evaluation and determination of whether, when, and how to proceed. As a starting point, an assessment was conducted by Corporate Real Estate Management, in collaboration with TO Live staff, to determine which of these projects are critical and must continue to progress in 2025. An interim strategy has been established to mitigate the risk of costly delays and operational disruptions, while ensuring appropriate Corporate Real Estate Management oversight as directed in EX19.20. In-flight projects with critical timelines that must proceed are categorized into one of three groups, with defined approval pathways and authority structures identified for each. The total projected 2025 capital budget identified by TO Live in CT15.9 was $17.8 million. Corporate Real Estate Management has since worked closely with TO Live to validate and reconcile this figure and confirmed that the total value of the critical projects that must progress in 2025 is $8.9 million. This reconciled amount represents a realistic estimate of the capital work that can be advanced through 2025, as Corporate Real Estate Management and TO Live navigate a transition process that includes aligning complex business functions, such as procurement, to support effective capital project delivery. The remaining $8.9 million of capital work from TO Live's original 2025 capital budget has been deemed non-critical and will be deferred to 2026 through an in-year adjustment in a future Council-approved quarterly variance report. The total deferred value includes $2.9 million originally allocated to the redevelopment of St. Lawrence Centre for the Arts (Council direction in EX17.17a). These funds will be reallocated to support critical state of good repair work needed at this facility in 2026 and beyond. Corporate Real Estate Management and TO Live will continue to collaborate to reevaluate and define 2026 and future year capital budgets and plans through the City's standard budget process, in accordance with the Capital Prioritization Framework. Attachment 1 provides Corporate Real Estate Management's detailed reconciliation of the 2025 and 2026 capital spending against the figures previously presented by TO Live through CT15.9. Moving forward, the TO Live Board of Directors will receive all updates on the TO Live capital program from the City's Executive Director of Corporate Real Estate Management.

President and Chief Executive Officer's Goals for 2025-2026
Establishing written, measurable goals for the President and Chief Executive Officer is considered a governance best practice and a key component of both strategic direction and performance evaluation. TO Live has not previously formalized this process, and we are now implementing it, starting with goals for the remainder of FY2025-26. The intention is for this to become an annual process, aligned with the fiscal year transition, and to support both backward-looking performance assessment and forward-looking goal setting.
The Board of Directors of TO Live: 1. Approved the President and Chief Executive Officer's goals as outlined in Confidential Attachment 1 to the letter (June 5, 2025) from the Chair, TO Live - Human Resources and Stakeholder Relations Committee. 2. Added the completion of the capital project management agreement between TO Live and Corporate Real Estate Management and the completion of the service level agreement, which oversees the in flight process during the transition period, to the President and Chief Executive Officer's Goals for 2025-2026. 3. Directed that the confidential information contained in Confidential Attachment 1 to the letter (June 5, 2025) from the from the Chair, TO Live - Human Resources and Stakeholder Relations Committee remain confidential in its entirety, as it is pertains to personal matters about an identifiable individual, including municipal or local board employee.

Mayor’s Economic Action Plan in Response to United States Tariffs
City Council on March 26 and 27, 2025, adopted Item EX21.2 as amended and, in so doing, has: 1. Adopted the Mayor's Economic Action Plan in Response to US Tariffs, as outlined in Revised Attachment 1 to the revised report (March 18, 2025) from the City Manager and the General Manager, Economic Development and Culture, as amended by part 2 of City Council's decision to include actions under "Mobility of People and Goods" to support the improvement of the mobility of goods and services connected with the economy 2. Requested the City's agencies and corporations to adopt similar policies where possible.

Directed the General Manager, Economic Development and Culture and the Chief Technology Officer to establish the annual Mayor's Data and Artificial Intelligence Innovation Challenge to recognize, celebrate, and inspire non-City individuals and organizations as well as City divisions, agencies and corporations that leverage data and AI to showcase research, projects, or solutions that address opportunities to foster civic engagement and public service delivery in Toronto. 2. Requested the boards of City Agencies and Corporations to participate in the Mayor's Data and Artificial Intelligence Innovation Challenge.
