Recognition of Staff at Exhibition Place
Exhibition Place employee(s) recognized by the Board for recent outstanding accomplishment: 1. 2020 United Way City of Toronto Campaign Ms. Catherine de Nobriga is recognized for her dedication and hard work managing the 2020 United Way City of Toronto Campaign for Exhibition Place during the COVID-19 pandemic. Each year in an effort to build a better city, the City of Toronto Public Service Staff, along with all Agencies, Boards, and Commissions participate in the annual city wide fundraising program in support of United Way Toronto & York Regions. This year, Exhibition Place raised a grand total of $600.00 for United Way City of Toronto Campaign. Over the last 16 years Exhibition Place have contributed a total of $89,602.10 to the United Way Toronto and York Region. 2. In light of the COVID-19 pandemic and many staff working remotely, we paused both the Employee Recognition Program and the Corporate Social Responsibility Program this year. The Employee Recognition Program, launched in January 2011, had as its mandate the commitment of Exhibition Place and all our employees to continuous improvement to consistently offer customer service that exceeds expectations, and to treat others as we would like to be treated. The Corporate Social Responsibility Program commenced in 2014 and provides to each staff member their own report card on their individual everyday use and practices, so that each employee can see and set their personal goals for improvements. The areas focused on are: mode of transportation to work; energy savings in the office; paper consumption; participation in our recognition program; and volunteer participation in various staff committees and community outreach. We are going to implement modifications to both programs in the 1st quarter of 2021, which will remove just highlighting a single staff member in both programs at year end (CSR Employee of the Year and the Employee of the Year). We are changing the focus of the Recognition Program to celebrate continuous improvement and customer service excellence for all employees, and the CSR Program focus areas will be reviewed; however we will continue to provide staff with the ability to set personal goals for CSR improvements throughout the calendar year.

Royal Agricultural Winter Fair Association Appointment for 2021
In January of each year, a Notice of Appointment of a Representative is received from the Royal Agricultural Winter Fair (RAWF) requesting the appointment of one representative of the Board of Governors to the RAWF. As a member association of the Royal Agricultural Winter Fair, The Board is allowed to name one representative to the Royal's Board of Governors for the 2021 year. As a representative, the member can raise issues pertinent to the interests of Exhibition Place as they relate to the business of the RAWF; the Board representative will be updated on financial matters of the Association, the strategic directions of the fair and will have an opportunity to participate in the election of Directors.

Occupational Health and Safety Report: Quarterly and End of Year 2020
This report provides information on the status of the Exhibition Place health and safety system, specifically on activities, priorities, and performance during the fourth quarter of 2020, as well as, overall health and safety performance for the year 2020. There were 0 lost time injuries and a 60 percent decrease in the number of medical aid injuries in 2020 relative to 2019. Workplace Safety and Insurance Board (WSIB) invoiced costs for 2020 were 5 percent higher to those in 2019.

The Board of Governors of Exhibition Place (the "Board"), as landlord and Toronto Hydro Energy Services Inc. ("THESI") and Toronto Renewable Energy Cooperative Windpower Co-Operative (No. 1) Incorporated ("TREC", and THESI and TREC are collectively referred to as the "Tenant") entered into a lease dated February 15, 2002, as extended by a Lease Extension Agreement dated March 1, 2017 (collectively, the "Existing Lease") for certain lands near the west end of the Exhibition Place grounds, on which the Tenant constructed a wind turbine, for a term expiring on February 28, 2021. On March 4, 2019, a written request was received from THESI for it to be removed as a Tenant under the Existing Lease, so that the co-Tenant TREC would become the sole Tenant. The Board advised the Tenant that this would constitute an assignment by THESI of its interest in the Lease to TREC. Article 15 of the Existing Lease provides that the Tenant shall not effect any assignment of its interest in the Existing Lease without first obtaining the written consent of the Landlord, and that no assignment will relieve the assigning tenant of its obligations under the Existing Lease. At its meeting of June 13, 2019, the Board consented to the assignment by THESI of its interest in the Existing Lease to TREC, (the Assignment), provided that the Assignment would not release THESI of its obligations under the Existing Lease, in accordance with Article 15 thereof. Since THESI would remain liable, it elected not to proceed with the Assignment. However, THESI has no interest in continuing to be a tenant under an extension of the Lease or a new lease for the wind turbine premises. Exhibition Place staff met with TREC in early December 2019 at their request to review their vision for the wind turbine. TREC wrote to Exhibition Place subsequently on January 21, 2020 to indicate that its members passed a resolution to pursue the continued operation of the wind turbine project following the expiry of the Lease. Staff from Exhibition Place and City Corporate Real Estate Management ("CREM") has since worked with TREC to negotiate terms and conditions for a new lease for a term of eight (8) years to commence on March 1, 2021 and ending on February 28, 2029 and otherwise on the terms set out in this report. All energy produced by the wind turbine is fed to the Exhibition Place electrical grid and used on site which assists the Board in achieving its Environment Objective to target net "0" grid supplied electricity use. The City of Toronto is the only city in the world to host a wind turbine in its downtown core. This report is recommending that, subject to obtaining the necessary City of Toronto authorization, the Board approve entering into a new lease with TREC, or a limited partnership consisting of TREC and a City-approved financial partner or such other corporate entity acceptable to the Board and the City, on the terms and conditions provided in this report.

Subject to obtaining the necessary City of Toronto authorization, approved a new lease (the Lease) between the City of Toronto, (the City), as landlord, TREC, or a limited partnership consisting of TREC and a City-approved financial partner or such other corporate entity acceptable to the Board and the City, as tenant, and the Board, for a term of eight (8) years commencing March 1, 2021, and ending February 28, 2029, substantially on the terms and conditions set out in Appendix A and Confidential Attachment 1 to the report (February 4, 2021) from the Chief Executive Officer, Exhibition Place, and such other terms and conditions deemed appropriate by the Deputy City Manager, Corporate Services (the DCM), the Chief Executive Officer of Exhibition Place (the CEO), and in a form satisfactory to the City Solicitor. 2. Authorized the Chief Executive Officer, Exhibition Place to request the necessary City authorities to approve and enter into the Lease. 3. Directed that Confidential Attachment 1 to the report (February 4, 2021) from the Chief Executive Officer, Exhibition Place remain confidential in its entirety and not be released publicly as it pertains to a proposed or pending acquisition or disposition of land by the City and the Board.

Grievance Update and 2020 Year-end Grievance Summary
This report provides an update on Labour Relations ("LR") matters, and a summary and analysis of grievances and arbitration activity for 2020 and a comparison to 2019. In 2020 there were no grievances filed by any bargaining units on Exhibition Place grounds, compared to forty-one (41) in 2019. Of the grievances filed in 2019, eight (8) have been referred to arbitration.

At its meeting of October 26, 2020 the Board of Governors received a power point presentation from Hotel X on its concept plan and future development of the Phase 2 Lands. At the same meeting, questions were raised by the Board regarding existing leaseholders and development at Exhibition Place, and how the City's policies and the Board of Governors can contribute to creating good quality work for Toronto residents. A motion was moved and adopted where the Board directed the Chief Executive Officer, Exhibition Place to review and report back on options for the Board to ensure that high-quality jobs with full-time hours, fair wages, and benefits, are being secured through future development of the land and other projects at Exhibition Place, including review of relevant City of Toronto policy such as the Fair Wage Policy. Consultation with staff from the City of Toronto was held to review the Fair Wage Policy and Articles in the City of Toronto and Exhibition Place lease templates that support the Board's direction. The requirement that tenants comply with the City's Fair Wage Policy is standard language in the current template. Although classes of workers to whom the Fair Wage Policy applies is limited, the City's Fair Wage Office has advised that those classes are reviewed from time to time. Given the breadth, scope and complexity of the issue, coupled with the potential legal implications, Corporate Real Estate, the Fair Wage Office and Exhibition Place have agreed to continue to explore potential measures that could be implemented.
The Board of Governors of Exhibition Place recommends that: 1. City Council direct the Executive Director, Corporate Real Estate Management and the Manager, Fair Wage Office to investigate and report back to the appropriate standing committee in time for the June 8 and 9, 2021 City Council meeting on: a. further measures that could be incorporated into City of Toronto Corporate Real Estate leases and the leases of City Agencies, Boards, and Corporations, to ensure lessees provide high-quality jobs, fair wages and full time hours and benefits where possible; and b. reviewing expanding the job categories covered by the Fair Wage Policy to include traditionally lower-paid and less-secure work such as food and hospitality.

Ontario Line Early Works - Presentation by Metrolinx
Announced by the Province of Ontario in 2019, the proposed Ontario Line is one of four priority transit projects Metrolinx is leading for the Greater Toronto Area (GTA). The line will be the largest single expansion in Toronto's subway history, helping to ease congestion on existing transit lines throughout the city, and bring transit to underserviced neighbourhoods. The Ontario Line will bring nearly 16 kilometres of much-needed subway service to Toronto to make it faster and easier for hundreds of thousands of people to get where they need to be each day. The line will stretch across the city, from the Ontario Science Centre in the northeast to Exhibition Place in the southwest. Current plans for the Ontario Line include 15 stations including 6 interchange stations, and over 40 new connections to GO train lines and existing subway, streetcar, and bus lines. Staff from Metrolinx will be attending the Board meeting of February 19, 2021 to do a powerpoint presentation on the design and progress of the Ontario Line development to date for the benefit of the Board Members.
