Update on Hosting FIFA World Cup 2026
In 2018, Canada, the United States, and Mexico were awarded the 2026 World Cup. The World Cup is the largest single sports event held in the world, rivalling the Summer Olympics as the largest overall. It is held every four years over a period of six weeks. In 2026, the World Cup will be expanded to 48 countries and 104 matches from the current 36 countries, playing 64 games. There will be six matches held at BMO Field. The event is the world's most watched sporting occasion, attracting a global viewership of four billion people throughout the competition and over 200 million for each match. Overseen by the International Federation of Football Association (FIFA), the World Cup provides significant economic and cultural benefits to host cities. On June 16, 2022, it was announced that the City of Toronto would serve as an official Host City. As directed by the City Council in 2022, the FIFA World Cup Toronto 2026 Staff Secretariat was established to support the planning, preparation, and execution of the event. The Executive Director and Project Manager from the City Secretariat Office, along with a representative from Maple Leaf Sports and Entertainment (MLSE), will attend the Board meeting on June 13, 2025, to provide an update on the planning to Board members.

Audit Results and Draft Financial Statements for the Year Ended December 31, 2024
The auditor of record for the Board, KPMG, audits our financial statements in accordance with Canadian public sector accounting standards and summarizes issues of audit significance, and provides the communications required by their professional standards. KPMG presents for the information of the Board, for the year ended December 31, 2024, the following: 1. Draft Audited Financial Statements (Attachment 1), 2. Management Representation Letter (Attachment 2), and 3. Audit Findings Report (Attachment 3). The Audit Findings Report (Attachment 3) presents the auditors' suggestions and recommendations based on their findings, aimed at enhancing our accounting and internal control procedures. As detailed in Attachment 3, the auditors have issued an unqualified opinion on the financial statements for the 2024 audit, indicating no significant internal control issues. Included in the Management Representation Letter (Attachment 2) is to provide formal written assertions from the company's management to the auditors. These assertions confirm the accuracy and completeness of the financial statements and disclosures provided during the audit. This letter also includes two (2) corrected misstatements identified by the auditors, which management has agreed upon. These corrections are for balance sheet reclassifications for presentation purposes only and do not impact the income statement. A representative of KPMG will attend the Board meeting on June 13, 2025, to respond to any questions of the Auditor. As reported on the Statement of Operations and Accumulated Deficit, the Transfer Payable before Budget Deficit Subsidy funding from the City is $2.710 million. The Boards 2024 Operating Budget Deficit Subsidy funding was $0.800 million. Overall, therefore, Exhibition Place will have a Transfer Payable of $3.510 million to the City.
The Board of Governors of Exhibition Place: 1. Approved for the year ended December 31, 2024, the Draft Financial Statements (Attachment 1), the Management Representation Letter (Attachment 2), and the Audit Findings Report (Attachment 3) to the report (May 30, 2025) from the Chief Executive Officer. 2. Directed the transfer of the 2024 Operating Budget Deficit Subsidy of $0.800 million to the City of Toronto. 3. Authorized the Chief Executive Officer, Exhibition Place to allocate the $2.710 million Operating Surplus to either the Conference Centre Reserve Fund ("CCRF") held by the City of Toronto for Exhibition Place or apply it towards the repayment of the Automotive Building City loan, as determined by the Chief Executive Officer. 4. 2026 Electrical and Mechanical Services Price List - ShowTech Power and Lighting
This report recommends approval of the 2026 Electrical and Mechanical Services Price List for ShowTech Power and Lighting ("SPL") as outlined in Confidential Attachment 1. Board approval is required for the Price List pursuant to the Show Electrical Services Agreement between the Board and SPL. SPL conducts a comprehensive review and update of Electrical and Mechanical Pricing annually to factor in any increases due to labour and material costs and to ensure fair, competitive, and reasonable rates. Staff work towards being consistent with industry standards in Toronto and the GTA market. The rates were reviewed by Exhibition Place staff and are recommended as fair and reasonable changes. The preparation of the 2026 price list brought along with-it inherent challenges. To ensure the price list was fair, reasonable, and competitively priced in the GTA as well as taking into consideration increase in labour rates from the new collective agreement.

Freight Elevator Modernization and Machine Room Structural Rehabilitation at the Automotive Building
This report recommends approving a contract with CEE Elevator Service Ltd. ("CEE") for the freight elevator modernization and machine room structural rehabilitation at the Automotive Building. The tender for this contract was issued on March 12, 2025, through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time sensitive as the supply chain for elevators is a long delivery item and the machine room requires significant structural repairs before the elevator can be installed. The existing elevator and machine room is currently out of service.
The Board of Governors of Exhibition Place: 1. Approved the award of Contract No. 25-085-58550 (RFT No. EP103-2025) to CEE Elevator Service Ltd. of Ajax, Ontario for the freight elevator modernization and machine room structural rehabilitation at the Automotive Building in the amount of $788,100.00 which includes a cash allowance of $25,000.00 but excludes HST; this being the lowest compliant tender submission received following the public tendering of the project.

Occupational Health and Safety Report - 2024 Year-End Report
This report provides information on the status of the Exhibition Place Health and Safety program, specifically on activities, priorities, and overall health and safety performance for the year ending 2024. Workplace Safety and Insurance Board (WSIB) invoiced costs for 2024 were approximately $23,000 higher than those in 2023. The higher fees are attributable to increases in recurring disability payments, medical expenses, and WSIB indexed benefits. In 2024, there were four lost-time injuries and twelve medical aid injuries, representing an increase compared to 2023.

Mayor's Economic Action Plan in Response to United States Tariffs
City Council on March 26 and 27, 2025, adopted Item EX21.2 as amended and, in so doing, has: 1. Adopted the Mayor's Economic Action Plan in Response to US Tariffs, as outlined in Revised Attachment 1 to the revised report (March 18, 2025) from the City Manager and the General Manager, Economic Development and Culture, as amended by part 2 of City Council's decision to include actions under "Mobility of People and Goods" to support the improvement of the mobility of goods and services connected with the economy. 2. Requested the City's agencies and corporations to adopt similar policies where possible.

City Council on April 23 and 24, 2025, adopted Item GG20.14 as amended and, in so doing, has: 1. Directed the General Manager, Economic Development and Culture and the Chief Technology Officer to establish the annual Mayor's Data and Artificial Intelligence Innovation Challenge to recognize, celebrate, and inspire non-City individuals and organizations as well as City divisions, agencies and corporations that leverage data and AI to showcase research, projects, or solutions that address opportunities to foster civic engagement and public service delivery in Toronto. 2. Requested the boards of City Agencies and Corporations to participate in the Mayor's Data and Artificial Intelligence Innovation Challenge.
