The Auditor General included a cybersecurity audit of Exhibition Place, an agency of the City of Toronto, in her 2025 Work Plan. Exhibition Place is Canada's largest convention centre and entertainment and sports venue, generating $595 million [1] in economic impact annually and $67.3 million in revenue in 2024. Phase One of this cybersecurity audit was presented at Exhibition Place's December 5, 2025, Board meeting. The Auditor General's Phase One confidential report included results from testing physical security, user access management, and staff awareness of social engineering in relation to cybersecurity. The Phase One public cover report is available at: Cybersecurity Audit of Exhibition Place - Phase One: Physical Security, User Access Management and Staff Training Technology plays a vital role in all aspects of Exhibition Place's operations and services. This Phase Two report includes the results of our vulnerability assessment and penetration testing of the Exhibition Place's network, systems, applications and devices, as well as cybersecurity incident logging and monitoring review. This report includes five administrative recommendations. The confidential findings and recommendations are contained in Confidential Attachment 1 to this report. A separate, confidential and detailed technical report was provided to management with technical details to guide them in addressing the report findings and recommendations. High Voltage Feeders A34T and A35T Central Replacement at Exhibition Place
This report recommends approving a contract with Black & McDonald Limited of Scarborough, Ontario, for the replacement of high voltage feeders (cables) A34T and A35T. The tender for this contract was issued on February 9, 2026, through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time-sensitive in meeting stakeholders and operational requirements. The existing underground electrical infrastructure is over seventy (70) years old and requires replacement. This project is part of a program that started four years ago to address unanticipated power outages and failures caused by obsolete underground electrical infrastructure. The Chair of the Board in consultation with the Chief Executive Officer of Exhibition Place approved this contract award on March 4, 2026, pursuant to the authority under the Board Financial By-law 2-18, Article X and seek concurrence of the Board.

This report provides information on the collaboration with Heritage Toronto to celebrate the history of women's sport at Exhibition Place.

Occupational Health and Safety Report - End of Year 2025
This report provides information on the status of the Exhibition Place Health and Safety program, specifically on activities, priorities, and overall health and safety performance for the year ending 2025. Workplace Safety and Insurance Board (WSIB) invoiced costs for 2025 were $6,110.60 lower than in 2024. The lower fees are attributable to a proactive return-to-work program that supports safe and timely reintegration of workers into the workplace.

Strategic Plan - 2025 Key Results and Initiatives
Exhibition Place's five-year 2022-2026 Strategic Plan is in its final year. This report highlights the key achievements from 2025. In 2025, the Exhibition Place team successfully completed 81 new strategic initiatives. Grievance Update and 2025 Year-end Grievance Summary
This report presents a summary and analysis of grievance and arbitration activity for 2025, along with a comparison with previous years. Exhibition Place has seven (7) collective agreements to which it is bound on the grounds. In 2025, the total number of grievances filed by all bargaining units on Exhibition Place grounds was sixteen (16), compared with six (6) in 2024. There were no arbitrations in 2025. LiUNA 506 filed five (5) grievances, and Carpenters 27 submitted one (1) grievance, with all grievances either resolved or withdrawn. IATSE 58 filed ten (10) grievances, of which one (1) was resolved. Nine (9) of the grievances from IATSE relate to a specific event or originate from a tenanted facility. The remaining grievance concerns the assignment of work and the scope of jurisdiction.

Information Technology Corporate Policies 2026 Review and Update
This report recommends the approval of the new IT Corporate Policies, Standards, Standard Operating Practices (SOP's), and Guidelines for Exhibition Place detailed in Appendix A and B. These policies were developed in response to the Confirmation Program which was the result of a City Council motion to extend the mandate of the City Chief Information Security Officer (CISO), now called Toronto Cyber Security to direct Agencies to formulate organizational cyber frameworks that align with the city's objectives and frameworks by adoption of Item EX14.3 . The policies were further revised to incorporate feedback from the recent City Auditor General Cyber Security Audit of Exhibition Place - Phase 1 which was approved by the Board in December 2025 and adopted by City Council at its meeting on March 25, 26 and 27, 2026 by adoption of Item AU11.5 . This report recommends the approval of the IT Corporate Policies and Guidelines which were formulated to align with the City's objectives and frameworks. The policies are detailed in Appendix A and B.

Exhibition Place - Vision Plan and Concept Scenario Presentation
In response to the various developments at and around Exhibition Place, staff, in collaboration with Studio tla, have developed the Exhibition Place - Vision Plan and Concept Scenario (the Vision Plan). This work considers the different needs of multiple transformative change proposals for the grounds while ensuring alignment with the recommendations of previous studies and plans, including the latest Next Place - Exhibition Place Master Plan approved by Council. The Chief Executive Officer will present the Vision Plan attached as Attachment A.

2025 Capital Works Program - Year End Report
This year-end report provides an update to the Board on the final progress of the 2025 Capital Works Program State of Good Repair Budget. The 2025 Capital Works Program budget consists of two parts totalling $113,214,108: 1. Exhibition Place Managed Projects which includes the "State-of-Good-Repair" ("SOGR") 2025 program with a budget of $24,276,213 (Table 1 - Appendix A); and the 2024 total cash flow carry forward of $2,250,013 (Table 2 - Appendix A), and 2. Non-Exhibition Place Managed Projects which includes $86,687,882 for Service Improvements relating to BMO Field improvements in support of Toronto's hosting of FIFA World Cup 2026. A cash flow carry forward in this report is defined as the combination of unspent mostly committed costs from prior year through signed contracts and agreements, and any surplus from the above SOGR program projects.

This report recommends approving a contract with Triumph Roofing & Sheet Metal Inc. of Toronto, Ontario for the Horse Palace East Roof Replacement and Vehicle Maintenance Garage Roof Replacement project. The tender for this contract was issued on March 3, 2026, through the Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time‑sensitive, as the existing roofing systems have reached the end of their service life and are experiencing ongoing leaks. CNEA Withrow Common (formerly Queen Elizabeth Executive Offices) Lease
The City of Toronto, as landlord, the Board and the Canadian National Exhibition Association ("CNEA" or the "Tenant") entered into a one (1) year lease for the Queen Elizabeth Executive Offices (renamed Withrow Common) and certain ancillary areas dated November 1, 2020, for a term ending on October 31, 2021 (the "Existing Lease") with four one-year extension options, and with an early termination provision in favour of the Tenant effective December 31 in each of the second, third and fourth extension terms. The Tenant exercised all four options. The final option term expired October 31, 2025. The Tenant is requesting a four (4) year extension of the Existing Lease with respect to Withrow Common, commencing November 1, 2025, and concluding October 31, 2029. Since assuming occupancy of Withrow Common in 2016, the Tenant has completed significant renovations to the space. The CNEA has invested more than $300,000 in leasehold improvements, encompassing upgrades to the reception area, lobby, and central common areas, along with enhancements to painting, kitchen, flooring, washrooms, and lighting. These improvements emphasized environmentally sustainable and eco‑friendly design choices where feasible. This report recommends that, subject to obtaining necessary City of Toronto (the 'City") approvals, the Board enter into a new four (4) year lease with the City, as landlord, and the Tenant for the operation of a multi-purpose office and community event space at the Leased Property commencing November 1, 2025, and ending on October 31, 2029, substantially on the terms and conditions set out herein. The Lease will contain an option to extend the term for a further five (5) years, to October 31, 2029. Staff from Exhibition Place and City Corporate Real Estate Management ("CREM") have been in discussions and negotiations with the Tenant since March 2025. CREM engaged its internal valuation group to assist with the fair value negotiations with the Tenant. The proposed rent and other major terms and conditions of the new Lease are considered to be fair, reasonable, and reflective of market rates. NOTE: The Province's Rebuilding Ontario Place Act, 2023 ("ROPA") includes a provision that the City may not encumber, sell or dispose of certain identified lands. By an amendment in November 2025, these lands were expanded to include, among others, the majority of the Exhibition Place grounds. Accordingly, the City is now restricted from encumbering the majority of Exhibition Place. The term "encumber" is not defined. City staff is working with the Province to obtain clarification on the meaning of "encumber" and hopes to confirm that it does not apply to leases of buildings or space within buildings, like the Lease discussed in this Report. But until such clarification is obtained from the Province, the City will not be in a position to finalize its approval of this Lease.

Ontario Line Update - Presentation by Metrolinx
Announced by the Province of Ontario in 2019, the Ontario Line is one of four priority transit projects being led by Metrolinx in the Greater Toronto Area (GTA). It represents the largest single expansion in Toronto's subway history, aimed at reducing congestion on existing transit lines and extending service to underserved neighbourhoods across the city. The Ontario Line will add 15.6 kilometres of new subway service to Toronto, improving the speed, convenience, and connectivity of transit across the city. Stretching from Exhibition Place in the west to the future Eglinton Crosstown LRT at Don Mills Road and Eglinton Avenue East, the line will include 15 stations - six of which will serve as interchange stations - and provide more than 40 new connections to GO trains, existing subway lines, streetcars, and bus services. Since the Board's last update in April 2025, construction at Exhibition Station has advanced significantly. Work over the past year has included completion of the Early Works project, completion of excavation for the Exhibition Portal, north main entrance building and traction power substation, completion of piling for the future station platforms, and completion of portal waterproofing and concrete pours. Construction is also continuing on several major elements of the project. Tunnel boring machine assembly has started and remains ongoing, as has construction of the TBM logistics plant. Waterproofing and concrete pours at the north main entrance building are ongoing, along with foundation works for the station platforms and north main entrance. Miscellaneous utility crossings of the rail corridor have also started and are ongoing, and a crash deck has been erected to facilitate continued construction activities. Across the broader Ontario Line project, construction has also continued to advance. Excavation is underway or completed at station sites across the downtown corridor, major excavation is now underway at Pape Station, East Harbour has moved into a new phase of construction, and the north segment reached a major milestone earlier this year with groundbreaking for the elevated guideway and four new stations. Staff from Metrolinx will be attending the Board meeting of April 16, 2026, to present the construction progress of the Ontario Line project for the benefit of Board Members.
