Licence Agreement with the Festival Management Corporation
This report recommends a one-year agreement with the Festival Management Corporation ("FMC") for the Toronto Caribbean Carnival 2022 at Exhibition Place based on the same terms and conditions as approved by the Board for the 2019 event. Due to Covid-19, there was no event in 2020 and 2021.
The Board of Governors of Exhibition Place: 1. This report recommends, subject to obtaining the necessary City of Toronto authorization, that the Board approve amendments to the Amended and Restated Master Agreement dated April 1, 2017 ("Master Agreement") between the Board, the City and the Canadian National Exhibition Association to provide for a one (1) year extension to the First Renewal Term, commencing April 1, 2022 and expiring March 31, 2023. The parties will then proceed to negotiate the terms of the Second Renewal Term, to commence April 1, 2023. The substantial terms and conditions of the proposed extension are set out in Appendix A to this report.

Participation at the PCMA Educon Event 2022
This report recommends participation of Exhibition Place's US Association Account Executive staff to join Destination Toronto at the PCMA Educon Conference on June 5 - 8, 2022, in New Orleans. Destination Toronto has a robust partnership with PCMA and will be part of the VIP Buyers Program at EduCon this year, whereby the destination will be matched with ideal buyers globally. During PCMA EduCon Destination Toronto team will host up to 400 Association Planners, Executives, and industry colleagues for a night of festivities at the annual Give Back Bash. As the headline sponsor of this event, Destination Toronto partners with PCMA to give back proceeds from the event ticket sales to a local charitable organization in the New Orleans area, which is yet to be identified ensuring that our presence while in New Orleans leaves behind a legacy of support for those in need. Exhibition Place has been asked to join Destination Toronto in their booth free of registration costs in this high-profile Association Conference as a way to continue to build on the exposure of Exhibition Place to the US Association Market.

Grievance Update and 2021 Year-end Grievance Summary
This report provides a summary and analysis of grievance and arbitration activity for 2021 and a comparison to 2020. In 2021, the total number of grievances filed by all bargaining units on Exhibition Place grounds was eleven (11), compared with no grievances in 2020. LiUNA 506 filed two (2) grievances because of the unauthorized completion of work by show organizers, and these grievances were resolved with the union immediately. IATSE 58 filed nine (9) grievances which remain unresolved, with one (1) currently proceeding through arbitration.

Proposed Collective Agreement with Carpenters Local 27
The Collective Agreement between the Board of Governors of Exhibition Place and the Carpenters and Allied Workers, Local 27 United Brotherhood of Carpenters and Joiners of America, expired on December 31, 2020. This report outlines the terms of a Memorandum of Agreement attached as Appendix A that was ratified by the Carpenters and Allied Workers, Local 27 United Brotherhood of Carpenters and Joiners of America on February 24, 2022, and pending Board approval, would be the basis of a Collective Agreement with the Board, for a four-year (4) term, from January 1, 2021, expiring on December 31, 2024.
The Board of Governors of Exhibition Place: 1. Approved the terms and conditions of the Memorandum of Agreement, set out in Confidential Attachment 1, Confidential Attachment 1 - Appendix A and Confidential Attachment 1 - Appendix B to the report (March 22, 2022) from the Chief Executive Officer, Exhibition Place, between the Board of Governors of Exhibition Place, and Carpenters and Allied Workers Local 27 United Brotherhood of Carpenters and Joiners of America. 2. Authorized staff to make the necessary amendments to rates of pay and other issues identified as agreed changes to the collective agreement in the Memorandum of Agreement (Confidential Attachment 1 - Appendix A) and set out in the Confidential Attachment 1 to the report (March 22, 2022) from the Chief Executive Officer, Exhibition Place. 3. Extension of Exclusive Food and Beverage Services Agreement with Spectra Food Services
In 2013, Spectra Food Services was the successful proponent for exclusive food and beverage services in response to a public RFP issued through the City of Toronto's Purchasing and Materials Management Division. The purpose of this report is to seek Board authority to extend the exclusive food and beverage services agreement with Spectra Food Services ("Spectra") (formerly Ovations Food Services, LP) for the Enercare Centre and other buildings utilized for trade and consumer shows except for the Beanfield Centre, for an additional five (5) year term from December 1, 2024 to November 30, 2029 on the same terms and conditions as the existing agreement except for the financial terms as outlined in Confidential Attachment 1 to this report. Exhibition Place currently has two (2) exclusive food and beverage service agreements. One for Spectra and the other with Cerise Fine Catering. Cerise Fine Catering agreement is exclusive for Beanfield Centre and ends on June 1, 2029, while Spectra Food Services Agreement is exclusive for Enercare Centre and other buildings and is set to expire on November 30, 2024. The five year extension of the Spectra food and beverage service agreement would make the last year of the term coterminous with the Cerise Fine Catering agreement which ends on June 1, 2029. With both agreements expiring in the same year, this will allow the Board to go to market in 2029 with an RFP to secure one exclusive food and beverage services agreement for Exhibition Place.

Multi-Year Licence Agreement with the Royal Agricultural Winter Fair
The Royal Agricultural Winter Fair ("RAWF") is a 100-year old cultural event in Toronto and the objective of the multi-year agreement for the event at Exhibition Place is to provide the RAWF with a known and sustainable occupancy cost for the next 5 years from 2023 to 2027, based on the RAWF's operating results, while maintaining the existing level of subsidization now provided by Exhibition Place and the City through a grant from Toronto Economic Development and Culture Division. This negotiated agreement achieves both these directions. This report recommends subject to obtaining the necessary City of Toronto authorization, that the Board approve a five-year (5) rental licence agreement with RAWF for the 2023-2027 Royal Fair. The substantial terms and conditions of the Licence Agreement are set out in Appendix A to this report. Exhibition Place, City Economic Development and Culture Division and RAWF staff met in early 2022 to discuss the negotiated terms and the parties agreed to a five (5) year agreement on substantially the same terms and conditions of the existing agreement as amended per Appendix A.
