2019 Toronto Parking Authority Parking Passes
Each year, pursuant to Toronto Parking Authority ("TPA") Policy Resolution 3-4, "Issuing of Lifetime and Annual Toronto Parking Authority Parking Passes," the Toronto Parking Authority Board is requested to review and approve the list of Annual Parking Pass holders. The annual passes are made available to Toronto Parking Authority Board members, various management and staff who, because of their duties, require frequent access to Toronto Parking Authority facilities, including Toronto Parking Authority service providers, City Councillors and certain City/Agency staff. In addition, the Policy sets out eligibility parameters (long service) for Toronto Parking Authority retirees qualifying for a lifetime parking pass.
The Board of Directors of the Toronto Parking Authority: 1. Approved 2019 Toronto Parking Authority parking passes for the following two groups listed in Attachment 1 to the report (December 3, 2018) from the Acting President, Toronto Parking Authority: a. Toronto Parking Authority management, supervisory, and operations staff (46 pass cards); and b. Other (211 pass cards). 2. Directed the Acting President, Toronto Parking Authority, to review the Toronto Parking Authority Policy Resolution 3-4, "Issuing of Life Time and Annual Toronto Parking Authority Parking Passes," and the issuance of 2019 Toronto Parking Authority parking passes for the remaining groups listed in Attachment 1 to the report (December 3, 2018) from the Acting President, Toronto Parking Authority, and to report back to the Board of Directors of the Toronto Parking Authority at its meeting in January 2019.

Parking Services Agreement - 20 Brunel Court
This report seeks the approval of the Toronto Parking Authority ("TPA") Board to enter into a one (1) year pilot Parking Services Agreement ("Agreement") with the City of Toronto ("Owner") for a 65-space underground parking facility located at 20 Brunel Court (also known as the Block 31 development) (the "Subject Property"), in accordance with the terms and conditions outlined in Table 1.0 - Proposed Terms and Conditions, and Appendix B - Toronto Parking Authority and Owner Obligations, of this report. The City is developing a multi-use shared community facility on the site, including a community center, a child care center, and two elementary schools: for the Toronto District School Board ("TDSB") and the Toronto Catholic District School Board ("TCDSB"). In July 2018, Toronto Parking Authority provided a proposal to the City's Steering Committee, with representation from the City (Legal; Real Estate Services; City Planning; Children's Services; Financial Planning; and Parks, Forestry and Recreation) along with the Toronto District School Board and the Toronto Catholic District School Board, outlining a plan for Toronto Parking Authority to provide revenue collection services and parking machine supply, operation and maintenance, subject to Toronto Parking Authority Board approval. If, at the conclusion of the one-year pilot period, the Subject Property is deemed successful as a public parking facility, we will assess the feasibility of extending the Agreement term.
The Board of Directors of the Toronto Parking Authority: 1. Authorized the Acting President, Toronto Parking Authority, to enter into a Parking Service Agreement ("Agreement") with the City of Toronto ("Owner") to manage a 65-space underground parking facility located at 20 Brunel Court ("Subject Property") for municipal parking purposes in accordance with the terms and conditions outlined in Table 1.0 and Appendix B to the report (November 29, 2018) from the Acting President, Toronto Parking Authority, and on other or amended terms and conditions as may be acceptable to the Acting President, Toronto Parking Authority, and in a form satisfactory to the City Solicitor.

This report seeks the approval of the Toronto Parking Authority ("TPA" or "Licensor") Board to enter into a new license agreement (the "License") with 1413652 Ontario Inc. o/a KA Car Care (the "Licensee" or "KA Car Care") at Municipal Carpark 58, located at 9 Bedford Road (the "Property" or "CP58"), which is managed by Toronto Parking Authority. The Licensee, who has operated a car cleaning and hand-detailing service at Municipal Carpark 15 (50 Cumberland Street/37 Yorkville Avenue) ("CP15") for the past 15 years, had to close their business recently as the site is undergoing redevelopment. The Licensee has requested the Toronto Parking Authority to consider the relocation of their business to the below grade parking garage at the Property. The terms and conditions of the proposed new License are detailed within the body of this report and provide for a new term of five (5) years with an option to extend the term of the License for an additional five (5) years. City of Toronto (the "City") is the registered owner of the Property, and as such, will be a party to the License. In accordance with City of Toronto By-law 1409-2017, the proposed transaction requires City approval, and shall be directed through the City Real Estate Approval Process. City Legal will assist with the requisite approval process and document preparation.
The Board of Directors of the Toronto Parking Authority: 1. Parking Management Agreement - 9 Madison Avenue
This report seeks the approval of the Toronto Parking Authority ("TPA") Board to enter into a parking management agreement ("Agreement") with International Estonian Centre Inc. ("Prospective Purchaser") to operate an existing 38-space surface parking facility, currently referred to as Municipal Carpark 238, located at 9 Madison Avenue ("Property"), in accordance with the terms and conditions as outlined in Confidential Attachment 1 - 9 Madison Avenue Proposed Management Agreement. This report also seeks Toronto Parking Authority Board approval to enter into an agreement to operate the surface parking facility for the interim period after the assumption of ownership by Build Toronto Inc., and prior to the Prospective Purchaser's assumption of ownership of the Property.
The Board of Directors of the Toronto Parking Authority: 1. Authorized staff to enter into an agreement with International Estonian Centre Inc. to operate a 38-space surface parking facility located at 9 Madison Avenue in general accordance with the draft agreement outlined in Confidential Attachment 1 to the report (December 17, 2018) from the Acting President, Toronto Parking Authority, and authorized the Acting President, Toronto Parking Authority, to negotiate and enter into an agreement containing such other or amended terms and conditions as may be acceptable to the Acting President, Toronto Parking Authority, and in a form satisfactory to the City Solicitor. 2. Authorized staff to enter into an agreement with CreateTO and Build Toronto Inc., as required to operate the parking facility located at 9 Madison Avenue for the interim period between the assumption of ownership by Build Toronto Inc. and the assumption of ownership by International Estonian Centre Inc. in general accordance with the proposed terms and conditions outlined in Confidential Attachment 2 to the report (December 17, 2018) from the Acting President, Toronto Parking Authority, and authorized the Acting President, Toronto Parking Authority, to negotiate and enter into an agreement containing these terms and conditions, or such other, or amended, terms and conditions as may be acceptable to the Acting President, Toronto Parking Authority, and in a form satisfactory to the City Solicitor. 3. Authorized the release of Confidential Attachments 1 and 2 to the report (December 17, 2018) from the Acting President, Toronto Parking Authority, after entering into the agreement contemplated in the report (December 17, 2018) from the Acting President, Toronto Parking Authority.

The Board of Directors of the Toronto Parking Authority authorize staff to enter into an agreement with International Estonian Centre Inc. to operate a 38-space surface parking facility located at 9 Madison Avenue in general accordance with the draft agreement attached as Confidential Attachment 1 to this report (December 10, 2018) from the Acting President, and authorize the Acting President, to negotiate and enter into an agreement containing such other or amended terms and conditions as may be acceptable to the Acting President, and in a form satisfactory to the City Solicitor. 2. The Board of Directors of the Toronto Parking Authority authorize staff to enter into an agreement with CreateTO and Build Toronto Inc., as required to operate the parking facility located at 9 Madison Avenue for the interim period between the assumption of ownership by Build Toronto Inc. and the assumption of ownership by International Estonian Centre Inc. in general accordance with the proposed terms and conditions attached as Confidential Attachment 2 to this report (December 17, 2018) from the Acting President, and authorize the Acting President, to negotiate and enter into an agreement containing these terms and conditions, or such other, or amended, terms and conditions as may be acceptable to the Acting President, and in a form satisfactory to the City Solicitor. 3. The Board of Directors of the Toronto Parking Authority authorize the release of Confidential Attachments 1 and 2 after entering into the agreement contemplated in the report.
