Toronto Parking Authority - 2024 May 31 Year-to-Date Financial Performance
At its meeting on June 25, 2024, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR6.1 and made recommendations to the Board of Directors of the Toronto Parking Authority. Summary from the report (June 11, 2024) from the President, Toronto Parking Authority: Toronto Parking Authority's net income for the five months ended May 31, 2024 was $17.4 million + $7.8 million vs plan. Total revenue was $64.9 million; $5.4 million higher to plan as parking revenue reached a post-pandemic high of 98.1 percent (versus 2019). Transactions improved to 86 percent vs 2019 and comparable to plan. Costs were $43.7 million; $1.0 million lower than plan driven by favourability on municipal taxes and prudent management of expenses. Financing income was $2.0 million +$0.5 million vs plan due to higher cash balance than plan. This is expected to decrease throughout the year as capital is deployed. Amortization of property and equipment was $5.7 million, $0.9 million lower than plan as assets were in service later than planned. Forecasting full year net income to range between $38 million to $40 million; +$6 to $8 million better than plan based on the current trajectory and no unexpected adverse financial impacts. Toronto Parking Authority will deliver 100 percent of Toronto Parking Authority led capital spend of adjusted Board approved budget. Total capex tracking at 68.5 percent vs. Plan. Available cash was $65.9 million at end of May and expected to decrease as capital funded by Toronto Parking Authority is deployed and income distribution is paid at end of year under the new income sharing framework.

Delegation of Authority Update
At its meeting on June 25, 2024, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR6.2 and made recommendations to the Board of Directors of the Toronto Parking Authority. Summary from the report (June 11, 2024) from the President, Toronto Parking Authority: At its meeting of November 8, 2021, the Board of Directors of the Toronto Parking Authority reviewed, approved and endorsed an update to Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority, as amended by resolution. Among other things, these amendments increased the Toronto Parking Authority President's authority to make commitments on behalf of Toronto Parking Authority from an amount not exceeding $250,000 to an amount not exceeding $500,000. At the same meeting, the Board of Directors also established an Audit and Risk Management Committee and adopted the mandate and Terms of Reference presented in Item PA27.13. Under the Roles and Responsibilities adopted by the Board, the Audit and Risk Management Committee shall review a list prepared by Management that summarizes the items where the Toronto Parking Authority President has used the increased delegation of authority. The purpose of this report is to provide a summary outlining the Toronto Parking Authority President's use of the increased delegation of authority between April 4 and June 11, 2024.

At its meeting on Thursday, April 25, 2024, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR5.6 and made recommendations to the Board of Directors of the Toronto Parking Authority. Summary from the report (April 6, 2024) from the President, Toronto Parking Authority: Toronto Parking Authority aspires to be the world's best provider of sustainable parking, Bike Share and last mile mobility experiences. As part of this journey, Management is continually seeking opportunities to streamline its policies, systems, and decision-making processes to provide greater agility for Team Toronto Parking Authority to deliver real-time outcomes and compete in the marketplace. The purpose of this report is to provide the Toronto Parking Authority - Audit and Risk Management Committee and the Board of Directors of the Toronto Parking Authority with a preview of amendments that Management will be proposing to Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority and a proposed delegation of operationally focused policies to the President, Toronto Parking Authority. Formal approval will be requested at the July 19, 2024, meeting of the Board. Management is proposing to clarify an inconsistency in Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority with Toronto Parking Authority Policy Resolution 5-7: Procurement and provide a modest increase in the President's authority to amend contracts originally awarded in an amount greater than $500,000 by the lesser of twenty percent (instead of fifteen percent) or a further $500,000 in commitments. Administrative amendments are also proposed to simplify and clarify language to ensure consistency in the application of the policy. At the same time, Management is proposing that the Board of Directors of the Toronto Parking Authority delegate its authority over seventy-eight (75) operationally focused Toronto Parking Authority Policy Resolutions that address internal practices and procedures governing the day-to-day activities and operations of the organization. These policies, which are summarized in Appendix C will be the subject of a comprehensive review to ensure that there is alignment with Toronto Parking Authority 's current mandate and commercial focus to drive revenue. It is expected that this review will drive a reduction in the number of policies that are now redundant or no longer applicable. The twenty-eight (28) remaining policies are proposed to remain under the oversight of the Board of Directors of the Toronto Parking Authority. These policies address governance, risk and/or compliance-based issues where the Board of Directors of the Toronto Parking Authority has express responsibility for ensuring that Toronto Parking Authority complies with the requirements of law, policies identified in the City of Toronto - Toronto Parking Authority Relationship Framework and decisions by Council where Council has required that Toronto Parking Authority comply with the requirements of the decision. Appendix D includes a summary of the Policy Resolutions that Toronto Parking Authority is proposing remain under the oversight of the Board.

City Building Activity Update - 2024 Second Quarter
The purpose of this report is to provide Toronto Parking Authority Board of Directors with an update on the advancement of key policy initiatives, programs and projects impacting Toronto Parking Authority. The status of Toronto Parking Authority facilities that have been identified for city building opportunities and initiatives or which are otherwise being redeveloped through joint venture projects is also provided. Further updates about city building activities involving Toronto Parking Authority facilities will continue to be provided to the Toronto Parking Authority Board of Directors on an as-needed basis.

Contract Award - Asset Management Implementation (2024-CS-VAR-2030.30)
This report seeks the Board's approval to award an asset management contract to develop a comprehensive Asset Management Program at the Toronto Parking Authority. Implementing Asset Management aligns with ISO 55000 standards and aims to maximize asset value through consistent maintenance practices. Moreover, a comprehensive Asset Management Program directly reflects Toronto Parking Authority's vision to be the best provider of parking, bike share, and last-mile mobility experiences, making this proposal a natural fit for our organization. As identified in Toronto Parking Authority's Enterprise Risk Management program, aging infrastructure, equipment, and technology pose significant risks. The Asset Management Program is crucial to managing assets effectively, modernizing equipment, and ensuring sustained operational quality. Compliance with Ontario Regulation 588/17 mandates municipalities and their division and agencies establish an Asset Management Program by July 1, 2025, requiring an Asset Management Plan submission. In 2023, Toronto Parking Authority contracted CIMA+ to review and assess our initial Asset Management position. CIMA+ determined that Toronto Parking Authority's maturity level was at 1 - 'Aware'- significantly below the regulated expectation of level 3 - 'Competent.' Based on these findings, CIMA+ presented Toronto Parking Authority with a structured implementation roadmap divided into distinct phases: establishing frameworks, conducting training, pilot implementation, software integration, and continuous improvement efforts (see Appendix A - Asset Management Briefing July 19, 2024). With the CIMA+ report, the Toronto Parking Authority issued a request for proposal contract for the development of a Toronto Parking Authority-wide Asset Management Program. The selection process for the contract involved a comprehensive evaluation of bids, technical proposals, pricing, project history, and reference checks, resulting in the recommendation to award the contract to WSP Canada Inc. for a total sum of $2,881,380.

As a part of the Ontario Line project, Metrolinx has identified three (3) Toronto Parking Authority car parks as the preferred locations to stage construction for the Pape Interchange Station (the "Project"). Metrolinx has made this request pursuant to the City of Toronto's Real Estate Protocol for the Province of Ontario's Priority Transit Projects, which includes the Ontario Line. The locations identified by Metrolinx include Car Park 89 (20 Eaton Avenue), Car Park 90 (17 Eaton Avenue) and Car Park 137 (77 Gough Avenue). Metrolinx has also shortlisted Car Park 17, located at 716 Pape Avenue, as a future site that may be required to support the Project. Car Park 89 (20 Eaton Street) is already the subject of a Licence Agreement between the City and Metrolinx. This site was decommissioned by Toronto Parking Authority on January 3, 2024. It has been turned over to Metrolinx in accordance with the terms of the Licence Agreement. To facilitate the temporary closure of Car Parks 90 and 137 (the "Car Parks"), Metrolinx is proposing to enter into a Licence Agreement with the City of Toronto (the "City Licence") for exclusive use of both Car Parks. The Licence Agreement is for a term of five (5) years, with one (1) option to extend the term for up to four (4) additional years. Toronto Parking Authority intends to decommission the entirety of both Car Parks in preparation of the temporary closures in September 2024.
The Board of Directors of the Toronto Parking Authority: 1. Authorized the President, Toronto Parking Authority, to request the Executive Director, Corporate Real Estate Management, to enter into a Licence Agreement on behalf of the City of Toronto with Metrolinx concerning 17 Eaton Avenue (Car Park 90) and 77 Gough Avenue (Car Park 137) in accordance with the Terms and Conditions outlined in Table 2 of the report (June 28, 2024) from the President, Toronto Parking Authority, and any such other amended terms and conditions as may be acceptable to the Executive Director, Corporate Real Estate Management and the City Solicitor as to provide compensation for the loss of parking revenue and other expenses related to the Metrolinx occupation of the entirety of Car Parks 90 and 137. 2. Endorsed City Council's request to the Deputy City Manager, Infrastructure Services to advance goals around properties required for the Ontario Line construction including the replacement of parking lots via the occupation of Toronto Parking Authority lots to continue to support local business and residents.

Contract Award - Phase 2 Pay by Plate Equipment Purchase
The purpose of this report is to secure the Board's approval to purchase 339 Pay by Plate parking meters for $3.1 million as part of management's multi-year strategy to replace its end-of-life parking payments equipment. These dollars are included in the Toronto Parking Authority's 2024 capital plan. As background, on April 21, 2023, the Board of Directors of the Toronto Parking Authority approved the purchase of 225 pay-by-plate on-street parking meters valued at $2.06 million. This purchase and deployment represented Phase One of our parking equipment modernization strategy. (Please refer to PA3.8 Pay by Plate Equipment Purchase). During Q4 of 2023, 225 new pay-by-plate meters were deployed. The implementation of these meters has driven better performance outcomes; specifically, the Toronto Parking Authority achieved approximately $198,000 in savings, driven by reduced operating expenses, avoidance of EMV fees, and rate change expenses. In addition, the new meters provide improved consumer payment options including debit, Apple and Google pay. The investment in the new equipment will also materially mitigate our Parking Equipment/Technology Management risk profile identified in our Enterprise Risk Management Strategy. (Please refer to PR5.4 Toronto Parking Authority Enterprise Risk Management Report). Toronto Parking Authority will leverage its Master Services Agreement with Precise Park Link to purchase the pay-by-plate on-street equipment.

Contract Award - Distributed Antenna System Cell Phone Repeater
This report seeks the approval of the Board of Directors of Toronto Parking Authority to award a contract for the implementation of new inbuilding distributed antenna system (DAS) cell phone repeater systems at the following four (4) car parks: Car Park 262: 10 Soho Street Car Park 150: 40 Larch Street Car Park 215: 74 Yorkville Avenue Car Park 286: 51 Dockside Drive As part of Toronto Parking Authority's journey to delivering best in class customer experience that delivers on choice, ease and speed, Management is investing in the systems needed to provide enhanced cellular coverage within underground garages, which can be suboptimal resulting in connectivity issues for customers, parking IT equipment and staff. The four (4) car parks identified for enhanced cellular coverage were prioritized based on transactional volume, revenues and customer feedback. The new systems will amplify signals, ensuring reliable coverage throughout the underground garages and, consistent with our safety first approach, will elevate the safety and security of these facilities for both our customers and our staff. The system will also enable the planned integration of the Green P App with the gated equipment at these car parks, providing additional payment options as early as Q4 2024. The recommendations in this report are the result of a Request for Proposals process that commenced on May 14, 2024. Through a comprehensive evaluation of proposals received, it is recommended that a contract, in an amount not exceeding $1,409,904, excluding HST, for the distributed antenna system cell phone repeater Project be awarded to Linkwave Wireless Solutions Inc.
