Procedures By-law for the Board of Directors of Toronto Parking Authority
The Board of Directors of Toronto Parking Authority currently conducts its meetings according to the procedures in Toronto Municipal Code Chapter 27, as they apply to Committees of Council. In 2019, City Council requested the new Board of Directors, once appointed, to develop its own governance and procedural policy. This report recommends that the Board, subject to approval by City Council, enact its own new Procedures By-law. The new Procedures By-law will come into effect on the date it is approved by City Council.
The Board of Directors of Toronto Parking Authority: 1. Amended subsection 12. (5) (b) (9) by deleting the words "Motion to resolve into Committee of the Whole" and replacing them with "Motion to meet in closed session". 2. Enacted the By-law to govern the proceedings of the Board of Directors of Toronto Parking Authority in Attachment 1 to the report (January 25, 2021) from the City Clerk, as amended, such By-law to come into force on the date it is approved by City Council. 3. Recommended that City Council approve the Toronto Parking Authority Procedures By-law.

Procurement of SAP SuccessFactors and SAP Cloud Analytics Implementation Services from SAP Canada
On October 5, 2020, Toronto Parking Authority successfully implemented SAP S/4 HANA (Phase One) (SAP) to replace its obsolete financial system which fully aligns with the mandated operating model of the City of Toronto and its respective agencies. Management met its objective of deploying a modern, cloud-based, scalable Enterprise Resource Planning application which will drive organizational productivity, transparency, and efficacy. Total SAP implementation fees for Phase One were $4,616,587 which was favourable to budget by $28,636. In 2021, management recommends proceeding, as planned, with our Phase Two SAP implementation strategy. Specifically, the launch of the postponed SAP Cloud Analytics, as well as SAP SuccessFactors Employee Central and SAP SuccessFactors Pay for Performance applications. These initiatives will provide the organization with the capability and fact-based insights necessary to elevate employee performance, drive business literacy, and ensure legislative compliance. Total forecasted costs for Phase Two are $722,440 and are fully reflected in Toronto Parking Authority's 2021 financial budget. As background, SAP Cloud Analytics is a business intelligence software-as-a-solution application that combines analytics functionalities in one intuitive user interface. This agile, self-service model enables greater user access to data and provides the ability to create and perform individualized reports and analytics to save time and effort while making improved business decisions. Employee Central is a core human resource information system, planned to be Toronto Parking Authority's system of record for all employee data from hire, through organizational and position changes, to when the employee leaves Toronto Parking Authority. The addition of the Pay for Performance applications (Performance and Goals, Compensation), provides real-time management of employee performance, including setting performance objectives, achievement tracking, continuous coaching and feedback, performance reviews and evaluations. The inclusion of the Compensation application provides the platform to tie employees' compensation to performance, enabling effective compensation management and planning.
The Board of Directors of Toronto Parking Authority: 1. Authorized the President, Toronto Parking Authority, to enter into a non-competitive agreement with SAP Canada for the implementation of SAP SuccessFactors and Cloud Analytics software professional services in the amount of $365,774, plus a contingency of $54,866 and Harmonized Sales Tax on terms and conditions satisfactory to the President and in a form satisfactory to the City Solicitor. 2. Authorized the President, Toronto Parking Authority, to enter into a non-competitive agreement with Addmore Group for additional project management and financial consulting services in the amount of $141,135 plus Harmonized Sales Tax on terms and conditions satisfactory to the President.

In 2019, Toronto Parking Authority embarked on a business transformation journey, with a business-wide initiative to integrate intelligent technology into all areas of the business to achieve better outcomes and optimized performance and business processes. To set the organization up to succeed and excel at delivering top quality, efficient services, enhancing foundational internal capabilities was essential. On June 26, 2019, the Toronto Parking Authority Board of Directors approved entering into a contract with SAP Canada to provide a SAP S/4HANA Enterprise Resource Planning and Reporting Solution, along with other SAP products and components, software licensing and professional services. The SAP S4/HANA enterprise resource planning system went live on October 5, 2020. With the implementation, Toronto Parking Authority has an on-going requirement for SAP Level 2 application and incident management support services in addition to annual upgrade support, to respond to system and technical issues requiring a high level of technical skill and expertise in S4/HANA. A Request for Proposal was issued. This report seeks Board approval to award a contract for the provision of SAP Level 2 application and incident management support services.

Authorized the President, Toronto Parking Authority to award the contract for the provision of SAP application, incident management support and enhancement services to EPI-USE Canada, providing the highest ranking proponent score, for a term of two years, plus three optional one-year extensions, at the sole option of the President, Toronto Parking Authority, in the estimated amount (two years) of $667,446.00 plus $100,116.90 as a contingency allowance, being the total sum of $767,562.90, subject to annual inflation adjustments as applicable, based on the Consumer Price Index in accordance with the contract provisions and net of all taxes and charges. 2. Directed the President, Toronto Parking Authority, within 60 days of the first anniversary of the contract award, to provide the Board with support metrics, learnings and whether internal software support staff may be useful.

2053 Dufferin Street - Municipal Car Park 670
Toronto Parking Authority operates a 23-space, surface car park at 2053 Dufferin Street known as Car Park 670. The car park is comprised of both lands owned by the City of Toronto, as well as, a 2.47 metre (m) wide strip of the northern portion of 2045 Dufferin Street (Private Premises). The Private Premises was operated under a Parking Management Agreement with the owner of the Private Premises, Dufferin Street Professional Clinic Inc. (Owner), authorized by Toronto Parking Authority Board of Directors in 2007. As part of its ongoing review of underperforming locations, Toronto Parking Authority has identified Car Park 670 as a candidate location for disposal. Demands for parking at this location have been consistently low for a number of years and Toronto Parking Authority has realized net losses in each of the 14 years prior. Toronto Parking Authority has evaluated a range of options to improve the financial performance of Car Park 670, but has concluded that the operating expenses incurred at Car Park 670 will continue to exceed the revenues generated for the foreseeable future, regardless of the structure of the arrangement. A detailed analysis of the operations at Car Park 670 and the various options considered by Toronto Parking Authority to improve financial performance is provided herein. Given the low demand for parking, the continued financial losses and the availability at other Toronto Parking Authority lots operating nearby, Toronto Parking Authority is recommending that Toronto Parking Authority Board of Directors declare the property at 2053 Dufferin Street surplus to the operational needs of Toronto Parking Authority and refer the property to Corporate Real Estate Management to make available for other City Divisions, Agencies and Corporations. Should there be no interest in the property expressed by other City Divisions, Agencies and Corporations, the property would be made available for purchase on the open market. In addition, this report addresses the status of the Private Premises that are being used by Toronto Parking Authority for the expanded operation at Car Park 670. Toronto Parking Authority's use of these lands was the subject of a parking management agreement that expired in 2017. While the terms and conditions of the parking management agreement have continued to be honoured since the expiry of the agreement, authority is being requested to formally acknowledge the arrangement with the owner of the Private Premises and resolve all outstanding issues at 2053 Dufferin including the payment of all fee arrears and capital work needed to restore the Private Premises to their original condition.

Toronto Parking Authority Board of Directors direct Toronto Parking Authority to notify Corporate Real Estate Management that the property is surplus to the operational requirements of Toronto Parking Authority and that Corporate Real Estate Management be requested to make the property located at 2053 Dufferin Street available to City Divisions, Agencies and Corporations, and that should there be no interest, that the property be disposed in keeping with the standard approach to disposition of lands. 4. Toronto Parking Authority Board of Directors authorize the President, Toronto Parking Authority to negotiate, enter into and execute an Agreement with the Owner to resolve all outstanding issues at 2045 Dufferin Street, including the payment of all arrears, and further management fees for a period not exceeding 18 months from February 8, 2021 and capital work needed to restore the Private Premises to their original condition. 5. Toronto Parking Authority Board of Directors direct Toronto Parking Authority to terminate all operations at Car Park 670 as soon as practical and request Corporate Real Estate Management to apply a Municipal Capital Facility designation to the site. 6. Toronto Parking Authority Board of Directors request City Council to remove Car Park 670 located at 2053 Dufferin Street from the list of municipal parking facilities identified in Chapter 950 of the Toronto Municipal Code.

Investment in Parking at 229 Richmond Street West
In October of 2019, City Council approved the acquisition of a privately-owned property at 229 Richmond Street West (Subject Property). The acquisition of the Subject Property closed on January 15, 2020 and represents an important City-building opportunity due to its location and corresponding property value. CreateTO, with internal and external stakeholders, including Toronto Parking Authority and Parks, Forestry and Recreation Division, has been working to develop conceptual designs to establish the feasibility of developing the Subject Property with a surface park and underground municipal parking. The current parking garage design includes 144 parking spaces over three (3) below grade levels with access provided to and from Nelson Street. The subject property is located in a high demand area for parking, but is underserved with municipal parking. Strategically located within the Entertainment District and one of the highest growth areas in the City of Toronto, an investment in parking in this area would fill an identified need. The purpose of this report is to provide an update on the potential investment in parking at 229 Richmond Street West and to seek concurrence from Toronto Parking Authority Board of Directors to work with CreateTO to carry out additional due diligence in the form of a preliminary design for the garage and a cost estimate. Should it be determined that the investment in parking at 229 Richmond Street West is financially viable, a further update will be provided to Toronto Parking Authority Board of Directors with a request for authority to make a financial contribution to the construction of parking at the Subject Property.

Received a preliminary financial analysis on the feasibility of investing in public parking at 229 Richmond Street West contained in Confidential Attachment 1 to the report (January 25, 2021) from the President, Toronto Parking Authority. 2. Directed Toronto Parking Authority to work with CreateTO to conduct further due diligence on the investment in public parking at 229 Richmond Street West at a cost not to exceed $350,000 (plus Harmonized Sales Tax). 3. Directed the President, Toronto Parking Authority, in consultation with the Director, Energy and Environment Division, to submit to the Board of Directors a report on any new investments in parking infrastructure construction to ensure the investment is advancing the City's climate mitigation goals, including, but not limited to: reducing the energy and resources footprint of the construction, the lifecycle costs, electric vehicle ready installation, onsite storm water management features, encourage transportation mode share shift and adaptive reuse of any physical structures. 4. Directed that Confidential Attachment 1 to the report (January 25, 2021) from the President, Toronto Parking Authority remain confidential in its entirety, at the discretion of the President, Toronto Parking Authority, as it pertains to financial information that belongs to the Board of Directors of Toronto Parking Authority and has monetary value or potential monetary value.

Toronto Parking Authority Collective Bargaining
