Toronto Parking Authority - 2021 Second Quarter Financial Update
Toronto Parking Authority's operating loss for the first half of 2021 is $(8.1) million: $(4.6) million worse than plan. Operating revenues missed plan by $(11.3) million driven by parking transactions which were down -23 percent versus 2020 (Table One). Bike Share operating losses for the first half of the year narrowed to $(1.2) million, +$0.7 million favourable versus plan driven by membership growth of +50 percent during the first half of the year. Due to the unexpected duration of Covid-19 restrictions during the first half, Toronto Parking Authority's full year operating loss is forecasted to be $(9.5) million or $(7.3) million versus plan. Second half year performance will miss plan by $(1.4) million as revenue is forecasted to slowly return to plan during the summer as pandemic restrictions lift. Focus remains on cash preservation including aggressive controllable cost management and deferment of planned capital investments. $26.8 million of planned capital investments will be postponed which will offset the cash losses anticipated by the increased forecasted financial operating loss of $(9.5) million. Notwithstanding these deferments, Management continues to focus its capital investments in safety, infrastructure improvements, enterprise operating systems and customer centred technologies, including Electric Vehicle infrastructure, designed to maximize revenue and future proof parking operations. In the second half of 2021, Management will be partnering with our colleagues across the City as we develop and negotiate an updated Relationship Framework including new revenue and net income sharing agreements that will form the basis of the financial model for Toronto Parking Authority going forward. Management will update the Board on its progress throughout the balance of 2021.

Cyber Security Threat Risk Assessment
This report presents the results of a cyber security assessment on the Toronto Parking Authority's information technology environment completed July 2, 2021, and provides confidential information regarding the findings to the Toronto Parking Authority Board of Directors.

Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority (see Appendix A) sets out the authorities delegated by Toronto Parking Authority Board of Directors to Toronto Parking Authority to make financial commitments and execute documents. Toronto Parking Authority is proposing to amend the policy to update the cost thresholds, recognize the authorities related to commercial management agreements, including parking management and parking equipment agreements, real estate activities involving lands or a portion of lands under Toronto Parking Authority's operational jurisdiction and the lack of Toronto Parking Authority's authority to acquire lands or an interest in lands. Further amendments are proposed to clarify the authority to amend or extend contracts and to both initiate and resolve legal action. The proposed amendments will provide Toronto Parking Authority with increased operational flexibility, improve Toronto Parking Authority's competitive position in the marketplace, ensure alignment with the authorities provided to Toronto Parking Authority under Chapter 179 of the Municipal Code and minimize the potential for misinterpretation. Consequential amendments to Policy 5-13 - Purchase Cards (National Bank Mastercard) are needed to ensure alignment with the proposed changes to Policy 5-10.

As background, in March 2018 (Item PA8.4), City of Toronto Corporate Security commenced a security review of Toronto Parking Authority garages with a particular focus on those facilities experiencing higher frequencies of reported incidents. This assessment identified the need to invest in a more robust, multi-layered security platform utilizing incremental personnel, facility enhancements, and technology. The first element of the programme focused on the deployment of security guards. Garda Canada was awarded the security contract December 12, 2019 (Item PA11.6). Subsequently, on April 6, 2021 (Item PA22.4), Management was granted the authority to expand its existing two-year contract with Garda Canada by a sum not to exceed $1,100,000 including contingencies. This request was driven by the unprecedented increase in vandalism, drug use, vagrancy and customer/staff harassment across our portfolio with the most egregious issues occurring in our city centre locations (Table 2 - Reported Security Incidents). The second critical element of our security programme is the recommended deployment of specialized equipment including closed-circuit television cameras, emergency intercoms and access control systems to act as an additional deterrent to vandals while providing increased levels of security and safety for our customers and staff. Phase One of this project will focus on our nine (9) priority garages, it will require an authorized investment of $4.7 M and will take up to three (3) years to complete. Management will update the Board on our deployment status on a semi-annual basis beginning in 2022.

Contract Award - 9 Bedford Road (Car Park 58)
Toronto Parking Authority issued a request for proposals to retain the consultant services needed to complete restoration works at Car Park 58, which is located at 9 Bedford Road. The scope of work consists of a comprehensive building condition assessment report, creation of tender drawings and specifications, and contract administration services for the rehabilitation of the underground parking garage including all structural, mechanical, electrical and life safety systems. The request for proposal was issued to five (5) consultants and four (4) proposals were received. All the consultants invited to submit proposals are capable of providing the services required. The selection is guided by the fee quoted, technical capabilities of the consultants, submission requirements and acceptance of the terms and conditions noted in the request for proposal. Based on the bid price, ability to complete the work in the prescribed time and the conformance to tender requirements, request for proposal is recommending that the contract be awarded to Read Jones Christoffersen Ltd.

Lease Agreement - 40 Carl Hall Road
This report seeks Toronto Parking Authority Board of Directors to authorize the President, Toronto Parking Authority to forward to the Deputy City Manager, Corporate Services, a proposed lease agreement (Agreement) with Parc Downsview Park Inc., (the Owner) at 40 Carl Hall Road (the Subject Property) for a term of five (5) years, with a request that the Agreement be approved through the appropriate real estate approval process and that the Deputy City Manager, Corporate Services, report to City Council to have this leasehold interest in land be designated by City Council as a municipal parking facility so that the Toronto Parking Authority may be able to operate a 163-space parking facility on the Subject Property. The Subject Property is located in close proximity to the Downsview Park subway and GO Transit stations and is anticipated that the demand at the lot will largely be from displaced commuters currently relying on the use of Car Park 811 located at 50 Wilson Heights Boulevard, which is being redeveloped as part of the Housing Now initiative. The proposed operation will provide 163 spaces to help offset the loss of 885 spaces at Car Park 811. The Subject Property requires minimal capital improvements to meet Toronto Parking Authority operational design requirements.

This report seeks authority from Toronto Parking Authority Board of Directors to accept a proposed settlement payment from Empire Communities (1603 Eglinton) Ltd., (the Developer) related to lost revenue compensation as a final outstanding matter under a Purchase and Sale Agreement that was entered into between Toronto Parking Authority and the Developer dated February 12, 2013 (the Agreement). Under the terms of the Agreement, the Developer was responsible for constructing 33 parking spaces in accordance with Toronto Parking Authority Design Specifications (the Public Parking Facility) and turning over the Public Parking Facility to Toronto Parking Authority on or before March 31, 2020. Turnover of the Public Parking Facility was not completed until December 4, 2020. Under the Agreement, the Developer is responsible for compensating Toronto Parking Authority for the delay in the turnover of the Public Parking Facility. The Developer asserts that the delay was attributed to work stoppages that were required as a result of the Covid-19 pandemic.

Proposed Settlement with 2261016 Ontario Corporation
The purpose of this report is to confirm instructions regarding a settlement of monies owed by numbered company, 2261016 Ontario Corporation, who operates Vescio Funeral Homes Inc., to Toronto Parking Authority for the use of parking spaces at Car Park No. 658 located at 2054 Dufferin Street, Toronto, Ontario. Request for Additional Funds: McCarthy Tétrault LLP
This report seeks authority from Toronto Parking Authority Board of Directors to amend Purchase Order Number 4500000717 issued to McCarthy Tétrault LLP (McCarthy) for legal services related to Toronto Parking Authority's opposition of trademarks proposed to be registered in Canada by Parkmobile International Holding B.V. (Parkmobile). The trademarks, which Parkmobile is seeking to register are similar to the signs and symbols used by Toronto Parking Authority, are protected as registered trademarks or as official marks under Section 9 of the Trademark Act. McCarthy commenced an opposition to all five (5) Parkmobile advertised applications on February 22, 2019, September 20, 2019, and June 28, 2021 (as detailed under Confidential Attachment 1). Toronto Parking Authority is seeking authority to increase the Purchase Order issued to McCarthy by more than 20 percent, which under Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority, requires the authority of Toronto Parking Authority Board of Directors.

Summary of Legal Disputes - 2021 Third Quarter Update
As part of Toronto Parking Authority's operation of commercial parking, the management of tenanted properties and Bike Share Toronto, Toronto Parking Authority is dealing with a range of legal matters related to supplier disputes, personal injuries, commercial tenancy disputes and the protection of Toronto Parking Authority's registered trademarks. Toronto Parking Authority has suitable insurance in relation to such concerns, such as general liability insurance for all of its facilities; and has assigned/retained legal counsel and insurance adjusters to manage any claims. Details about the specific legal disputes are included in Confidential Attachment 1. This report is the first of a quarterly update that will be provided on the status of ongoing legal disputes.

Toronto Parking Authority Parking Management Services Portfolio Update
Toronto Parking Authority operates an extensive inventory of over 304 off-street parking facilities containing over 40,000 spaces. 144 of these locations, including more than 24,000 parking spaces are managed and operated by Toronto Parking Authority under arrangements collectively described as "Parking Management Agreements" or "PMAs". Through Parking Management Agreements, Toronto Parking Authority provides some or all of the following parking management services: undertaking of capital improvements, provision of payment equipment, coin collection services, enforcement and maintenance. In most cases, Toronto Parking Authority provides a full range of services, however, a more limited arrangement may be provided in some cases at the request of the contracting party. In 2019, Toronto Parking Authority's parking management business generated approximately $31,524,683 in annual gross revenue. While demands and revenues have softened during the COVID-19 pandemic, it is expected that this part of Toronto Parking Authority's business will thrive as public health restrictions are lifted. Within the context of the new City-Wide Real Estate model, where Toronto Parking Authority no longer has an interest in the ownership of land, Toronto Parking Authority is increasingly shifting its focus to an expansion of the parking management services it provides to third parties through Parking Management Agreements. This part of Toronto Parking Authority's business has a lower risk profile and has the potential to generate returns that outperform the traditional operation of owning and operating parking facilities. The purpose of this report is to provide Toronto Parking Authority Board of Directors with the first update on the status of Toronto Parking Authority's Parking Management Agreements portfolio, an overview of the policy framework governing Toronto Parking Authority's management of parking for third parties, a number of key issues impacting Toronto Parking Authority's parking management portfolio and an overview of new opportunities. Future updates will be provided on a quarterly basis moving forward.

Wayfinding and Signage at Toronto Parking Authority Car Parks
