Toronto Parking Authority Enterprise Risk Management Report
At its meeting on March 28, 2023, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR1.3 and made recommendation to the Board of Directors of Toronto Parking Authority. The Toronto Parking Authority currently does not have a formal Enterprise Risk Management strategy. The purpose of this report is to provide the proposed scope for consultant services to facilitate an Enterprise Risk Management assessment and support the setup of the Enterprise Risk Management Program. Management will issue a Request for Proposals in the second quarter of 2023 and will provide an update on the status of the implementation of the program at the November 2023 Toronto Parking Authority Audit and Risk Management Committee.

Summary from the report (March 14, 2023) from the President, Toronto Parking Authority At its meeting of November 8, 2021, the Board of Directors, Toronto Parking Authority, reviewed, approved and endorsed an update to Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority, as amended by resolution. Among other things, these amendments increased the Toronto Parking Authority President's authority to make commitments on behalf of the Toronto Parking Authority from an amount not exceeding $250,000 to an amount not exceeding $500,000. At the same meeting, the Board of Directors also established an Audit and Risk Management Committee and adopted the mandate and Terms of Reference presented in Item PA27.13. Under the Roles and Responsibilities adopted by the Board, the Audit and Risk Management Committee shall review a list prepared by Management that summarizes the items where the Toronto Parking Authority President has used the increased delegation of authority. The purpose of this report is to provide a summary outlining the Toronto Parking Authority President's use of the increased delegation of authority between October 7, 2022 and March 8, 2023.

Summary of Legal Disputes - 2023 First Quarter Update
At its meeting on March 28, 2023, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR1.5 and made recommendations to the Board of Directors of Toronto Parking Authority. Summary from the report (March 10, 2023) from the President, Toronto Parking Authority As part of Toronto Parking Authority's operation of commercial parking, the management of tenanted properties and Bike Share Toronto, Toronto Parking Authority is dealing with a range of legal matters related to supplier disputes, personal injuries, commercial tenancy disputes and the protection of Toronto Parking Authority's registered trademarks. Toronto Parking Authority has suitable insurance in relation to such concerns, such as general liability insurance for all of its facilities; and has assigned/retained legal counsel and insurance adjusters to manage any claims. Details about the specific legal disputes are included in Confidential Attachment 1. This report is a reoccurring update provided to the Board about the status of ongoing legal disputes. 2023 Short-term Incentive Plan

Toronto Parking Authority is on its accelerated journey towards its vision of becoming the world's best provider of sustainable parking, bike share and last mile mobility experiences. To support this effort, Toronto Parking Authority has been addressing our significant capability gaps with a particular emphasis on acquiring new talent in an extremely competitive labour market. In support of this effort, the Board approved revisions to the compensation plan for the President, Vice-Presidents and Directors and requested that the President report to the Board with recommendations on the design details of the 2023 Short-Term Incentive Program. City of Toronto - Toronto Parking Authority Relationship Framework - Update
The purpose of this report is to provide an update to the Toronto Parking Authority Board of Directors about the City - Toronto Parking Authority Relationship Framework, which was adopted by City Council, with amendments, at its meeting of March 29, 30 and 31, 2023. Amendments to the Relationship Framework include a recognition that Toronto Parking Authority will support the City's Housing Action Plan and assist the City to reach net-zero climate pollution by 2040, in a manner consistent with TransformTO. These changes, as well as other minor changes made to reflect input from City Divisions and Agencies are summarized in Table 1 and included in an edited version of the document appended to this report (refer to Attachment 1). In addition to amendments to the Relationship Framework, City Council also requested that the President, Toronto Parking Authority, report on the feasibility of providing parking discounts to veterans at the April 21, 2023 meeting of the Board. Although there is insufficient time to adequately address this request at the April 21, 2023 meeting, Toronto Parking Authority will bring forward a response to address this request at the Board of Director's next meeting of May 25, 2023.

Pay by Plate Equipment Purchase
A key priority of Management's approved 2023 Annual Operating and Capital Plan is to initiate the modernization of its' parking payment equipment. As a critical first step in our multi-year journey, Management is seeking authorization from the Board of Directors, Toronto Parking Authority, to purchase 225 pay-by-plate on-street payment machines valued at $2,056,961.25. The current pay and display machines, which have been in the market since 1998, are approaching their end-of-serviceable-life and require replacement. As background, The Toronto Parking Authority's current on-street parking portfolio includes approximately 21,500 parking spots and accepts payment via 2,728 pay-and-display parking machines, 180 single-space parking meters, and our Green P App. In 2022, Toronto Parking Authority's on-street paid parking program generated $44.7 million in revenues with 30 percent generated directly through the pay and display equipment. Toronto Parking Authority's current equipment is rapidly approaching obsolescence. While providing rudimentary payment options, the existing pay and display machines are severely limited in their capacity to support both current and emerging payment technologies: Critically, 20+ year old pay and display equipment does not accept Debit card payments, which represents 28 percent of all retail payments in Canada. In addition, the equipment does not support any other form of contactless payments including tap, Apple Pay, Google Pay, Samsung Pay, etc. There is a risk that the pay and display machines will not be "chip and pin" compliant. Pay and display equipment requires a physical ticket to be placed on the vehicle dashboard as proof of payment. Not only is this process archaic from a customer perspective, it is unproductive from an enforcement standpoint, driving incremental costs Toronto Parking Authority's legacy pay and display equipment operates exclusively on 3G networks, which will not be supported post 2025. In 2023, as a first step in addressing these operational limitations, Management will deploy 225 of the new pay-by-plate machines in high velocity zones to maximize customer reach while de-risking our exposure identified above. The new pay-by-plate equipment, which is currently in markets across Canada and the United States, will provide a myriad of payment solutions for our customers including Debit card, Credit card, Apple, Google and Samsung Pay, as well as cash payments. Proof of payment will be virtual, obviating the requirement to display proof of payment in the vehicle. Lastly, the new equipment will operate over a 4G compliant network and will be fully integrated with Toronto Parking Authority/Toronto Police services' digital enforcement platforms. In conjunction with the deployment plan described above, Management will be developing a longer-term customer payment strategy that will elevate the use of technology and digitization to provide a more seamless, integrated solution to our customers across our entire portfolio including on and off-street parking, Bike Share and Electric Vehicle Charging. This work will help to inform Management of the required pace and scale of our equipment upgrades over the next three (3) years. Toronto Parking Authority will leverage its Master Services Agreement with Precise Parklink Inc, to purchase the equipment. The total cost of this purchase is included in Toronto Parking Authority's approved 2023 - 2025 Capital Budget.

Contract Award: 2023-CS-CP286B10 Localized Waterproofing Repairs at 51 Dockside Drive Car Park 286
The purpose of this report is to seek authorization from the Board of Directors, Toronto Parking Authority, for the Localized Waterproofing Repairs located at 51 Dockside Drive (Car Park 286) valued at $809,337 plus $190,663 as an optional work allowance, and $60,000 as a contingency allowance, being the sum total of $1,060,000 excluding HST. Car Park 286, located at 51 Dockside Drive, is a 10-year-old, three (3) level underground reinforced concrete parking structure. The garage was built circa 2011. Above the underground garage is a post-secondary institutional building operated by George Brown College. Car Park 286 is one of the top 20 highest revenue-generating car parks across Toronto Parking Authority's portfolio delivering a forecasted revenue of $806,000 in 2023. As such, this investment is not only important from a safety perspective, but also consistent with Toronto Parking Authority's strategy to reinvest in infrastructure that is accretive to its profit & loss statement and brand. In 2022 Toronto Parking Authority retained a consultant to complete a Building Condition Assessment of Car Park 286 to quantify and schedule a maintenance strategy. Based on the findings in the Building Condition Assessment, Toronto Parking Authority retained Read Jones Christoffersen Ltd. (RJC) to perform design, tendering, and contract administration services for the recommended repair work. RJC developed a Request for Tender package to complete localized traffic deck coating replacement, concrete repairs, crack injection and drainage repairs at the facility. Toronto Parking Authority completed a competitive procurement process, with the Request for Tender package issued for tender on March 17, 2023 to eight bidders, with five (5) compliant bids received upon tender close on March 31, 2023. Based on the submission of a compliant bid, the bid price, ability to complete the work in the prescribed time and the conformance to tender requirements, Toronto Parking Authority is recommending that the contract for 2023-CON-CP286-B10 - Localized Waterproofing Repairs at Car Park 286 be awarded to Maxim Group General Contracting Ltd. (Maxim Group). The work is scheduled to start in May 2023, with construction completion scheduled for fourth quarter 2023.

Contract Award - 2023-CON-CP68-B10 Garage Restoration Project at 20 St. Andrew Street (Car Park 68)
The purpose of this report is to seek authorization from the Board of Directors, Toronto Parking Authority, for the garage restoration project located at 20 St. Andrew Street (Car Park 68) valued at $6,538,450 plus $1,000,000 as a contingency allowance, being the sum total of $7,538,450 excluding HST. Car Park 68, located at 20 St. Andrew Street (Kensington Garage), is a 45-year-old, six (6) story parking structure with 417 spaces in the Kensington Market neighborhood. This facility is one of the top 15 most productive garages in Toronto Parking Authority's portfolio delivering a forecasted revenue of $1.65 Million in 2023; +$500,000 better than 2019 pre-pandemic performance. As such, this investment is consistent with our strategy of prioritizing investments for the purposes of safety, financial sustainability and brand reputation. In 2022, Toronto Parking Authority initiated the replacement of heavily deteriorated steel stairs at Car Park 68 with concrete filled pans, with actions taken to replace the existing stairwells to address immediate public safety concerns. The next phase of the garage modernization program is to address the State of Good Repair requirements at the facility in 2023. Toronto Parking Authority retained Sense Engineering (GTA) Ltd. on November 23, 2022 for consulting services needed to review the previously completed Building Condition Assessment, provide a plan to complete major repairs based on the findings of the Building Condition Assessment, and provide tendering, permitting, and contract administration services. The scope of work at Car Park 68 includes complete waterproofing and asphalt replacement, concrete repairs, full drainage replacement including sump pump and ventilation systems replacement. Toronto Parking Authority completed a competitive procurement process, with the Request for Tender package issued to eight bidders on March 10, 2023, with seven (7) compliant bids received upon tender close on March 31, 2023. Based on the submission of a compliant bid, the bid price, ability to complete the work in the prescribed time, and the conformance to tender requirements, Toronto Parking Authority is recommending that the contract for 2023-CON-CP68-B10 - Garage Restoration at Car Park 68 be awarded to The Restorers Group Inc. (Restorers Group). The Garage Restoration is scheduled to start in May 2023, with construction completion scheduled for fourth quarter 2024.

In accordance with Section 46(2) of By-law 1-2021, the Procedures By-law of the Toronto Parking Authority Board of Directors, this letter serves as notice that the Board will consider amendments to the Procedures By-law at the next meeting of the Toronto Parking Authority Board of Directors. The amendments are related to permitting the continuation of electronic participation at meetings and the time required to achieve quorum increased from 15 minutes to 30 minutes. City Council at its meeting on March 29, 30 and 31, 2023 considered Item EX3.7 Making Electronic Participation for Council and its Local Boards Permanent and, among other things, has authorized local boards to also amend their rules of procedure with respect to these matters without having to seek further Council approval.
