At its meeting on May 5, 2023, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR2.1 and made a recommendation to the Board of Directors of Toronto Parking Authority. Summary from the report (April 21, 2023) from the President, Toronto Parking Authority The purpose of this report is to provide the Audit and Risk Management Committee of the Board of Directors of Toronto Parking Authority with the draft audited financial statements and highlights of the 2022 financial results for the year ended December 31, 2022. KPMG LLP has completed their audit of Toronto Parking Authority's financial statements for the year ended December 31, 2022. A draft of the financial statements along with a copy of KPMG's year-end report to the Audit and Risk Management Committee is provided in Attachments 1 and 2. The financial statements continue to be marked as draft pending approval by the TPA Board of Directors. KPMG Audit Partner, Kevin Travers, will be attending the May 5, 2023 Audit and Risk Management Committee meeting to provide a summary on significant accounting and financial reporting matters dealt with during the audit process.

Toronto Parking Authority - 2023 March 31 Year-to-Date Financial Performance (First Quarter Results)
At its meeting on May 5, 2023, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR2.2 and made a recommendation to the Board of Directors of Toronto Parking Authority. Summary from the report (April 21, 2023) from the President, Toronto Parking Authority Toronto Parking Authority's net income March 31 quarter to date was $8.6 million; $6.1 million higher versus plan. Total revenue was $31.5 million; $1.4 million higher to plan as parking revenue reached a post-pandemic high of 84.6 percent (versus 2019). Costs were $22.1 million; $3.5 million lower than plan driven by favourability on salaries, utilities, maintenance, and consulting costs. Financing income was $1.1 million better than plan due to the higher interest rates on cash balance. This is expected to decrease throughout the year as capital is deployed. Management will be providing a full-year forecast in conjunction with Second Quarter (Q2) results. Capital spend was $2.8 million and is tracking to our planned spending curve.

On-Street Paid Parking Growth Strategy and Rate Review Process
At its meeting on May 5, 2023, Toronto Parking Authority - Audit and Risk Management Committee considered item PR2.5 On-Street Paid Parking Growth Strategy and Rate Review Process. Summary from the Report (April 21, 2023) from the City Clerk: The purpose of this report is two-fold. First, to socialize with the Audit and Risk Management Committee of the Board of Directors an overview of Toronto Parking Authority's on-street parking growth strategy. Secondly, to share with the Committee the complex process involved in the implementation of new rate changes that were last executed 2017. As background, Toronto Parking Authority operates an extensive inventory of on-street paid parking that includes approximately 21,500 parking spaces. In 2022, the on-street parking portfolio generated $44.7 million in revenues accounting for 36 percent of the $124M in total revenues generated by Toronto Parking Authority. As part of Management's growth strategy, Toronto Parking Authority has begun to identify opportunities to optimize performance of its on-street portfolio including pricing, expanded paid hours of operation and incremental inventory. Concurrently, management will be working towards establishing a more efficient regulatory environment in which to operate the business. Regular updates will be brought forward to the Board throughout the year including proposed amendments to Chapter 179 of the Municipal Code which governs Toronto Parking Authority's ability to establish and make changes to on-street parking rates. In addition, Toronto Parking Authority will carry out a comprehensive review of on-street paid parking rates and bring forward recommended changes as part of its' 2024 Operating Budget and 2024 - 2026 Capital Budget.

2022 Toronto Parking Authority Annual Report
Toronto Parking Authority has prepared its 2022 Annual Report, which outlines the accomplishments of the prior year and includes the consolidated audited financial statements and a joint message from Toronto Parking Authority's Board Chair and President. The 2022 draft Annual Report included in Attachment 1 presents all of these materials with the exception of the financial statements. The 2022 financial statements are being submitted to the Toronto Parking Authority Board of Directors for approval at this meeting through a separate report (PA4.1). Once approved, Toronto Parking Authority will incorporate the financial statements into the 2022 Annual Report and finalize for distribution and publishing on Toronto Parking Authority's website.

Toronto Parking Authority On-Street Electric Vehicle Charging Program Update
As part of our vision to become the world's best provider of sustainable parking, bike share and last mile mobility experiences, Toronto Parking Authority is executing an ambitious rollout plan for Electric Vehicle charging across the City of Toronto. Responding to City Council direction that Toronto Parking Authority assume responsibility for the operation, maintenance and continued expansion of the City's on-street Electric Vehicle charging program, Toronto Parking Authority began to mobilize plans to deliver its first 50 on-street Electric Vehicle chargers at 30 locations across eight (8) Wards in 2023. To support the delivery of the 2023 On-Street Electric Vehicle Charging Program, Toronto Parking Authority has completed a number of enabling work programs in recent months, including site assessments, detailed engineering design, coordination with Toronto Hydro-Electric Systems Limited and the establishment of a Vendor of Record arrangement with Electric Vehicle charging equipment suppliers. Compared to the off-street Electric Vehicle charging program, the installation of on-street Electric Vehicle charging infrastructure has additional complexities and costs due to technical, permitting and stakeholder considerations in the public right-of-way. These risks were summarized in a presentation provided to Toronto Parking Authority Board of Directors at its March 3, 2023 meeting and are being actively managed by Toronto Parking Authority. The purpose of this report is to provide an update on the 2023 On-Street Electric Vehicle Charging Program and seek authority to award approximately $816,642, excluding HST, in contracts to Black and McDonald Limited for the construction services required to complete the installation of 50 chargers at 30 locations in 2023. Additional information on the Request for Proposal, bid evaluation and selection process is included in Attachment 1. Lastly, Toronto Parking Authority requires utility application and connection support in order to install electric vehicle charging infrastructure at on-street locations. Toronto Hydro-Electric Systems Limited is the sole electric utility provider for Toronto and the sole vendor capable of providing this critical enabling work and, as a result, Toronto Parking Authority is seeking authority to issue a Purchase Order to Toronto Hydro-Electric Systems Limited in the amount of $0.5 Million to support project delivery.

Contract Award - 2023-CON-CP43-B10 Concrete Repairs at 2 Church Street (Car Park 43)
The purpose of this paper is to seek authorization from the Board of Directors, Toronto Parking Authority, for the garage restoration project located at 2 Church Street (Car Park 43) valued at $10,473,650 in base scope, plus $1,770,732 in selected optional items, plus $2,450,000 as a contingency allowance, being the sum total of $14,694,382 excluding HST. Car Park 43 located at 2 Church Street, is a 40-year-old, six (6)-storey parking structure with 2008 spaces in the St. Lawrence Market Neighbourhood. The garage includes an eight (8)-storey Toronto Community Housing building above the structure. Pre-pandemic (2019) gross revenues were $7.3M. The 2023 plan forecasts Car Park 43 to generate $4.2M. First Quarter Year to Date, Car Park 43 has generated $1.17M and is tracking to beat plan by $500K to $750K. Car Park 43 consistently remains as one of the top five (5) highest revenue-generating garages across Toronto Parking Authority's portfolio. As such, this investment is critical from a safety perspective and consistent with our strategy to reinvest in infrastructure (State of Good Repair) capital and reduce reputational risk to Toronto Parking Authority's brand. In 2022, Toronto Parking Authority initiated an emergency project valued at $4.3M to replace the heavily deteriorated steel stairs with concrete-filled pans. This project will be completed by June 2023, mitigating the immediate public safety concern. The next phase of the Car Park 43 garage modernization program is to address the critical structural and systems deficiencies (State of Good Repair). The previously completed Building Condition Assessment outlined the scope of work at Car Park 43 to include: - Complete waterproofing and asphalt replacement; - Concrete repairs; - Total drainage replacement, including the sump pump system; and - Ventilation system replacement. Toronto Parking Authority retained Read Jones Christoffersen Ltd. on February 17, 2023, for consulting services needed to review the previously completed Building Condition Assessment, provide a plan/strategy to complete major repairs based on the findings of the Building Condition Assessment, and provide tendering, permitting, and contract administration services. Following the close of Tender and initial review of the bids by both Toronto Parking Authority and Read Jones Christoffersen Ltd., a post-tender addendum was issued on May 2, 2023 to the four (4) compliant bidders to clarify their understanding of the project phasing, and the guard replacement on the P1 level. Completed addendum forms were received from each of the four (4) compliant bidders by the close of the post-tender period on May 3, 2023 Based on the submission of a compliant bid (including post-tender submission), the bid price, ability to complete the work in the prescribed time and the conformance to tender requirements, Toronto Parking Authority is recommending that the contract of work for 2023-CON-CP43-B10 - Concrete Repairs Phase 1 at Car Park 43 be awarded to Maxim Group General Contracting Ltd. (Maxim Group). The project is scheduled to start in July 2023, with construction completion scheduled for early third quarter 2025.

Making Electronic Participation for the Toronto Parking Authority Permanent
The purpose of this report is to recommend amendments to the Toronto Parking Authority Procedural By-Law to make electronic participation a permanent option for meetings of the Board and its committees. At its meeting of March 29, 30 and 31, 2023, City Council adopted Item EX3.7, authorizing local boards governed by the City of Toronto Act, 2006, to amend their own rules of procedure to permit electronic participation by board members and the public, and to change the time required to achieve quorum from 15 minutes to 30 minutes, and authorized such boards to continue to meet electronically in accordance with the previously adopted electronic participation rules past the May 9, 2023 deadline until they can meet to consider procedural amendments.
The Board of Directors of the Toronto Parking Authority: 1. Amended Procedures By-law 1-2021 to: a. permit electronic participation in all meetings and amend Section 31 so it reads as follows: "31. Electronic Participation in Meetings: (1) Despite any other provisions of this By-law, the Board and its Committees may hold a meeting where some or all of the Members participate electronically; and (2) Where a meeting is being held in accordance with this section: (a) any Member participating in the meeting electronically shall be deemed present for the purposes of determining whether a quorum is present under section 32, and for the purposes of voting on any matter put to a vote under section 30, and for all other purposes. (b) any member participating in the meeting electronically shall be entitled to participate in any portion of the meeting closed to the public in accordance with section 30."; and b. change the time required to achieve quorum from 15 minutes to 30 minutes.

City of Toronto Relationship Framework for the Toronto Parking Authority
At its meeting on March 21, 2023, the Executive Committee considered Item EX3.4 and made recommendations to City Council. Item EX3.4 was considered and amended by City Council at its meeting on March 29, 30, and 31, 2023. Summary from the report (March 7, 2023) from the President, Toronto Parking Authority: The purpose of this report is to transmit the City's Relationship Framework for the Toronto Parking Authority to City Council for approval. A Relationship Framework is City Council's governing instrument used for setting out the specific mandate, delegations of authority, legislative framework, policy directions and accountability for City Agencies, and their relationship to the City of Toronto. This Relationship Framework reflects the Toronto Parking Authority's mandate in Chapter 179 of the Toronto Municipal Code, Parking Authority, subsequent Council decisions pertaining to the Agency, and applicable policies and legislation. The City Manager's report with the Relationship Framework was considered and received by the Board of Directors of the Toronto Parking Authority on May 27, 2022. It is now being submitted to City Council for approval.

City Council adopt the Relationship Framework of the City with the Toronto Parking Authority as set out in Attachment 1 to the report (March 7, 2023) from the City Manager, as amended by Part 2 below. 2. City Council amend Section 2.2, City Strategic Objectives in Providing the Services, in Attachment 1 to the report (March 7, 2023) from the City Manager by adding the following new Part 9: 9. Supporting the City's Housing Action Plan objectives by: a. working in consultation with the Executive Director, Housing Secretariat and the Chief Executive Officer, CreateTO to identify underutilized parking facilities and parking facilities within Protected Major Transit Station Areas for the purpose of redevelopment; and b. supporting plans for redevelopment of parking facilities that prioritize the provision of new affordable housing. 3. City Council amend the City of Toronto Relationship Framework for the Toronto Parking Authority in Attachment 1 to the report (March 7, 2023) from the City Manager to add a new section 4.3: 4.3. The Toronto Parking Authority shall, in delivering this mandate, do everything practicable to assist the City to reach net-zero climate pollution by 2040, in a manner consistent with TransformTO. 4. City Council request the Board of Directors of the Toronto Parking Authority to report on the feasibility of providing parking discounts to veterans at their April 21, 2023 meeting. 5. City Council authorize the City Manager, in consultation with the City Solicitor, to make technical changes to the Relationship Framework for the Toronto Parking Authority and any other changes as may be required to give effect to City Council's decisions.

Modernizing Bike Share Toronto Rate Structure
At its meeting on March 3, 2023, Board of Directors of Toronto Parking Authority considered Item PA2.4 and made a recommendation to City Council. Summary from the report (February 27, 2023) from the President, Toronto Parking Authority: Bike Share Toronto is a convenient, affordable and sustainable mobility option that has emerged as an integral component of Toronto's transportation network. Since its inception in 2011, the program has seen tremendous success, growing from a system of 80 stations and annual ridership of 400,000 to one of North America's largest bike share systems with a network of over 680 stations, 7100 bikes (including 525 e-bikes) and ridership of 4.6 Million in 2022. Toronto Parking Authority aspires to make Bike Share Toronto the premiere bike sharing system in the world. Management's Bike Share Growth Strategy will deliver a significant expansion to all 25 Wards including electrification of 20 + percent of the fleet. These programmes are designed to elevate customer satisfaction, drive geographic breadth, improve customer accessibility, and deliver a strong platform for sustainable growth over the long term. Bike Share Toronto's success to date can be attributed in large part to management's focus on delivering a consistent, reliable customer experience for each and every ride. These efforts were rewarded by securing our best ever customer satisfaction score of 92 percent during our peak summer season in 2022. However, as Bike Share continues to enjoy double-digit ridership growth, our operating performance is beginning to be stressed reflecting market place demand exceeding supply-particularly during peak operating hours. This traffic drove a 19.4 percent increase in programme expenses in 2022 exacerbated by inflation, investments in frontline resources and more-costly E-bike operations. Failure to address the imbalance between volume growth and cost pressures will degrade key operating metrics and ultimately undermine customer experience. In order to address this material risk and ensure the sustainable growth of the programme, management is recommending modest changes to its rate structure, which has been unchanged since 2017 despite the programme tripling in size. This report provides an update on Bike Share's rate structure review, including an overview of the research methodology used to develop recommendations for a new and modernized Bike Share Toronto rate structure, that, if approved, will take effect on April 3, 2023.

City Council direct that Bike Share members be permitted to pay for their annual membership in three consecutive monthly installments, provided that the full annual membership is due immediately if any payment is missed or if the membership is canceled. 3. City Council direct the Executive Director, Social Development, Finance and Administration and the Chief Technology Officer, in consultation with the the Toronto Parking Authority, to undertake best efforts to expedite the delivery of the low income fare pass program for Bike Share Toronto in the third quarter of 2023. 4. City Council request the Toronto Parking Authority Board to request the President, Toronto Parking Authority, for a one-year pilot project, to create 100 special Bike Share Toronto annual memberships, which cost the usual membership fee but which include the use of e-bikes without the additional $0.10 per minute charge, and to work with City staff or a non-profit organization to make them available to individuals who receive Ontario Disability Support Benefits. 5. City Council request the Toronto Parking Authority Board to request the Toronto Parking Authority to engage the Toronto District School Board and the Toronto Catholic District School Board to enter into the corporate discount program. 6. City Council request the Toronto Parking Authority Board to request the Toronto Parking Authority to report back to the Infrastructure and Environment Committee in the fourth quarter of 2023 on: a. an equity based affordable rate plan for people with disabilities and seniors, for whom usage of E-bikes is an accessibility issue; b. a proposal for subsidizing the Bike Share program's expansion and user rate structure with increased on and off street parking levies; and c. an equity based investigation to the impact of these rates on users from the inner suburbs who already have fewer modes of active transportation available than users in the downtown core. 7. City Council request the Chief Planner and Executive Director, City Planning to report on the viability of requiring all future major for profit residential development to be required to include funding for E-Bike stations in proximity to proposed developments. 8. City Council deem that adequate public notice of City Council's consideration of a proposal to change the rate and fee structure of the Bike Share Toronto program (and any corresponding amendment to Municipal Code Chapter 441, Fees and Charges, has been given through the posting of Item PA2.6 on the published agenda for the Board of Directors of Toronto Parking Authority, and the posting of Item IE2.6 on the published agenda for the Infrastructure and Environment Committee five working days before the Committee meeting.
