On June 20, 2022, the Board of Directors, CreateTO (CreateTO Board) received Item 2022.RA32.5 "Integrating a Climate Action Approach to City Real Estate Decisions - Mass Timber Pilot Program" and directed staff to report back to the CreateTO Board on the progress of the Mass Timber Affordable Housing Pilot Program (the "Pilot Program"). The Pilot Program explores using mass timber construction (such as cross-laminated timber (CLT) or glue-laminated timber structural materials to reduce carbon emissions in the delivery of affordable and market housing. Mass timber, contrary to production of other structural materials such as steel and concrete, stores rather than emits carbon which results in a lower carbon development. The primary goal of the Pilot Program has been to assess the feasibility of delivering affordable rental housing within a mass timber form. The overall goal of the Pilot Program is to deliver a new, scalable affordable and market housing solution that can be developed with the objective of replicating the delivery method across other City-owned (and privately-owned) sites in the future to support climate action while expediting the delivery of affordable and market housing in the City. The initial report provided an overview of the program, its goals and objectives, and work plan. This report will present the conclusions of the pilot program which examine the mass timber and hybrid building typologies against the following: · Energy Performance, (TGS Version 4, Tier 1 vs Tier 3) and Life Cycle Assessment of Embodied Carbon · Cost Analysis (TGS Version 4, Tier 1 vs Tier 3) · Mass Timber vs Concrete Construction Costs The analysis demonstrated the following key conclusions. 1. Energy Performance · TGS Tier 3 energy use is achieved with the 10-Storey and 12-Storey Typologies meeting the Energy Use Intensity and Green House Gas Intensity performance standards and operating as efficient low-carbon buildings. · Capital investments in geothermal, air source heat pumps, photovoltaics and enhanced building envelopes are key drivers contributing to successfully achieving the energy performance standards. · Geothermal should be pursued wherever possible as it: - Improves energy performance; - Generates greater utility savings and a shorter payback time; and - Enables potential partnership with energy providers. 2. Embodied Carbon · Each of the Typologies are on track to achieve low-embodied carbon values with a mass timber structure. · The findings for all three typologies are below the TGS Tier 3 requirement and would meet the most aggressive Toronto Green Building Council's Zero Carbon Building Design Standard Version 3, June 2022 with a greater than 40 percent reduction in Embodied Carbon Intensity. 3. Tier 1 vs Tier 3 Cost Premium · On average, the analysis found a 3 percent premium to deliver a mass timber building that targets TGS Tier 3, Version 4 as compared to Tier 1. · The key capital cost drivers for the Tier 3 premium are: - A high-performance enclosure (e.g. triple glazed windows instead of double); - Mechanical systems that use electrically-driven heat pumps instead of conventional chillers and gas boilers; and - Rooftop PV panels installed as opposed to being PV-ready only. · Upfront investment to achieve Tier 3 performance standards will minimize the risk associated with future required retrofit and bring on stream energy efficient buildings to support climate action initiatives. 4. Concrete versus Mass Timber Construction · Given the current state of the market with inflated costs particularly in form work, rebar and concrete, mass timber construction costs are less than conventional concrete construction. · As there is a stabilization of materials (concrete) and form work, it is anticipated that mass timber construction will be price competitively with conventional construction in concrete and steel. 5. Construction Schedules · Discussions with industry leaders and suppliers indicate that mass timber allows for a significantly reduced construction timing which, can result in financing and capital cost savings that could add to the cost effectiveness of mass timber construction and become a material of choice for mid-rise developments. · While construction schedules are reduced with mass timber construction, it should be noted that successful delivery of mass timber buildings requires an upfront integrated approach to design that requires architects, engineers, contractors and manufactures to work closely together starting on day one. As this report demonstrates, CreateTO staff, collaborating with our colleagues in the Environment and Climate Division and City Planning, conclude that this Pilot Program has potential benefits for the City, both from a housing delivery and sustainability and climate action perspective. Should the CreateTO Board adopt the recommendations of this report, CreateTO will begin working with City Planning to advance rezoning applications for the Typology 1, 10-storey mass timber project on the City lands at 1113-1117 Dundas Street West.

Housing Now - Approval of Renegotiated Documents for 50 Wilson Heights Boulevard
Located at the northwest corner of Wilson Avenue and Wilson Heights Boulevard directly adjacent to the Wilson subway station, this Phase 1 Housing Now site was released to the market for a developer partner in the fall of 2019. Currently a TTC commuter parking lot, CreateTO had successfully led the re-zoning of the property obtaining approvals in February 2020 to allow for approximately 1,484 residential units, a child care, community use space, a public park, a new public road, retail and office space. Following completion of the market offering process in January 2020, the successful proponents, Greenwin Holdings Inc. and Tridel Builders Inc. (the 'Proponent') executed the Ground Lease term sheet as well as the Freehold Transfer term sheet on August 31, 2020. On October 31, 2020 the due diligence period for the transaction had expired with Greenwin and Tridel waiving conditions to firm up the transaction. On December 4, 2020, the CreateTO Board of Directors adopted Item RA19.7 and approved negotiated agreements which included the Ground Lease, Agreements of Purchase and Sale, Project Agreement, Development Agreement and the Contribution Agreement (the "Agreements"). In January 2021 senior City management approved entering into signed Agreements with Greenwin Holdings Inc. and Tridel Builders Inc. On September 17, 2021 the Agreements were executed by both the City of Toronto and the Proponents however the Agreements are still conditional on satisfactory financing. While the Proponent has been diligently advancing their subdivision approvals and site plan applications, significant cost inflation in construction and financing since 2021 have substantially reduced the proponent's projected returns from the original proposal. Throughout 2022, Greenwin, Tridel, CreateTO and the Housing Secretariat have been in discussions on how to overcome these obstacles in order to start construction and deliver a substantial amount of affordable rental housing units along with other City building contributions at this site. These obstacles and an approach to resolve these issues are outlined in Confidential Attachment 1. This approach has been approved by Executive Director, Housing Secretariat and senior City Management. The proposed amendments to the original terms as outlined in Confidential Attachment 1 have also been reviewed and discussed with the fairness monitor who oversaw the original market offering process. The fairness monitor was in agreement with the rationale for offering the additional financial supports due to the current market pressures which has changed the dynamics of this project. The fairness monitor concluded that there were no fairness concerns with amending the original terms due to these factors. This report recommends that the CreateTO Board of Directors approve the approach outlined in Confidential Attachment 1, which responds to the significant change in the development and financing markets over the past year and ensures the project's viability and delivery of 383 affordable rental housing units within the first phase of development. Approximately 520 affordable rental units will be provided at project completion. The report also recommends that the CreateTO Board of Directors direct the Chief Executive Officer, CreateTO to request the necessary City of Toronto authorities to execute the necessary amendments to the Agreements and any other such documents as may be necessary to finalize the arrangement with the proponent partners for 50 Wilson Heights as described in Confidential Attachment 1. Subject to approval of this report, CreateTO will collaborate with City legal to make the necessary amendments to the Agreements and prepare for execution of the necessary documents. Pending planning approvals, the current schedule is to start site servicing construction in Fourth Quarter 2023.
The Board of Directors of CreateTO: 1. Approved the approach outlined in Confidential Attachment 1 to the report (March 14, 2023) from the Chief Executive Officer, CreateTO, as amended in closed session, and authorized the Chief Executive Officer, CreateTO to negotiate the implementing amendments to the agreements for 50 Wilson Heights which include the Ground Lease, Agreements of Purchase and Sale, Project Agreement, Development Agreement and the Contribution Agreement (the "Agreements") and such other terms and conditions deemed appropriate by the Chief Development Officer and Executive Vice-President, Asset Management and the Chief Legal Counsel and Corporate Secretary, subject to the necessary City of Toronto approvals. 2. Directed the Chief Executive Officer, CreateTO to request the necessary City of Toronto authorities required to execute the amendments to the Agreements and such other documents as may be necessary to finalize the arrangement with the Proponent partners for 50 Wilson Heights Boulevard based on the approach described in Confidential Attachment 1 to the report (March 14, 2023) from the Chief Executive Officer, CreateTO, as amended in closed session. 3. Directed that the Confidential Attachment 1 to the report (March 14, 2023) from the Chief Executive Officer, CreateTO remain confidential in its entirety as it contains information that relates to and deals with a pending disposition of land by the Board of Directors of CreateTO and the City.

Following completion of the market offering process in December 2021, the successful proponent executed the term sheet on March 14, 2022. On April 12, 2021, the CreateTO Board adopted Item RA30.5 and approved selection of the successful proponent partners and the term sheet. On May 17, 2022, the CreateTO Board of Directors adopted Item RA31.3 and approved negotiated agreements which included the Ground Lease, the Project Agreement, and the Contribution Agreement (the "Agreements"). The proponent selection and the negotiated agreements were approved by senior City management on July 11, 2022. The proponent has been diligently advancing the Site Plan application following Board approvals in April 2021. The first site plan submission was submitted in September 2022; on September 15, 2022, the proposal was successfully considered by the Design Review Panel; and a public meeting was held on December 13, 20022 where the development was positively received. While the proponent has been diligently advancing their site plan application, several economic factors have impacted the proponent's proposal. In September 2022, the proponent approached CreateTO to resolve these issues to maintain project schedules and the delivery of affordable housing. These factors and an approach to resolve these issues are outlined in Confidential Attachment 1. This report recommends that the CreateTO Board of Directors approve the approach outlined in Confidential Attachment 1, which responds to the significant change in the development and financing markets over the past year and ensures the project's viability and delivery of 217 affordable housing units. The report also recommends that the CreateTO Board of Directors direct the Chief Executive Officer, CreateTO to request the necessary City of Toronto authorities to execute the amended Agreements and such other documents as may be necessary to finalize the arrangement with the proponent partners for 5207 Dundas Street W. as described in Confidential Attachment 1. Subject to approval of this report, CreateTO will collaborate with City legal to make the amendments to the Agreements and prepare for execution of the documents. Pending rezoning and site plan approvals, the proponent's current schedule is to start site servicing construction in Third Quarter, 2023.

Sale and Redevelopment of 254 and 260 Adelaide Street West
The purpose of this report is to receive Board approval to sell 260 Adelaide Street West (the "Site") with an option to enter into a joint venture to redevelop the Site based on the negotiated terms and conditions set out in Confidential Attachment 1. Management is further seeking approval on the updated business case to achieve significant city building including a new at-grade public park at 229 Richmond Street West and the construction of other important City facilities across several City-owned properties. The business case will fund the relocation of Fire Station 332 from 260 Adelaide Street West to Metro Hall. It will also repay approximately half of the City's acquisition costs of the adjacent property at 229 Richmond Street West and pay for the relocation of existing City tenants to free up space for the new Fire Station at Metro Hall. The redevelopment of 260 Adelaide and the resulting revenue generated will contribute to other significant city building benefits including a minimum of 20 per cent affordable housing, a new Toronto Paramedic Services post and new community space.
The Board of Directors of CreateTO: 1. Approved the sale of 260 Adelaide Street West based on the negotiated terms and conditions set out in Confidential Attachment 1 to the report (March 9, 2023) from the Chief Executive Officer, CreateTO. 2. Authorized the Chief Executive Officer, CreateTO and the Chief Legal Counsel and Corporate Secretary, CreateTO to negotiate and execute such transaction agreements, including an Agreement of Purchase and Sale, joint venture agreements, and such other documents as may be necessary to finalize the arrangements with the proponent for 260 Adelaide Street West (the "Agreements"), substantially on the terms set out in Confidential Attachment 1 to the report (March 9, 2023) from the Chief Executive Officer, CreateTO, and such other terms and conditions deemed appropriate by the Chief Executive Officer, CreateTO and the Chief Legal Counsel and Corporate Secretary. 3. Authorized the Chief Executive Officer, CreateTO and the Chief Legal Counsel and Corporate Secretary, CreateTO to elect either: i. not to participate in the limited partnership contemplated in the Agreements, or ii. to participate in the limited partnership contemplated in the Agreements with a minimum interest of ten percent and a maximum interest of twenty-five percent participation. 4. Authorized the Chief Executive Officer, CreateTO and the Chief Legal Counsel and Corporate Secretary, CreateTO to negotiate such agreements and instruments and take such actions as may be required to close the transactions contemplated in the Agreements and, if applicable, to effect the election to participate in the limited partnership contemplated in the Agreements. 5. Approved the business case as set out in Confidential Attachment 1 to the report (March 9, 2023) from the Chief Executive Officer, CreateTO for the acquisition of 229 Richmond Street West and relocations within Metro Hall funded by the redevelopment and sale of 260 Adelaide Street West. 6. Recommended that City Council transfer 260 Adelaide Street West to CreateTO or to Build Toronto Inc. or an affiliate of Build Toronto Inc. as determined by the Chief Legal Counsel and Corporate Secretary, CreateTO at nominal value. 7. Authorized the Chief Executive Officer, CreateTO and the Chief Legal Counsel and Corporate Secretary, CreateTO, to negotiate and execute all agreements, including a transfer agreement and all closing documents, register any required documents on title, and take all other necessary steps to accept the transfer of the property. 8. Recommended that City Council approve the business case and sale of 260 Adelaide Street West based on the terms and conditions set out in Confidential Attachment 1 to the report (March 9, 2023) from the Chief Executive Officer, CreateTO. 9. Recommended that City Council authorize the public release of Confidential Attachment 1 to the report (March 9, 2023) from the Chief Executive Officer, CreateTO following the closing of all the transactions contemplated in the Agreements and at the discretion of the Chief Executive Officer, CreateTO. 10.
