Enabling Remote Electronic Participation in Toronto Zoo Board Meetings During an Emergency
The purpose of this report is to recommend amendments to the procedures by-law of the Board of Management of the Toronto Zoo to allow electronic participation by members of the Board in meetings held during an emergency declared to exist in all or part of the City under section 4 or 7.0.1 of the Emergency Management and Civil Protection Act.
The Board of Management of the Toronto Zoo: 1. Amended By-law 1-2009 to provide that during an emergency declared to exist in all or part of the City under section 4 or 7.0.1 of the Emergency Management and Civil Protection Act: a. a member of the Board or its Committees may participate in a meeting by electronic means and will be counted in determining whether or not a quorum of members is present at any point in time; and b. a member of the Board or its Committees may participate electronically in a meeting that is closed to the public.

The City Clerk recommends that the Board of Management of the Toronto Zoo: 1. Toronto Zoo and COVID-19 Update
Dolf DeJong, Chief Executive Officer, Toronto Zoo will give a verbal update on the Toronto Zoo and COVID-19.
The Board of Management of the Toronto Zoo received the oral presentation from the Chief Executive Officer, Toronto Zoo for information.

This report requests that City Council convey ownership of James Pearse House to the Rouge Valley Foundation, a non-for-profit organization, at nominal consideration, plus grant them permission over Zoo Road to access to the house. City Council owns the Zoo's assets and must consent to the sale. Once this transfer has occurred, the Tripartite Agreement can be executed, thereby completing the lengthy Tripartite Agreement process.
The Board of Management of the Toronto Zoo: 1. Requested City Council approve and enter into an agreement with the Rouge Valley Foundation that vests ownership of Pearse House to the Rouge Valley Foundation for nominal consideration and releases the City of Toronto and the Board of Management of the Toronto Zoo from all future associated obligations and liabilities, in a form satisfactory to the City Manager and City Solicitor, and to provide the Board of Management of the Toronto Zoo with a fully executed copy of the agreement. 2. Terminated the lease over Part of Lot 4, Concession 3, Scarborough in a form satisfactory to the City Solicitor promptly upon receipt of the fully executed agreement authorized by Part 1, above. 3. Granted the Foundation a licence over the land legally described as Part of Lot 4, Concession 4, being parts 4-7 on 66R-29910 in order to permit the Foundation access to the Pearse House from Meadowvale Avenue, on such terms and conditions as are acceptable to the Toronto Zoo's Chief Executive Officer. 4. Directed the Chief Executive Officer to execute the Tripartite Agreement following the termination of the lease over Part of Lot 4, Concession 3, Scarborough. 5. Forwarded the report (May 3, 2020) from the Senior Director, Corporate Projects and Human Resources, Toronto Zoo and the decision of the Board of Management of the Toronto Zoo to the City Manager for onward reporting.

The Board of Management requests that City Council enter into in an agreement with the Rouge Valley Foundation that terminates the lease, vests ownership of the House with the Foundation for nominal consideration, and releases the City and the Toronto Zoo from all future obligations and liabilities; 2. The Toronto Zoo grants the Foundation a licence over the land legally described as Part of Lot 4, Concession 4, being parts 4-7 on 66R-29910 in order to permit the Foundation access to the Pearse House from Meadowvale Avenue, on such terms and conditions as are acceptable to the Toronto Zoo's Chief Executive Officer; and 3. Update on Memorandums of Understanding
This report describes the rationale for developing new Memorandums of Understanding (MOU) with other like minded institutions and discusses current and future likely memorandums. Currently, the Toronto Zoo has long standing MOU's with Parks Canada and Centennial College. New collaborators and the supporting MOUs are a critical tool to help us achieve our mission of connection people, animals and conservation science to fight extinction.
