As part of my professional activities, I need to comply with strict independence rules. Part of the process includes a detailed review of my involvements in the community to ensure there is no (perceived) conflict of interest. Based on consultation with the risk management team of my employer, Ernst & Young (EY), I need to clarify the effect of certain rules and regulations required by my firm and profession on my ability

to make certain decisions as a director on the Board of TO Live (the Board): - TO Live acknowledges that I act in a personal capacity - TO Live further acknowledges that I am prevented by my duties of confidentiality to EY and its clients from using any information relating to the affairs of EY or its clients for the benefit of TO Live - As an employee of EY, I am subject to the independence rules of various regulatory and professional bodies as well as those of my own firm, and under the applicable independence rules I must remain independent of all EY's audit clients worldwide. Accordingly, I will recuse myself from (i) any investment decisions; and (ii) any decisions regarding TO Live's financing activities with EY audit clients worldwide, as recusing myself from these activities is necessary in order to comply with auditor independence requirements noted above. I believe that TO Live has other qualified Board members and officers to carry out these investment and financing responsibilities without my involvement. Although I do not expect any of the above to impact on my current role on the Board, I would appreciate if we could review this communication at an upcoming board meeting and accept it in the Board's minutes. I will make myself available to answer any questions the Board may have.
