Audit Results and Financial Statements for the Year Ended December 31, 2023
The auditor of record for the Board, KPMG, audits our financial statements in accordance with Canadian public sector accounting standards and summarizes issues of audit significance, and provides the communications required by their professional standards. KPMG presents for the information of the Board for the year ended December 31, 2023 audit, the following: 1. Draft Audited Report and Financial Statements (Appendix A), 2. Management Representation Letter (Appendix B), and 3. Audit Findings Report (Appendix C). The Audit Findings Report (Appendix C) is the section of the audit results where the auditors make their suggestions and recommendations based on audit findings to improve the accounting and internal control procedures. As noted in the attached Appendix C, during the 2023 audit, the auditors are proposing to issue an unqualified report on the financial statements and have no significant internal control recommendations to report on. This report summarizes the auditor's comments. A representative of KPMG will be at the Board meeting on June 5, 2024, to respond to any questions of the Auditor. As reported on the Statement of Operations and Accumulated Deficit, the Transfer Payable before Budget Deficit Subsidy funding from the City is $1,817,330. The Boards 2023 Operating Budget Deficit Subsidy funding from the City was $2,200,000. Overall, therefore, Exhibition Place will have a Transfer Payable to the City of $4,017,330.
The Board of Governors of Exhibition Place: 1. Approved the Draft Financial Statements (Appendix A), Management Representation Letter (Appendix B) and Audit Findings Report (Appendix C) to the report (May 22, 2024) from the Chief Executive Officer, Exhibition Place, for the year ended December 31, 2023 audit. 2. Directed the transfer of the 2023 Operating Budget Deficit Subsidy funding of $2,200,000 to the City of Toronto. 3. Directed the transfer of the Operating Surplus of $1,817,000 into the Conference Centre Reserve Fund held by the City of Toronto for Exhibition Place.

2025 Electrical and Mechanical Services Price List - ShowTech Power and Lighting (SPL)
This report recommends approval of the 2025 Electrical and Mechanical Services Price List for ShowTech Power and Lighting ("SPL") as outlined in Confidential Attachment 1. Board approval is required for the Price List pursuant to the Show Electrical Services Agreement between the Board and SPL. SPL conducts a comprehensive review and update of Electrical and Mechanical Pricing annually to factor in any increases due to labour and material costs and to ensure fair, competitive, and reasonable rates. Staff work towards being consistent with industry standards in Toronto and the Greater Toronto Area (GTA) market. The rates were reviewed by Exhibition Place staff and are recommended as fair and reasonable changes. The preparation of the 2025 price list brought along with-it inherent challenges. To ensure the price list was fair, reasonable, and competitively priced in the GTA, as well as taking into consideration increase in labour rates from the new collective agreement.
The Board of Governors of Exhibition Place: 1. Approved the 2025 Electrical and Mechanical Services Price List for third party Rentals and Services delivered by ShowTech Power and Lighting as set out in the Confidential Attachment 1 to the report (May 22, 2024) from the Chief Executive Officer, Exhibition Place effective January 1, 2025. 2. Directed that the confidential information contained in the Confidential Attachment 1 to the report (May 22, 2024) from the Chief Executive Officer, Exhibition Place remain confidential as it contains financial information that belongs to the Board of Governors of Exhibition Place and has monetary value or potential monetary value.

Lighting Upgrades on Exhibition Place Grounds
This report recommends approving a contract with CMS Electrical Group Ltd. ("CMS") for the Lighting Upgrades on Exhibition Place Grounds. The tender call was issued on April 18, 2024 through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, with three (3) submissions received and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget.
The Board of Governors of Exhibition Place: 1. Approved the award of Contract No. 24-079-47913 (RFT No. EP106-2024) to CMS Electrical Group Ltd. for the Lighting Upgrades on Exhibition Place Grounds in the amount of $1,588,846.00 which includes a cash allowance of $10,000.00 and additional prices chosen as described below but excludes HST; this being the lowest acceptable tender submission received following the public tendering of the project.

Agreement with the Festival Management Corporation for the Toronto Caribbean Carnival 2024
This report recommends a one-year agreement with the Festival Management Corporation (FMC) for the King & Queen Showcase, Pan-Alive, Friday Night MAS and the Grand Parade 2024 at Exhibition Place based on the same terms and conditions as approved by the Board in 2023.

Multi-year Agreement with a Consumer Show Client
This report recommends a multi-year agreement between a Consumer Show Client and Exhibition Place within Enercare Centre.
The Board of Governors of Exhibition Place: 1. Approved the multi-year license agreements with the Consumer Show Client for Enercare Centre, as set out in the Confidential Attachment 1 to the report (May 22, 2024) from the Chief Executive Officer, Exhibition Place, for a 3-year term commencing in 2025 and expiring in 2027 on the terms and conditions of the standard Licence Agreement, and such other terms and conditions satisfactory to the Chief Executive Officer and the City Solicitor. 2. Directed that the confidential information contained in Confidential Attachment 1 to the report (May 22, 2024) from the Chief Executive Officer, Exhibition Place remain confidential as it contains financial information, supplied in confidence to the Board, which, if disclosed, could reasonably be expected to prejudice significantly the competitive position or interfere significantly with the contractual or other negotiations of a person, group of persons, or organization.
