Emergency Generator Replacement at the General Services Building
This report recommends approving a contract with Superior Boiler Works and Welding Limited ("Superior") for the Emergency Generator Replacement at General Services Building. The tender for this contract was issued on January 17, 2025, through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time sensitive as delivery of a generator takes a long time and it is critical to meet operational requirements. The existing generator is a portable unit meant for temporary use and is unable to provide sufficient backup power for the building load. The Chair of the Board in consultation with the Chief Executive Officer of Exhibition Place approved this contract award on February 27, 2025, pursuant to the authority under the Board Financial By-law 2-18, Article X and seek concurrence of the Board.

This report recommends approval of travel expenses for two staff, Stirling Bogey, Senior Event and Meeting Coordinator and Mike Carstenson, Facility Coordinator to attend the first year and the second year respectively of the International Association of Venue Managers (IAVM), Venue Management School (VMS).

2026 - 2028 Rentals Price List for Show Management
This report recommends approval of the Rentals and Services Price List for the years 2026 - 2028 as outlined in Confidential Attachment 1. A comprehensive review and update of the price list is done annually to factor in the increase in labour and material costs to assure a competitive return to the Board on various show services offered. The increases that are being recommended either directly reflect the increase in general labour rates associated with the supply of the service that were included in the collective agreements approved by the Board or increases that are in keeping with the marketplace surveys that were undertaken.

Exhibition Place Hotel X - Phase 1 - Consent to Change of Control of Tenant
Following the completion of a successful Request for Proposal process held in 2007, the City of Toronto and The Board of Governors of Exhibition Place (the "Board"), collectively as Landlord, executed a lease for a 49-year term, with two options to renew, each for a 25-year term (the "Phase 1 Lease"), with Princes Gates Hotel Limited Partnership (the "Phase 1 Tenant") for the development and operation of a new hotel on the Exhibition Place grounds. The first phase of the hotel, located at 111 Princes' Boulevard and known as "Hotel X", opened for operations on March 20, 2018. By letter dated January 15, 2025, the Phase 1 Tenant formally advised the Board and the City, as Landlord, of a pending sale of the interest of Henry Kallan, his affiliates and related parties in the Hotel X property to the party set out in in Confidential Attachment 1 (the "Proposed Transaction"), and to request consent in respect thereof from the Landlord as required pursuant to Section 14 of the Phase 1 Lease. The letter also requested consent for a future transfer of hotel management and certain amendments to the Phase 1 Lease, both in connection with the Proposed Transaction. It is expected that the Proposed Transaction will close on or about June 2025. Staff from the City Real Estate Management and Exhibition Place have been working with the Phase 1 Tenant with respect to the requested consent. In order to facilitate the Landlord's due diligence review process, we requested and obtained from the Tenant more detailed information about the Proposed Transaction, the future transfer of hotel management and amendments to the Phase 1 Lease. Confidential Attachment 1 to this report outline the Proposed Transaction, the proposed management transfer, and Phase 1 Lease amendments. This report recommends that the Board approve the change in effective control of the Phase 1 Tenant resulting from the Proposed Transaction, and the related amendments to the Phase 1 Lease, subject to the necessary City of Toronto authorization.

Directed that the information contained in Confidential Attachment 1 to the report (April 10, 2025) from the Chief Executive Officer, Exhibition Place, remain confidential in its entirety, as it contains financial information that belongs to the Board and has monetary value or potential monetary value.

Recognition of Staff at Exhibition Place
Exhibition Place employee recognized by the Board for recent outstanding accomplishment: 1. 2024 United Way City of Toronto Campaign Each year, to build a better city, the City of Toronto Public Service Staff, along with all Agencies, Boards, and Commissions participate in the annual city-wide fundraising program in support of United Way Toronto and York Region campaigns. Exhibition Place raised a grand total of $1,797.92 for the United Way of Toronto Campaign. In 2024 we focused our efforts on Old Technology Sales and the annual Ghost Walk Program. Over the last 20 years Exhibition Place have contributed $100,769.43 to the United Way Toronto and York Region campaigns. 2. 2024 Community Events Program Exhibition Place ran a collection of low-cost community events, where attendees would pay what they can to attend these events during the spring and summer months. Exhibition Place raised a grand total of $2,248.34 from our cumulative Community Events program organized during the spring and summer months: Urban Sketching, Bee Keeping, and Yoga in the Park. All fund raised from these events were donated to The Centre for Addiction and Mental Health (CAMH). Ms. Catherine de Nobriga is recognized for her dedication and hard work managing both the 2024 United Way City of Toronto Campaign, and the 2024 Community Events Program for Exhibition Place.

Grievance Update and 2024 Year-end Grievance Summary
This report provides a summary and analysis of grievance and arbitration activity for 2024, and a comparison to previous years. Exhibition Place has seven (7) collective agreements that govern its operations on the grounds. In 2024, a total of six (6) grievances were filed by all bargaining units on Exhibition Place grounds, in contrast to twenty-three (23) in 2023. There were three (3) arbitration dates held in 2024. LiUNA 506 filed one (1) grievance, which was withdrawn. Carpenters 27 filed one (1) grievance, which was resolved. IATSE 58 filed four (4) grievances, and one (1) was resolved. All but one (1) IATSE grievance originated in a tenanted facility. The outstanding grievances are related to the assignment of work and scope of jurisdiction at tenanted work locations.

Community Liaison Meeting - November 27, 2024
This report summarizes the program items at the Community Liaison Consultation in person and virtual meeting held on November 27, 2024. Co-Hosting the meeting was Board Member Malcolm Bromley. Exhibition Place staff in attendance included Kelvin Seow, Chief People and Strategy Officer, Brandon Pickard-Manager, Marketing and Communications, Tony Porter, Director-Security and Transportation; Prashant Bhalja, Director-Capital Works, John Koperwas-Director of IT, Telecommunications, Records and Archives, Steve Nushis, Director-Accounting Services, Catherine de Nobriga, Tenant and Community Relations Coordinator; Fiona Crawford, Records and Archives Supervisor, Nigel Fernandes, IT Systems; and Debbie Sanderson, Executive Assistant to the Chief Executive Officer. Twenty-two (22) community members attended the meeting; fourteen (14) in person and eight (8) virtually. The meeting lasted approximately two hours.

This report outlines the terms of a Memorandum of Settlement attached as Confidential Attachment 1 - Appendix A, that was ratified by the United Association of Journeymen and Apprentices of the Plumbing and Pipe Fitting Industry of the United States and Canada, Local Union 46 on March 24, 2025, and pending Board approval, would be the basis of a Collective Agreement with the Board, for a three-year (3) term, from January 1, 2025, expiring on December 31, 2027.

Strategic Plan - 2024 Key Results and Initiatives
Exhibition Place's 2022-2026 Strategic Plan has reached its halfway mark. This report highlights the key achievements of the third year, 2024. In 2024, Exhibition Place hosted 2029 events driven by growth in tenanted business, attracting over 5.5 million attendees, including community use. To support this volume of events and guests, staff worked diligently on initiatives that enhanced the organization and aligned with our six strategic goals: Exceed Client and Visitor Expectations, Promote Site Animation 365-days a Year, Solidify Position as a Leading Convention and Event Space, Enhance Brand Identity and Promotion, Invest in our People and Culture, and Ensure Competitively Priced Services and Sustainable Operations.

2024 Capital Works Program - Year End Report
This year-end report provides an update to the Board on the final progress of the 2024 Capital Works Program State of Good Repair Budget. The 2024 Capital Works Program budget consists of two parts totalling $49,268,618: 1. Exhibition Place Managed Projects which includes the "State-of-Good-Repair" ("SOGR") 2024 program with a budget of $20,080,000 (Table 1 - Appendix A); and the 2023 total cash flow carry forward of $3,791,143 (Table 2 - Appendix A). 2. Non-Exhibition Place Managed Projects which includes $25,397,475 for Service Improvements relating to BMO Field improvements in support of Toronto's hosting of FIFA World Cup 2026. A cash flow carry forward in this report is defined as the combination of unspent mostly committed costs from prior year through signed contracts and agreements, and any surplus from the above SOGR program projects.

Horse Palace Riding Ring Upgrade
This report recommends approving a contract with Greenspace Construction Inc. ("Greenspace") for the Horse Palace Riding Ring Upgrade at the Horse Palace Building. The tender for this contract was issued on February 28, 2025, through the Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the only compliant bidder meeting tender requirements and specifications within the available budget. This project is time sensitive as the horse-riding ring is heavily used throughout the year and scheduling the work well in advance is critical to successful project completion. The sooner a contractor is engaged, the sooner the work can be planned and implemented.

This report recommends approving a contract with Bird Infrastructure Ltd. ("Bird") for the HVAC Upgrades at the General Services Building. The tender for this contract was issued on March 12, 2025, through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, with five (5) submissions received and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time sensitive as delivery of the HVAC equipment has a long delivery time and it is critical for ongoing event and operational requirements. The existing HVAC unit is past its useful service life and replacement is needed to ensure continued operations into the future as well as provide central cooling to new office spaces.

Lease of West Annex Office Space
By a lease dated July 6, 2013 between the Board, as landlord, and Maple Leaf Sports & Entertainment Partnership (the "Tenant"), as extended by a Lease Extension Agreement dated July 1, 2017, the Tenant has occupied certain office premises on the second floor of the West Annex of the Enercare Centre. This lease is currently in overhold. This report recommends that, subject to obtaining the necessary City approvals, The Board of Governors of Exhibition Place (the "Board") enter a new ten (10) year and eleven (11) month lease for the above premises with the City of Toronto, as landlord, and the Tenant, commencing August 1, 2024, and ending on June 30, 2035 (the "Lease"). The Lease will be coterminous with the sublease between BPC Coliseum Inc. and the Tenant dated June 16, 2005, as amended and extended by a Sublease Extension and Amending Agreement dated July 1, 2025 (collectively, the "Sublease"), and consented to by the City and the Board, as head landlord. The Lease will contain an option to extend the term for a further ten (10) years, to June 30, 2045, contingent upon the Tenant exercising its corresponding option to extend the Sublease and will be substantially on the terms and conditions in Appendix A.

License Agreement West Annex Team Space
This report recommends that, subject to obtaining the necessary City approvals, The Board of Governors of Exhibition Place (the "Board") enter into a ten (10) year and eleven (11) month license agreement (the "Licence") with the City of Toronto, as Licensor, and Maple Leaf Sports & Entertainment Partnership (the "Licensee") for certain premises (the "Team Space") in the West Annex of the Enercare Centre, commencing August 1, 2024, and ending on June 30, 2035. The License will be coterminous with the sublease between BPC Coliseum Inc. and the Tenant dated June 16, 2005, as amended and extended by a Sublease Extension and Amending Agreement dated July 1, 2025, and consented to by the City and the Board, as head landlord (collectively, the "Sublease"). In the event the Licensee, as subtenant, exercises its option to extend the Sublease for the ten (10) year period from July 1, 2035 to June 30, 2045, the term of the Licence will automatically be extended for the same period.

Ontario Line Update - Metrolinx Presentation
Announced by the Province of Ontario in 2019, the Ontario Line is one of four priority transit projects being led by Metrolinx in the Greater Toronto Area (GTA). It represents the largest single expansion in Toronto's subway history, aimed at reducing congestion on existing transit lines and extending service to underserved neighbourhoods across the city. The Ontario Line will add 15.6 kilometres of new subway service to Toronto, improving the speed, convenience, and connectivity of transit across the city. Stretching from Exhibition Place in the west to the future Eglinton Crosstown LRT at Don Mills Road and Eglinton Avenue East, the line will include 15 stations-six of which will serve as interchange stations-and provide more than 40 new connections to GO trains, existing subway lines, streetcars, and bus services. Early works for the Ontario Line Exhibition Station have significantly progressed over the past year and are now approximately 95 percent complete. Substantial progress has also been made on the station design, with design submissions received in late 2024 and further development continuing into early 2025. Construction at Exhibition Station, led by Metrolinx's contractor Ontario Transit Group, is now underway. The scope of work includes the construction of the above-ground station building, escalators and elevators serving each platform, two north entrances, one south entrance, an underground traction power substation, the Ontario Line platform, and a portion of Liberty New Street. Tunnel boring machine (TBM) operations for the Ontario Line south segment are scheduled to begin in 2026, launching from the portal located just west of Exhibition Station. The portal is currently under construction on the north side of the existing GO rail corridor, east of Exhibition Station. At-grade tail tracks west of the station will accommodate storage for Ontario Line vehicles and protect for a potential future extension of the line. Staff from Metrolinx will be attending the Board meeting on April 28, 2025, to present the construction progress of the Ontario Line project for the benefit of the Board Members.

Gardiner Expressway Rehabilitation Project Update - Presentation
The F.G. Gardiner Expressway Strategic Rehabilitation Plan was developed by the City of Toronto in 2014 and sets the framework for lifecycle renewal of the expressway from Highway 427 to the Don Valley Parkway (DVP). Section 1 of the Rehabilitation Project from Jarvis Street to Cherry Street was completed in 2021. Section 2 of the Rehabilitation Plan from Dufferin Street to Strachan Avenue commenced in late 2023 and is under construction. The Ontario-Toronto New Deal, approved on December 13, 2023, included a provincial commitment to upload the Gardiner Expressway and the Don Valley Parkway to the Government of Ontario subject to due diligence by the province, unlocking approximately $1.9 billion over the next decade for investment into priorities such as transit and housing. Section 2 includes replacement of the superstructure (girders and deck) and rehabilitation of the substructure (bents). Construction was originally expected to be completed in 2027. In July 2024, the City and Province announced plans to accelerate the construction work to move the construction completion date from April 2027 to at least April 2026. Staff from Parsons, the City's Contract Administrator for this project, and the City of Toronto will attend the Board meeting of April 28, 2025, to provide an update on the progress of the Gardiner Rehabilitation Project Section 2, which spans from Dufferin Street to Strachan Avenue and is adjacent to Exhibition Place. Exhibition Place staff will report back to the Board to provide updates on the status of the Gardiner Expressway Rehabilitation project as warranted.

High Voltage Feeders A34T and A35T West Replacement at Exhibition Place
This report recommends approving a contract with Black & McDonald Limited of Scarborough, Ontario, for the replacement of high voltage feeders (cables) A34T and A35T. The tender for this contract was issued on March 20, 2025, through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, with two (2) submissions received and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time-sensitive in meeting stakeholders and operational requirements. The existing underground electrical infrastructure is over 70 years old and requires replacement. This project is part of a replacement program that started three years ago to address unanticipated power outages and failures caused by obsolete underground electrical infrastructure.

Re-open Item EP15.3, Titled: “Nighttime Economy - Municipally Significant Designation"
At its last meeting on February 4, 2025, the Board of Governors of Exhibition Place made the following decisions: 1. Designated the events held from May to September at Exhibition Place listed in Attachment 1 to the report (January 21, 2025) from the Chief Executive Officer, Exhibition Place as Municipally Significant, in order to apply for a temporary extension of operating hours to sell alcohol at licensed tenanted locations. 2. Requested the Chief Executive Officer, Exhibition Place to report annually to the Board on the Nighttime Economy - Municipally Significant Designation. It has come to my attention that the Board cannot designate an event as municipally significant for liquor licensing purposes. They can only write a letter supporting the event as being designated as municipally significant. By re-opening this item, I am requesting that the Board of Governors of Exhibition Place amend Decision 1.

Authorizing the Wastewater Energy Project at Exhibition Place
City Council on April 23 and 24, 2025, adopted Item MM29.13 and, in so doing, authorized Exhibition Place to negotiate and execute a non-competitive procurement contract with Noventa Aggregator GP Inc. on behalf of Noventa Exhibition Place LP, for the supply of hot water, chilled water and power generation capacity to Exhibition Place's district energy system over a term of 30 years commencing on date July 1, 2026, with an anticipated spend of eighty two (82) million dollars over the course of the term, on terms and conditions satisfactory to the Board of Governors of Exhibition Place, and in a form satisfactory to the City Solicitor.
