Draft Financial Statements and Audit Results for the Year Ended December 31, 2025
The auditor of record for the Board, KPMG, audits our financial statements in accordance with Canadian public sector accounting standards and summarizes issues of audit significance, and provides the communications required by their professional standards. KPMG presents for the information of the Board, for the year ended December 31, 2025, the following: 1. Draft Audited Financial Statements (Attachment 1), 2. Management Representation Letter (Attachment 2), and 3. Audit Findings Report (Attachment 3). The Management Representation Letter (Attachment 2) provides formal written assertions from management to the auditors. These assertions confirm the accuracy and completeness of the financial statements and disclosures provided during the audit. This letter also includes two (2) uncorrected misstatement identified by the auditors, which management has agreed with. One is a balance sheet reclassification and the other is a non-cash transaction to reflect PSAS government assistance. These entries do not impact the income statement. The Audit Findings Report (Attachment 3) presents the auditors' suggestions and recommendations based on their findings, aimed at enhancing our accounting and internal control procedures. As detailed in Attachments, the auditors have issued an unqualified opinion on the financial statements for the 2025 audit, indicating no significant internal control issues. A representative of KPMG will attend the Board meeting on June 18, 2026, to respond to any questions from the Board. As reported on the Statement of Operations and Accumulated Deficit, the Transfer Payable before Budget Deficit Subsidy funding from the City is $2.088 million. The Board's 2025 Operating Budget Deficit Subsidy funding was $0.450 million which was received from the City. Overall, therefore, Exhibition Place will have a Transfer Payable of $2.538 million to the City.

2027 Electrical and Mechanical Services Price List - ShowTech Power and Lighting (SPL)
This report recommends approval of the 2027 Electrical and Mechanical Services Price List for ShowTech Power and Lighting ("SPL") as outlined in Confidential Attachment 1. In preparing the 2027 price list, SPL and Exhibition Place staff considered updated labour rates under the new collective agreement and current GTA market conditions to ensure fair, reasonable, and competitive pricing. Since 2015, SPL has been the Exclusive Provider of electrical and mechanical services to events and exhibitions at Exhibition Place. Board approval is required for the annual Price List pursuant to the Show Electrical Services Agreement between the Board and SPL. Exhibition Place staff reviewed the proposed 2027 rates and recommend them as competitively priced, fair and reasonable.
The Board of Governors of Exhibition Place: 1. Approved the 2027 Electrical and Mechanical Services Price List for third party Rentals and Services delivered by ShowTech Power and Lighting as set out in Confidential Attachment 1 to the report (June 4, 2026) from the Chief Executive Officer, Exhibition Place, effective January 1, 2027. 2. Directed that the confidential information contained in Confidential Attachment 1 to the report (June 4, 2026) from the Chief Executive Officer, Exhibition Place remain confidential as it contains financial information that belongs to the Board of Governors of Exhibition Place and has monetary value or potential monetary value.

Exhibition Place Position on New Requests for Casino License
This report outlines Exhibition Place's present casino activities. The report also provides public health evidence regarding the social and health impacts associated with gambling expansion in Toronto. Exhibition Place recognizes the historical temporary casino operated by the Canadian National Exhibition Association (CNEA) during the annual fair and proposes that this be grandfathered in. While the City of Toronto does not have a formal policy position on temporary charitable casino operations, City Council and Toronto Public Health have a documented history of opposing the establishment or expansion of permanent casinos in Toronto.

The tender for this contract was issued on March 23, 2026, through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time‑sensitive due to seasonal weather and the need to prevent further site deterioration. Deferring work would accelerate pavement failure, raise long‑term costs, and risk disruptions during major events.

Princes' Gates Lighting Project Receives Award from the Toronto Illuminating Engineers Society
This report recognizes the success of the recent lighting revitalization of the Princes' Gates Arch initiated and coordinated by the Capital Works Division at Exhibition Place, in collaboration with Rogul Electric and Toronto Light Works. Toronto Illuminating Engineers Society recently announced that this project won the 2026 Illumination Section Award for Outdoor Lighting Design.

This report recommends approving a contract with Ainsworth Inc. ("Ainsworth") of Toronto, Ontario for the security system upgrades grounds-wide project. The tender for this contract was issued on May 7, 2026, through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This critical project of upgrading the entire Exhibition Place security system including CCTV cameras, card access and their associated infrastructure is time sensitive because existing system needs significant upgrades and maintenance is not viable. Deferring the upgrades risks potential exposure to security and safety vulnerabilities.

Public Appointment to the Board
At its meeting held April 22 and 23, 2026, City Council considered item CA34.3 - Appointment of a Public Member to the Exhibition Place Board, and appointed Bhutila Karpoche to the Exhibition Place Board of Governors for a term of office starting April 24, 2026 and ending March 28, 2030, and until a successor is appointed. As part of this process, Howard Lichtman's term of office on the Board came to an end effective April 23, 2026.
