Relocation and Upgrade of IT Rooms at the Enercare Centre
This report recommends approving a contract with CMS Electrical Group Ltd. ("CMS") for the relocation and upgrade of IT rooms at the Enercare Centre. The tender call was issued on January 3, 2024 through Exhibition Place Purchasing and Materials Stores via the Bonfire Online Procurement System, and the recommendation is to award the contract to the lowest compliant bidder meeting tender requirements and specifications within the available budget. This project is time sensitive to meet stakeholders and operational requirements, the network equipment is becoming obsolete, the infrastructure is becoming inadequate to support the changing technology requirements, and the scope of work must be completed between events in a live environment while maintaining connectivity to events. The Chair of the Board in consultation with the Chief Executive Officer of Exhibition Place approved this contract award on February 29, 2024, pursuant to the authority under the Board Financial By-law 2-18, Article X and seek concurrence of the Board.

This report recommends approving a sole source award to replace the inoperable and obsolete control system components of the existing Cogeneration (Cogen) Plant located on the roof of the Enercare Centre. The generator and associated control system was commissioned and placed into service on June 26, 2007. The existing Cogeneration Plant is approximately 16 years old, and the majority of the components are at the end of their service life. Replacement of obsolete control system will allow the Cogeneration Plant to resume operating and providing cost savings to Exhibition Place. The Cogeneration Plant is manufactured by Toromont Power Systems ("Toromont") who is the sole provider of replacement components and parts. Staff are seeking Board's approval to proceed with an award to Toromont Power Systems as a sole source contract. The Chair of the Board in consultation with the Chief Executive Officer of Exhibition Place approved this contract award on February 29, 2024, pursuant to the authority under the Board Financial By-law 2-18, Article X and seek concurrence of the Board. Toromont Cat Power Systems is an industry leader in the supply and integration of backup and prime power generation systems, rental generators, marine engines and industrial engines through customized engineering and packaging. A division of Toromont Industries (TSX: TIH). The Power Systems division is dedicated to supporting your business when it comes to power generation, power quality, marine engines, industrial engines, rental power, pumps and temperature control.

Recognition of Staff at Exhibition Place
Exhibition Place employee recognized by the Board for recent outstanding accomplishment: 1. 2023 United Way City of Toronto Campaign Each year in an effort to build a better city, the City of Toronto Public Service Staff, along with all Agencies, Boards, and Commissions participate in the annual city-wide fundraising program in support of United Way Toronto and York Region campaigns. Ms. Catherine de Nobriga is recognized for her dedication and hard work managing the 2023 United Way City of Toronto Campaign for Exhibition Place. This year, Exhibition Place raised a grand total of $4,100.86 for the United Way of Toronto Campaign. In 2023 we focused our efforts on a few of the City Programs - BINGO and the Cash Raffle, along with our events that have been successful in the past Ghost Walks, Old Technology Sales, and Dress Down days. Over the last 19 years Exhibition Place have contributed $98,971.51 to the United Way Toronto and York Region campaigns.

Nighttime Economy - Municipally Significant Designation - Exhibition Place
On a trial basis, this report recommends identifying events held from May to September at Exhibition Place as Municipally Significant for tenants applying for a temporary extension of operating hours for serving alcohol. Toronto City Council adopted a report from the General Manager of Economic Development and Culture outlining a comprehensive plan to "Strengthen Toronto's Nighttime Economy." "Nighttime Economy" describes the City's social, cultural, and economic activities between 6 p.m. and 6 a.m. Nightlife refers to entertainment-related activities and is vital to the nighttime economy. It encompasses enjoying Toronto's nightlife amenities and support for those who work at night, including individuals who help manage life at night, such as hospitality industry workers, bar owners, shift workers, and emergency services professionals. A healthy night economy supports all the needs of its residents and visitors. A recommendation in the Council-approved report directed the General Manager of Economic Development and Culture to identify emerging entertainment areas outside the downtown core that can support entertainment uses at night and the future growth of nightlife. Exhibition Place is Canada's most extensive entertainment venue, hosting over 1,761 events and attracting over 5.5 million visitors annually. This iconic entertainment, music, and events site is pivotal in Toronto's cultural and economic fabric generating over $500 million in annual economic impact. The grounds, with its multiple venues for sports teams, entertainment, music, and cultural events, are ideally situated to support the nighttime economy. Our Strategic Plan is a roadmap for ensuring Exhibition Place is Canada's premier destination for conventions, exhibitions, events, and entertainment. Facilitating opportunities that support our tenants will help us meet our goal of exceeding client and visitor expectations.

Update on Hosting FIFA World Cup 2026
In 2018, the 2026 World Cup was awarded to a joint bid by Canada, United States, and Mexico. The World Cup is the largest single sporting event held in the world and rivals the Summer Olympics as the largest overall. It is held every four years over six weeks. In 2026, the World Cup will be expanded to include 48 countries and 104 matches from the current 36 countries, playing 64 games. There will be 6 matches held at Exhibition Place - BMO Field. The event is the world's most-watched sporting event, with a global viewership of four billion people for the entire competition and upwards of 200 million for each match. Overseen by the International Federation of Football Association (FIFA), the World Cup generates significant economic and cultural benefits for host cities. On June 16, 2022, the City of Toronto was announced as an official Host City. As directed by City Council in 2022, the FIFA World Cup Toronto 2026 Staff Secretariat was established to support project planning, preparation, and execution of the event. The Executive Director and Project Manager from the City Secretariat Office will attend the Board meeting on April 25, 2024, to present an update on the planning and progress to the Board Members.

Grievance Update and 2023 Year-end Grievance Summary
This report provides a summary and analysis of grievance and arbitration activity for 2023 and a comparison to previous years. Exhibition Place has seven (7) collective agreements to which it is bound on the grounds. In 2023, the total number of grievances filed by all bargaining units on Exhibition Place grounds was twenty-three (23), compared with thirteen (13) in 2022. There were zero arbitration dates in 2023. LiUNA 506 filed two (2) grievances because of the unauthorized completion of work by an event organizer or tenant, and IBEW 353 submitted one (1) grievance. All grievances were resolved. IATSE 58 filed twenty (20) grievances, of which two (2) were resolved. All but one (1) IATSE grievance originated in a tenanted facility. Thirteen (13) of the twenty IATSE grievances filed resulted from one tenanted work location, and 90 percent (18) of the IATSE grievances are related to the assignment of work and scope of jurisdiction.

Tenant Liaison Consultation Meeting - December 6, 2023
This report summarizes the discussions at the Tenant Liaison Consultation meeting held in person on December 6, 2023 in the Enercare Centre, StudioEx. Leading the meeting were Don Boyle - Chief Executive Officer, Kelvin Seow - Chief People and Strategy Officer, and co-hosted by Mr. Howard Lichtman Member of the Board of Governors. This report provides information on the collaboration of Exhibition Place with SARIT (Safe, Affordable, Reliable, Innovative, Transit) Micro Mobility Electric Vehicle Pilot Program which is an initiative by York University. Exhibition Place signed a no cost one-year agreement Memorandum of Understanding with York University to allow for the testing and to provide feedback on the SARIT Micro Mobility Electric Vehicle. Exhibition Place will serve as a testbed for the SARIT Prototype, a three-wheeled micro mobility battery operated vehicle boasting a 100-kilometer range https://saritmobility.com/ . The Pilot Program will test 4 SARIT electric vehicles. The partnership with York University aims to demonstrate how the integration of micro-mobility electric vehicles can contribute towards achieving the city's greenhouse gas reduction targets, which set at 45 percent reduction by 2025, 65 percent reduction by 2030, and net zero by 2040 from 1990 levels. This collaboration aligns with the shared vision of both Exhibition Place and York University to diminish environmental impact and operational costs associated with fleet vehicles.

2023 Capital Works Program - Year End Report
This year-end report provides an update to the Board on the final progress of the 2023 Capital Works Program State of Good Repair Budget. The 2023 Capital Works Program budget consists of two parts totalling $34,186,087: 1. Exhibition Place Managed Projects which includes the "State-of-Good-Repair" ("SOGR") 2023 program with a budget of $22,131,000 (Table 1 - Appendix A); and the 2022 total cash flow carry forward of $5,215,078 (Table 2 - Appendix A). 2. Non-Exhibition Place Managed Projects which includes $6,840,000 for Service Improvements relating to BMO Field improvements in support of Toronto's hosting of International Federation of Football Association (FIFA) World Cup 2026. A cash flow carry forward is defined in this report as the combination of unspent mostly committed costs from prior year through signed contracts and agreements, and any surplus from the above SOGR program projects.

Waste Water Energy Project at Exhibition Place
The purpose of this report is to provide a status update on the potential wastewater energy project at Exhibition Place and recommend next steps. Sewer wastewater contains recoverable heat with the ability to displace natural gas use in buildings and therefore significantly reduce Greenhouse Gas (GHG) emissions, consistent with TransformTO goals. City Council provided staff with direction to engage with Noventa Energy Partners (Noventa) on up to 9 additional projects following the work on the initial project at Dundas and Bathurst with UHN Toronto Western Hospital. Noventa is engaging potential customers/partners (multi-building campuses) around the City on these project opportunities, as they have financing from the Canadian Infrastructure Bank (CIB) to support their projects. Exhibition Place was identified as a potential opportunity given the need to replace existing aging equipment in the coming years, and City direction on working toward net-zero emissions. Exhibition Place represents an opportunity to showcase city action on net-zero at a priority location and demonstrate Toronto's leadership in the renewable energy field and as a technological innovation hub.
The Board of Governors of Exhibition Place: 1. Authorized Exhibition Place staff to work with City Environment and Energy Office staff to negotiate and enter into a Memorandum of Understanding (MOU), including a Thermal Energy Service Agreement among Exhibition Place, City of Toronto, and Noventa Energy Partners in order for Noventa to secure Canadian Infrastructure Bank funding in the order of $1.5 Million for engineering design for the Waste Water Energy Project.

Sponsorship/Naming Consulting Services Agreement
The purpose of this report is to request Board authority to negotiate and enter a noncompetitive contract. This report recommends the Board enter into an agreement with Wakeham and Associates Marketing Inc. ("WAM') for professional sponsorship/naming consulting services for the renaming of the Beanfield Centre for a period of six (6) months commencing May 1, 2024. Board approval is required in accordance with Exhibition Place Financial By-law, where the current expenditure request exceeds the Chief Executive Officer authority of the cumulative annual commitment greater than the $250,000 allowed.

Occupational Health and Safety Report: Fourth Quarter and End of Year 2023
This report provides information on the status of the Exhibition Place Health and Safety program, specifically on activities, priorities, and performance during the fourth quarter of 2023, and overall health and safety performance for 2023. In the fourth quarter of 2023, there were zero (0) lost-time injuries and four (4) medical aid injuries, which is a decrease in lost-time injuries and an increase in medical aid from the same period in 2022. In 2023, four (4) WSIB claims were denied. Workplace Safety and Insurance Board (WSIB) invoiced costs for 2023 was approximately $36,000 higher than those in 2022. The higher WSIB fees are attributable to an increase in recurring disability payments and pension claim costs.

Hosts for Liaison Consultation Meetings
One Council Member and one Citizen Member of the Board departed from the Board of Governors between July 2023 to December 2023, and these members were appointed co-hosts of Exhibition Place's Tenant and Community Liaison Consultation Meetings. City Council, at its first meeting on November 23 and 24, 2022, adopted, Striking Committee Item ST1.1 and appointed new Council Members to the Exhibition Place Board of Governors for a term of office until December 31, 2024 and until successors are appointed. The Chair of the Board approached one of the Council Members and one Citizen Member on the Board to seek interest to serve as a co-host for the Community Liaison Consultation Meetings; and one of the Council Members to serve as a co-host for the Tenant Liaison Consultation Meeting. These appointments are to replace the outgoing Board Members who served as co-hosts for the Tenant and Community Liaison Consultation meetings. This report is recommending a change in appointments based on the recent new board appointments and the results of that outreach.
