Toronto Parking Authority (TPA), CreateTO, and City Real Estate Services (City RES) are proposing major business terms of a property transaction that involves the acquisition of underground parking spaces located at 400-420 King Street West (collectively, the Property) from Charlotte King Residents Corp. (the Developer) in connection with a rezoning application for the Property. The proposed transaction involves the acquisition of a strata area that is sufficient to accommodate the portions of an underground parking garage that will provide a minimum of 22 spaces, up to a maximum of 25 spaces, on the Property. Charlotte King Residents Corp., the owners of 400-420 King Street West (the Property), have submitted an application to amend the City of Toronto's Zoning By-law to permit a 49-storey mixed-use building with approximately 633 residential condominium units, 10,391.9 metres square of retail and office space, and 136 underground parking spaces. Following lengthy negotiations between the Developer, City Planning, and CreateTO, an opportunity has been identified to add municipal parking in this location to offset some of the 180 on-street spaces that were removed as part of the King Street Transit Priority Corridor, including 31 spaces within one block of the subject site. The proposed transaction forms part of a proposed settlement between the City and the Developer that was endorsed by City Council at its meeting of July 16, 17, and 18, 2019. The settlement will be further considered by the Local Planning Appeal Tribunal. TPA has conducted a business case analysis to support the acquisition of the public parking spaces. The business case analysis identifies an Internal Rate of Return (IRR) of 9.1 percent, which meets the 5 percent benchmark criteria established by TPA policies and guidelines for the acquisition of new facilities. This report is requesting that TPA Board of Directors approve that the property transaction be directed through the City RES delegated approval process to authorize a Purchase and Sale Agreement to acquire 22-25 underground parking spaces at 400-420 King Street West from the Developer for a purchase price of between $1,650,000 and $1,875,000 ($75,000 per space). Additional funding of up to $150,000 in associated closing costs are also required. Sufficient funding is available in TPA's 2019 Capital Budget and 2020-2028 Capital Plan for this purchase.
The Board of Directors of Toronto Parking Authority: 1. Approved that the property transaction be directed through the real estate approval process, as outlined in Section 8.1 (Delegated Real Estate Authority) of the City of Toronto Municipal Code Chapter 179, Toronto Parking Authority, to seek City delegated authority approval of the property transaction, which will involve: a. purchasing the portions of an underground public parking garage located at 400-420 King Street West on the P1 level to accommodate a minimum of 22 spaces and a maximum of 25 spaces at a cost of $75,000 per space plus Harmonized Sales Tax under a Purchase and Sale Agreement for total costs ranging from $1,650,000 (plus Harmonized Sales Tax) for a minimum of 22 spaces and up to $1,875,000 (plus Harmonized Sales Tax) for the maximum of 25 spaces; b. entering into all ancillary agreements, including, but not limited to, reciprocal cost-sharing agreements, along with all necessary transfers, easements, and undertakings; and c. incurring additional Toronto Parking Authority expenditures of up to $150,000 to cover ancillary costs associated with this project, such as legal fees, Harmonized Sales Tax, and Land Transfer Tax; substantially on the terms and conditions in Appendix B to the report (November 8, 2019) from the Acting President, Toronto Parking Authority, and on such other terms and conditions deemed acceptable to the President, Toronto Parking Authority, and the Deputy City Manager, Corporate Services, in consultation with CreateTO.

In January 2017, Toronto Parking Authority (TPA) was provided authority from TPA Board of Directors and City Council to proceed with a transaction between TPA and Lanterra Developments (Bay Wellesley) Limited (Lanterra) for the acquisition of a municipal parking facility at 11 Wellesley Street West (the Property, Car Park 304). Lanterra, the owner of the Property, has redeveloped the site with a mixed-use building, which includes a multi-level underground parking garage. The transaction involves the acquisition by the City of a stratified interest in a below-grade strata of the Property within which a municipal parking facility would be located and form part of a mixed commercial/retail/residential development. The Property purchase is expected to close in late 2019 and, shortly thereafter, TPA will commence operations of the 134-space below-grade parking garage. In preparation for the commencement of operations at Car Park 304, the TPA Board of Directors is requested to approve the proposed parking rates, as detailed in Table 1, Comparison of TPA Rates, for the new facility.

Approved the following parking rates for Municipal Car Park 304, located at 11 Wellesley Street West, and directed the President, Toronto Parking Authority, to implement these rates when Municipal Car Park 304 becomes operational: a. Property Transaction/Parking Development at Municipal Car Park 282, 838 Broadview Avenue
Toronto Parking Authority (TPA), the City's Housing Secretariat, and City Real Estate Services (City RES) have been working together through CreateTO on the major business terms of a property transaction with a Developer involving the City-owned property located at 838 Broadview Avenue, also known as Municipal Car Park 282 (the Subject Property) and adjacent lands owned by the Developer at 840-844 Broadview Avenue (Developer Lands) (collectively, Development Lands). The proposed transaction involves the sale of the Subject Property (to a certain ceiling height) to the Developer and the subsequent acquisition of a strata area sufficient to accommodate the portions of an underground parking garage which would provide approximately 33 spaces on the Development Lands. The Developer is proposing to construct a residential development, including 69 residential condominium units, 16 affordable housing units, and an underground parking garage (collectively, the Development). As part of the overall Development, the City would acquire the portions of the parking garage containing approximately 33 spaces and approximately 16 affordable housing units from the Developer. The public parking garage would be constructed in accordance with TPA standards and specifications and operated by TPA as a municipal parking facility. The affordable housing units would be owned by the City and leased to a non-profit operator. TPA has conducted a business case analysis to support the acquisition of the public parking spaces. Based on the proposed terms of the transaction, the business case analysis identifies a 8.6 percent Internal Rate of Return (IRR) over a twenty-year period plus terminal value, which is above the 5 percent benchmark criteria established by TPA policies and guidelines for the acquisition of new facilities. This report is requesting TPA Board of Directors to approve the property transaction to be directed through the City RES delegated approval process to authorize a Purchase and Sale Agreement to sell the Subject Property and to acquire 31 to 35 underground parking spaces from the Developer of the Development Lands (838-844 Broadview Avenue) for a purchase price for an agreed upon cost of $37,500 per space ($1,162,500 for 31 spaces, $1,237,500 for 33 spaces, $1,312,500 for 35 spaces). Additional funding of up to $85,000 in associated closing costs are also required. Sufficient funding is available in TPA's 2019 Capital Budget and 2020-2028 Capital Plan for this purchase. The proposed transaction has been assessed in accordance with City RES' due diligence procedures and City RES is supportive of the proposed transaction. All further due diligence will be conducted in accordance with City RES' due diligence procedures. The overall transaction is also subject to a number of other approvals through the City's processes, including the proposed acquisition of affordable housing units within the Development. The local Councillor has been consulted throughout the process.

Directed the President, Toronto Parking Authority, to consult with the appropriate City Divisions, CreateTO, and other appropriate Agencies, Boards, and Committees on any future Toronto Parking Authority developments relating to affordable housing. 3. Forwarded the item to City Council for information. 4. Recommended that City Council forward the item to the appropriate City Divisions and CreateTO to achieve the maximum opportunity for the affordable housing units at 838 Broadview Avenue and direct the Executive Director, Housing Secretariat, in consultation with the President, Toronto Parking Authority, to report directly to City Council at its meeting on December 17 and 18, 2019.

Off-Street Rate Review 2019 - Controlled Municipal Parking Facilities
As part of its mandate to provide short-term parking (those parking for less than three hours), Toronto Parking Authority (TPA) carries out a comprehensive annual review of the parking rates at all of its off-street parking facilities. Providing short-term parking supports Toronto's neighbourhood retail and commercial sector as well as the City's transportation network by discouraging commuter behaviour. The establishment of an appropriate parking rate structure is instrumental in allowing TPA to effectively manage use, serve the target market, and fairly allocate and encourage turnover of public parking spaces. This report details the 2019 parking rate review of TPA's controlled off-street municipal parking facilities (Controlled Facilities, refer to Attachment 1, Location Map), also referred to as gated facilities, and seeks TPA Board approval for rate adjustments at these facilities as recommended in Attachment 2, Proposed Rate Changes and Justifications - Controlled Facilities. A report containing proposed rates at the uncontrolled (non-gated) TPA facilities will be brought to a future TPA Board meeting for approval. In total, there are 24 Controlled Facilities, 22 of which have been identified by TPA for proposed rate adjustments ranging from half hour, daily/evening maximums, event, and/or monthly rate changes. These parking rates also include two TPA facilities (11 Wellesley Street West and 308 Queen Street West) that are expected to open in the near future. One uncontrolled parking facility (Uncontrolled Facility), also referred to as an ungated facility, located at 125 Burnaby Boulevard (Car Park 47), has been included due to the high parking usage being experienced by this facility and requests by the local Business Improvement Area (BIA) to implement a change to help alleviate parking pressure in the area due to the impacts of the Crosstown discount code.
The Board of Directors of Toronto Parking Authority: 1. Approved the parking rate adjustments in the amounts and at the parking facilities identified in Attachment 2 to the report (November 12, 2019) from the Acting President, Toronto Parking Authority, and directed the President, Toronto Parking Authority, to implement these rate changes as follows: a. Controlled Municipal Parking Facilities - Anticipated to commence in mid-January 2020; b. Uncontrolled Municipal Parking Facility located at 125 Burnaby Boulevard (Municipal Car Park 47) - Anticipated to commence in early December 2019; and c. Associated Monthly Rate Changes - Anticipated to commence on February 1, 2020.

Next Steps for Toronto Parking Authority President Search Process
As we have discussed previously, the Toronto Parking Authority ("TPA") is being led by an Acting President and one of the key short-term strategic goals of the Board is to select a long-term President. It is proposed that the recruitment process for a long-term President be initiated, under delegated authority to the Chair. The selection panel is intended to be comprised of Brian Johnston (CEO of CreateTO), Allison Mendes (TPA Board member), and Arlene Yam Fritz (TPA VP Human Resources and Transformation). The search firm will be retained in accordance with TPA policies, resulting from a Request for Quotation already issued. A hiring recommendation will be made to the TPA Board.
