Toronto Parking Authority Enterprise Risk Management Update Report
Enterprise Risk Management is a continuous process to identify and assess risks and opportunities at an enterprise level. The Toronto Parking Authority currently does not have a formal Enterprise Risk Management strategy and after the release of a Request for Proposals in the second quarter of 2023, the successful proponent, KPMG LLP (KPMG), was engaged to support the setup of the Enterprise Risk Management Program. The purpose of this report is for KPMG to provide a status update as of October 17, 2023.

2023 Third Quarter Financial Update (Operating and Capital)
Toronto Parking Authority's net income September 30, 2023 Year-to-Date was $32.2 million; +$13.2 million versus plan. Total revenues $108.2 million; +$4.0 million favourable, driven by better than expected parking revenues (87 index vs 2019; +3 points). Costs were $73.7 million; $4.3 million lower than plan driven by favourability on salaries due to selective hiring, project consulting programmes and facility costs. Financing income was $3.5 million better than plan due to the higher interest rates on the cash balance. The monthly income is expected to decrease throughout the year as capital is deployed. Current 2023 net income outlook is forecasted to be $37 to $41 million vs plan of $25.4 million. Capital spend was $31.3 million as of September 30th with in flight commitments of $26.8 million. Management is forecasting to achieve planned Toronto Parking Authority-led annual capital spend. We are actively engaging our City partners to ensure completion of total planned capital spend of $71.3 million.

Toronto Parking Authority - 2024 Operating Budget and 2024-2026 Capital Budget
The Board received the proposed budget for information at its meeting on October 6, 2023. The purpose of this report is to provide the Audit and Risk Management Committee of the Board of Directors with Management's recommended 2024 Operating Budget and 2024 - 2026 Capital Budget in further detail. Formal approval will be requested at the November 23, 2023 Board meeting where Management will also present the 2024 Annual Operating Plan. This timeline affords both the Board and Management sufficient opportunity to discuss the proposed budget and the 2024 Annual Operating Plan, while adhering to the City's Budgetary process. Building off a strong performance through the first three quarters of 2023, Management is forecasting full year net income of $37.3 million, which is +$11.9 million versus 2023 plan. Revenues are forecasted at $144.8 million, +$4.2 million versus plan while operating expenses are projected at $103.2 million; +$2.1 million favourable versus plan Cash reserves at the end of 2023 are expected to drop from $109.2 million to approximately $50.0 million as a result of Management executing its capital plan of $60.3 million in 2023. Capital delivery highlights in 2023 include increasing the number of electric vehicle (EV) chargers from 117 to 402 (+285); increasing the number of Bike Share stations from 620 to 780 (+130); deploying 1,300 e-bikes, investing more than $20 million to address health & safety issues and state-of-good-repair (SOGR) projects at three (3) parking facilities and purchasing 225 new Pay-by-Plate machines to modernize Toronto Parking Authority's parking equipment. Forecasted spend against plan of 81.3 percent represents a marked gain in productivity (+50 percent in 2022) executed by a professional engineering team that delivered on their commitment to the organization. In 2024, Management is planning full year Earnings before Interest, Taxes, Depreciation and Amortization (EBITDA) of $47.7 million which is +$6.1 million versus 2023 Forecast and +$6.3 million versus 2023 Budget. 2024 Net income is forecasted at $31.9 million, which includes $18.5 million of amortization due to spending of +$140 million of capital and $2.7 million of Finance Income. Management's 2024 proposed Capital Budget of $76.8 million is designed to support Management's continued execution against Toronto Parking Authority's five (5) Strategic Priorities: Build a Great Place to Work; Drive Sustainable Growth; Strengthen the Core, Execute with Excellence; Connect with our Customers; and Engage and Innovate with our Strategic Partners. This includes $19.5 million in carry forward and $57.3 million in new spending on priority projects that include critical health and safety initiatives, continued delivery of SOGR projects involving Toronto Parking Authority's parking structures, the modernization of legacy parking equipment and continued investments to expand Toronto Parking Authority's Bike Share Toronto and Electric Vehicle Charging programs. Based on the financial outlook for 2023 and 2024, Toronto Parking Authority expects that delivery of its operating plan and demonstrated capability to deliver its capital plan will fully deplete its cash reserves by the end of 2024. Discussions with City Finance about securing a sustainable net income sharing agreement that expired in December 2019 have been ongoing for the past year but remains in flight. It is Management's expectations that a new agreement will be secured as part of the City's budgetary process in 2024.

Directed the President, Toronto Parking Authority to submit bills to City Council to make amendments to the appropriate Chapters of the Toronto Municipal Code to implement the rates for on-street parking locations identified in Attachments 2 and 2-3 to this report; and modifications to the parking meter or parking machine hours for the specific on-street parking locations identified in Attachment 2-2 to this report.

Delivering Improved Accessibility: Bike Share Toronto's Modernized Rate Structure Update
Bike Share Toronto is a convenient, affordable, and sustainable mobility option that is an integral component of Toronto's transportation network and one of North America's largest bike share systems. The program has seen tremendous growth, expanding from a system of 80 stations and annual ridership of 400,000 in 2011, to a network of over 780 stations, 8,800 bikes (including 1,825 e-bikes) and a projected ridership of 5.5 million in 2023 - an increase of 23 percent from 2022. In 2023, Toronto Parking Authority made recommendations to Toronto Parking Authority's Board and City Council to modernize Bike Share Toronto's rate structure. The recommended changes - the first since 2017 - were intended to address the imbalance between volume growth and cost pressures that were degrading key operating metrics and ultimately undermining customer experience. City Council's adoption of the new rate structure included several amendments regarding the development of new payment methods, special passes, an accelerated implementation schedule for a low-income pass and completion of an equity-based investigation into the impacts of the new rate structure on the inner suburbs. The new Bike Share Toronto rate structure was launched on April 3, 2023. Since that time, the sale of annual memberships (32,000 YTD, + 10 percent v 2022) has continued to grow year over year. Use of e-bikes by both annual members and casual riders has increased exponentially (336,000 rides + 111 percent YTD) and overall customer satisfaction with the program, including the rate structure, remains at industry leading levels. In response to the amendments included in Council's approval of the new rate structure, Toronto Parking Authority has completed the development work to enable payment of annual memberships in three (3) installments, developed 100 special Ontario Disability Support Program (ODSP) passes to be distributed by the YMCA, developed a seniors pass (65+ years) that Bike Share Toronto will pilot for one (1) year and extended corporate discounts to the staff and students at Toronto District School Board (TDSB) and Toronto Catholic District School Board (TCDSB). In addition, Toronto Parking Authority has worked with Toronto Community Housing (TCHC) to make $5 annual memberships available to existing RGI residents and is working with Social Development, Finance and Administration Division (SDFA) to implement a $5 annual membership available to TTC Fare Pass holders as early as the second quarter of 2024. Finally, Toronto Parking Authority is carrying out an equity-based investigation into how the new rate structure is impacting users from the inner suburbs and adjusting its 2023 and 2024 expansion plans to reflect this input.

Bike Share Toronto 2024 Equipment Purchase
The purpose of this report is to obtain authority from the Toronto Parking Authority Board of Directors to purchase the equipment needed for Toronto Parking Authority to execute year three (3) of Bike Share Toronto's expansion plan, including payment of an advance deposit before the end of 2023, which will secure delivery of the equipment by the second quarter of 2024. In 2024, Bike Share Toronto will add 70 solar stations, 460 electric charging docks, and 530 iconic bikes to the system. These investments will grow the current system to 870 stations, 45 electric charging stations (1,160 e-docks) and 9,500 bikes, including 7,585 iconic bikes and 1,912 e-bikes. The planned expansion is reflected in both Toronto Parking Authority's 2024 Annual Operating Plan and Toronto Parking Authority's proposed 2024 Operating Budget and 2024 - 2026 Capital Budget. The total cost to purchase the new equipment is $4,287,604.37 (excluding Harmonized Sales Tax (HST)). The equipment will be purchased from PBSC Urban Solutions Inc. (PBSC), pursuant to the terms and conditions of Toronto Parking Authority's Equipment Supply Agreement with PBSC. Under the terms of this agreement, PBSC requires a deposit of $1,500,661.53 (excluding HST) which is included in Toronto Parking Authority's Approved 2023 - 2025 Capital Budget.

Temporary Closure of Car Park 89 (20 Eaton Avenue)
As a part of the Ontario Line project, Metrolinx has identified Car Park 89, located at 20 Eaton Avenue, as a preferred location to stage the construction of the Pape Interchange Station (the "Project"). A number of other City-owned properties, including 743 Pape Avenue and 25 Lipton Avenue, have also been identified as being required to support the Project. Car Park 89 has been identified by Metrolinx as the most suitable location to stage the Project given that Pape Station will be partially demolished and rebuilt within the future Pape Interchange Station and the subway tunnel will be constructed through City lands. Metrolinx has therefore requested the use of the Toronto Parking Authority lands through the City's Real Estate Protocol for the Province of Ontario's Priority Transit Projects, which includes the Ontario Line. To facilitate the temporary closure of Car Park 89, Metrolinx is proposing to enter into a licence agreement with the City for exclusive use of the 59-space lot at 20 Eaton Avenue (Refer to Attachment 1 - Site Location Map). The licence agreement is for a term of five (5) years, with one (1) option to extend the term for up to four (4) additional years. Metrolinx has indicated it requires the entire lot as of January 2024.

Toronto Parking Authority has established a range of Board-enacted Policies which form the guiding principles and procedures by which it operates. The Occupational Health and Safety Act requires that two policies relating to the Act be reviewed on an annual basis. These policies were most recently reviewed and affirmed by the Board at its meeting of September 29, 2022. In accordance with the Toronto Parking Authority Board of Directors By-law 1-2021, the Board determines the place in Toronto, day, and hour of its regular meetings and the schedule of those meetings shall be publicly available by the first meeting of the Board in each calendar year. City Council on October 11 and 12, 2023 approved the 2024 schedule of meetings for City Council and its Committees. The 2024 schedule of meetings for the Toronto Parking Authority Board of Directors has been developed to avoid dates, whenever possible, that conflict with the approved City Council schedule; and to avoid meetings on days of cultural or religious significance.
