At its meeting on November 8, 2022, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR3.2 and made recommendation to the Board of Directors of Toronto Parking Authority. Summary from the report (October 25, 2022) from the President, Toronto Parking Authority: Toronto Parking Authority's net income September 30 year to date was $21.5 million; $9.7 million higher to plan. Total revenue was $92.0 million; $1.7 million higher to plan as parking revenue were 75.1 percent versus pre-pandemic levels (2019). Costs were $72.1 million; $6.7 million lower to plan primarily due to a deliberate management strategy of conserving expenditures including staffing level management reflecting the uncertainty of the recovery in the first half of 2022. In light of the strong revenue recovery in Third Quarter (Q3), Management is forecasting to exceed full year plan by $16.2 million.

Delegation of Authority Update
At its meeting on November 8, 2022, the Toronto Parking Authority - Audit and Risk Management Committee considered Item PR3.4 and made recommendation to the Board of Directors of Toronto Parking Authority. Summary from the report (October 17, 2022) from the President, Toronto Parking Authority: At its meeting of November 8, 2021, the Board of Directors, Toronto Parking Authority reviewed, approved and endorsed an update to Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority, as amended by resolution. Among other things, these amendments increased the Toronto Parking Authority President's authority to make commitments on behalf of Toronto Parking Authority from an amount not exceeding $250,000 to an amount not exceeding $500,000. At the same meeting, the Board of Directors also established an Audit and Risk Management Committee and adopted the mandate and Terms of Reference presented in Item PA27.13. Under the Roles and Responsibilities adopted by the Board, the Audit and Risk Management Committee shall review a list prepared by Management that summarizes the items where the Toronto Parking Authority President has used the increased delegation of authority. The purpose of this report is to provide a summary outlining the Toronto Parking Authority President's use of the increased delegation of authority between April 23, 2022, and October 6, 2022. This report also highlights areas of refinement that Toronto Parking Authority will be recommending be incorporated into future amendments to Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority.

To help accelerate Toronto Parking Authority's journey towards our vision, the Toronto Parking Authority is committed to partnering with private sector organizations(s) to develop mutually beneficial relationships that will improve Toronto Parking Authority's financial performance, customer experience, operational capabilities and overall brand reputation. Securing strategic partners via sponsorship agreements will allow Toronto Parking Authority to access revenue and in-kind contributions that not only offer the potential to offset operating and capital costs, but perhaps more importantly, have the opportunity to access enhanced consumer insights, leading edge digital capabilities and class leading thought leadership in marketing and brand building. An Expression of Interest for Bike Share Toronto Title Sponsor was released to the market on June 23, 2022, with responses to the Expression of Interest due no later than October 4, 2022. With the Expression of Interest period now closed, Toronto Parking Authority has completed an evaluation of the proposals received, identified a preferred proponent and is now seeking authorities from Toronto Parking Authority Board of Directors to negotiate, execute and enter into an agreement with the preferred proponent for the Bike Share Toronto sponsorship.

Electric Vehicle Charging Equipment and Related Services Contract Award
As part of its vision to become the world's best provider of sustainable parking, bike share and last mile mobility experiences, Toronto Parking Authority is executing an ambitious rollout plan for Electric Vehicle Charging across the City of Toronto. The plan includes the installation of over 500 Electric Vehicle charging stations at Toronto Parking Authority off-street parking locations by the end of 2024 and a minimum of 50 on-street public Electric Vehicle charging stations before the end of 2023. To support the delivery and operation of Electric Vehicle charging infrastructure in 2023 and 2024, Toronto Parking Authority is seeking to enter into contracts for the purchase and related services of Electric Vehicle charging stations. These contracts will be entered into directly with Electric Vehicle charging equipment and network operators and will support timely installation and reliability of Electric Vehicle charging stations. Toronto Parking Authority leveraged its membership with Canadian-based cooperative purchasing organization Kinetic GPO to access pre-qualified Vendors of Record for Electric Vehicle charging and related services. Following a review of the master agreements and in consultation with City of Toronto Purchasing and Materials Management and Legal Services divisions, Toronto Parking Authority is recommending that Electric Vehicle charging equipment and related services contracts be awarded to all pre-qualified vendors on the roster: ChargePoint Inc. (ChargePoint) and Services FLO Inc. (Flo). ChargePoint and Flo are both recommended to be included in the Electric Vehicle Charging Equipment and Related Services Vendor of Record Agreement for a two (2) year term. Throughout the duration of the contract, Toronto Parking Authority will issue a Request for Service to acquire goods and services from the vendors listed in the Vendor of Record according to the specific requirements of each project. A secondary evaluation of the Request for Service responses will be conducted by Toronto Parking Authority with a specific vendor identified to provide goods and services for a specific project. Toronto Parking Authority recommends that the total upside limit of this contract award does not exceed $10,618,000 (excluding Harmonized Sales Tax). The funding for these contracts is included in the recent Board approved Toronto Parking Authority 2023 Operating and Capital Budgets and 2023 - 2025 Three Year Capital Plan.

As part of its vision to become the world's best provider of sustainable parking, bike share and last mile mobility experiences, Toronto Parking Authority is executing an ambitious rollout plan for Electric Vehicle Charging across the City of Toronto. To support the delivery of Electric Vehicle charging infrastructure in 2023 and 2024, Toronto Parking Authority issued a Request for Proposals on September 16, 2022, seeking to establish a Vendor of Record comprising consultant services firms able to provide engineering design and contract administration services, on an as needed basis. These services will ultimately support the implementation of 125 on-street and 125 off-street Electric Vehicle chargers (250 charging stations in total). Through a detailed review of the proposals received, Toronto Parking Authority is recommending that Stantec, CIMA Canada Inc., and WSP Canada Inc., be added to the Vendor of Record. Toronto Parking Authority is further recommending that authority be provided by Toronto Parking Authority Board of Directors to carry out work under the Vendor of Record in an amount not exceeding $7,948,498 (excluding Harmonized Sales Tax).

Parking Equipment Services Agreement with Toronto Community Housing Corporation
This report seeks Toronto Parking Authority Board of Directors authority to extend the parking equipment services provided to Toronto Community Housing Corporation (Owner or Toronto Community Housing Corporation) by Toronto Parking Authority at 48 car parks totaling 1,270 parking spaces located across the City of Toronto (refer to Appendix A - Site Location Map). Should the recommendations of this report be adopted by Toronto Parking Authority Board of Directors, the Agreement will extend Toronto Parking Authority Board's provision of parking equipment services at all 48 car parks for a term of five (5) years. The proposed Agreement with the Owner will be in accordance with the terms and conditions outlined in Confidential Attachment 1.

Contract Award - 5058-41 Garage Restoration at 9 Bedford Road (Car Park 58)
The Toronto Parking Authority is seeking to obtain board approval to complete extensive concrete repairs at Car Park 58, located at 9 Bedford Road. Subsequent contracts will be tendered for service improvements in later phases of the project development. Car Park 58 was built in 1987 and is a combined surface lot and four (4) level underground parking garage, providing approximately 399 parking spaces total. The underground parking garage is integrated with the Yorkville Royal Sonesta Hotel facing 220 Bloor Street West and shares hotel maintenance rooms residing within the car park. Pre-pandemic (2019) gross revenues were $2.8 Million, and it is consistently amongst our top five performers. October year-to-date revenues are $1.85 Million or 67percent of 2019 levels. Although Car Park 58 is one of our top-producing facilities, the current state of good repair has fallen below minimum acceptable standards. Many elements of Car Park 58 exceed their service life. These deficiencies require immediate remediation, as any delay will adversely impact other aspects of the facility (example sub-structure, etc.) Read Christofferson Jones (RJC) was retained by Toronto Parking Authority in July 2021 to perform a condition assessment of the car park, and then undertake design services. RJC's condition assessment notes that the garage is generally in poor condition with local sections of the structure exhibiting signs of distress and corrosion-related deterioration. In addition, the waterproofing systems are at the end-of-service life and should be replaced as soon as possible to limit further concrete deterioration. After a review of the condition assessment, Toronto Parking Authority directed RJC to proceed with the design to complete concrete repairs, wholesale waterproofing and asphalt, drain and sprinkler replacement and conversion to LED lighting These repairs are scheduled to start February 2023. The Request for Tender package for the Garage Restoration package (example concrete repairs) was issued for tender on October 14th, 2022, with eight (8) bids received upon tender close on November 14th, 2022. Based on the submission of a compliant bid, the bid price, ability to complete the work in the prescribed time and the conformance to tender requirements, Management is recommending that the contract of work for 5058-41 Garage Restoration at 9 Bedford Road (Car Park 58) be awarded to Complete Concrete Restoration Ltd.

Each year, pursuant to Toronto Parking Authority Policy Resolution 3-4 - Issuing of Lifetime and Annual Toronto Parking Authority Parking Passes, Board is requested to review and approve the list of Annual Parking Pass holders. The annual passes are made available to Toronto Parking Authority Board members, various management and staff who, because of their duties, require frequent access to Toronto Parking Authority facilities, including Toronto Parking Authority service providers, City Councillors, and certain City staff.

2023 Toronto Parking Authority Board of Directors Meeting Dates
In accordance with the Toronto Parking Authority Board of Directors By-law 1-2021, the Board determines the place in Toronto, day, and hour of its regular meetings and the schedule of those meetings shall be publicly available by the first meeting of the Board in each calendar year. City Council on November 23 and 24, 2022 approved the 2023 schedule of meetings for City Council and its Committees. The 2023 schedule of meetings for the Toronto Parking Authority Board of Directors has been developed to avoid dates, whenever possible, that conflict with the approved City Council schedule; and to avoid meetings on days of cultural or religious significance. The following meetings of the Toronto Parking Authority Board of Directors have been scheduled to be held virtually for 2023: Monday, February 27 at 10:30 a.m. Friday, April 21 at 10:30 a.m. Thursday, May 25 at 10:30 a.m. Tuesday, July 18 at 10:30 a.m. Wednesday, September 27 at 10:30 a.m. Thursday, November 23 at 10:30 a.m.
