Toronto Parking Authority Governance - Executive Committee Item EX1.2
City Council, on January 30 and 31, 2019, adopted Executive Committee Item EX1.2 and, among other things, has requested the new Board of Directors of Toronto Parking Authority, once appointed, to develop a governance and procedural policy which addresses: a. the governance roles and duties of Board members, the Chair, the President of Toronto Parking Authority, and staff; b. the duty of collegiality to Toronto Parking Authority Board members and staff; c. the right for Directors to dissent; d. the protection of the right for Directors to report to an Accountability Officer, provided they do so in good faith and for a valid reason; e. the Directors' roles; f. the process for Directors to seek and receive information from Management sufficient to properly fulfill their duties as Directors; g. the procedure for the approval of material transactions in a manner that is consistent with the Board's duties; h. the requirement for reporting the closings of all material transactions to the Board; and i. the required period by which all Board briefing materials must be provided to Directors in advance of a meeting and the provision for exceptional circumstances in which late materials are permitted.

Construction of Municipal Car Park 673, 2204-2212 Eglinton Avenue West - Contract Award
Design drawings and a tender package for the project were prepared by Marton & Smith Landscape Architects (MSLA) to include all technical requirements, material, and labour for the construction of Municipal Car Park 673. MSLA tendered the work to eight pre-qualified general contractors on May 3, 2019. The tender call closed on May 22, 2019 and seven bids were received and considered as listed below in the ascending order without the HST. Extension of Payment Services Agreement with Passport Parking Inc.
Toronto Parking Authority (TPA) operates a Mobile Payments for Parking (MPP) System (commonly referred to as the GreenP app) at its pay and display car parks and at on-street paid parking locations. The system has been operating since March of 2015 in the off-street locations and since October of 2016 on the street. Currently, the GreenP app accounts for approximately 54 percent of transactions and revenue in the channels where it operates and approximately 42 percent of total transactions in all TPA facilities, making it the highest-volume payment channel in our operation. The GreenP app was designed as a platform which is anticipated to be expanded to other channels, such as providing further functionality such as TPA monthly permitting program. As indicated by the usage statistics, the GreenP app has been well received by our customers due to its convenience, fast transaction time, and the ability to extend parking transactions, as well as issuing and tracking parking receipts. Passport Parking Inc. (Passport), our system provider, has provided excellent service, meeting all service level and system performance metrics with only two minor outages in four years. In addition, the vendor has been flexible and met tight timeframes for services, such as the introduction of the King Street Pilot and Eglinton Crosstown discount functionality, further supporting City initiatives. Passport is the largest provider of mobile payment parking programs in North America with approximately 900 locations, including the cities of Chicago, Boston, Montréal, and Victoria. Passport and TPA are currently working on Version 2 of the app (V2), which will add significant functionality to the already very popular GreenP app, including new payment options (Apple Pay and Android Pay) and enhanced mapping and geolocation capability. In addition to V2 of the app, Passport is providing an enhanced dashboard-based analytics tool which will allow TPA to better analyse and manage its parking systems and to know our customers which will improve the efficiency of our marketing activities. This will also improve our ability to engage with the City of Toronto's Business Improvement Areas. The GreenP app is a major component of TPA's modernization and transformation strategy. TPA is committed to offering innovative new services to its customers in order to continue to improve the customer experience and deliver top quality, efficient services through technology and support its strategic objective to be known as the preferred choice of parkers and a leader in parking. The modernization and transformation strategy is designed to ensure that TPA operates efficiently and delivers value to all stakeholders and potentially partner with other applications such as Bike Share Toronto or Waze. The system is based on a customized software as a service platform operated by Passport. Passport was the successful proponent selected through an open public procurement process undertaken in late 2013. As per the Request for Proposals (RFP) terms, the initial contract term began in March 2015 for a three-year term, with an option for two additional years in favour of TPA which TPA exercised. The current contract expires on March 31, 2020 and TPA is seeking to renew and extend upon similar terms and conditions. As per the fee proposal submitted by Passport as part of the RFP process, each initial transaction is subject to a fee to TPA of slightly under $0.10. The app allows customers to extend an initial transaction, which is subject to an additional fee of the same amount. Approximately 15 percent of transactions are extended so the average fee per fully completed transaction is about $0.11.

Toronto Parking Authority (TPA) has a need to acquire parking revenue control equipment, including software licensing and hardware to meet EuroPay/MasterCard/Visa (EMV) Interac and Payment Card Industry (PCI) compliance requirements as well as to acquire equipment needed for upcoming operational changes. TPA has been proceeding with the phased implementation of a multi-year program of upgrading the revenue control equipment in its controlled access (gated) parking facilities. The Board of Directors approved the initial plan in July of 2014, as revised in July of 2015. Overall, approximately two-thirds of the necessary upgrades are in place, including point-of-sale fee computers and lobby pay stations. The remaining phase of the planned implementation is the in-lane exit payment stations at 16 locations with a total of 31 exit lanes. In total, 11 out of 26 facilities are already fully upgraded, including the in-lane exit payment stations. This final phase of the upgrade, consisting of the acquisition of in-lane exit payment stations, associated software, licences, and support agreements, is necessary for a number of reasons: the older Orion model in-lane exit stations are at the end of their lifecycle (they have 10 to 15 years of service) and these older stations which currently employ magnetic stripe card readers cannot be upgraded to the current EMV payment card standards which the payment card brands (VISA, MasterCard, and American Express) have mandated by mid-October 2019. The upgrade will extend the ability to accept Interac payments in unattended lanes to all of our controlled access facilities. In addition, PCI Data Security Standards (PCI-DSS) requires this upgrade in order for TPA to ensure full compliance with PCI-DSS. In addition to ensuring PCI compliance, the majority of this equipment will be purchased to support modifications to car park operations which will offer an improved customer experience by adding exit lanes and/or lobby pay stations to locations to reduce time to exit and reduce cash handling by TPA staff. This report is requesting authorization to expend the funds allocated in the Approved 2019 Toronto Parking Authority Capital Budget to complete the in-lane exit terminal upgrade phase of the plan. This is a sole sourced purchase from HUB Technologies Inc. (HUB), as they are the exclusive supplier of this proprietary revenue control equipment. HUB's equipment is in place at all of TPA and TPA-operated gated parking facilities.

Toronto Parking Authority Human Resources Matters - Update

Requested the Chair, Toronto Parking Authority, to work with the Director, Strategic Recruitment, Compensation and Employment Services, City of Toronto, and the Vice President, Human Resources and Transformation, Toronto Parking Authority, to initiate a recruitment process for the position of President, Toronto Parking Authority. 2. Requested the President, Toronto Parking Authority, to acknowledge and thank the three City of Toronto staff members who served on the interim Board of Directors of Toronto Parking Authority and to recognize their service with a plaque or certificate as a memento of their contributions to Toronto Parking Authority.
