Canadian National Exhibition Association legislation provides that the Municipal Section of the Canadian National Exhibition Association Board shall include one representative named and appointed annually by the Toronto Parking Authority. The Toronto Parking Authority representative is nominated by the Toronto Parking Authority Board annually for a term of one year. In 2019, the term of the Canadian National Exhibition Association was changed to commence in the spring of each calendar year. However, with the announcement to cancel the 2020 Canadian National Exhibition due to the onset of COVID-19, the Canadian National Exhibition Association's June 2020 Annual Meeting was postponed, and as concerns around the pandemic continue, the Canadian National Exhibition Association Board of Directors have recently decided to move forward with a virtual meeting format to be scheduled before the end of 2020. As Canadian National Exhibition Association member appointments/reappointments must occur annually, and coincide with their annual meetings, the 2020/2021 term will be shortened as the next appointment/re-appointment process will coincide with the Canadian National Exhibition Association's regular spring meeting in 2021. The Canadian National Exhibition Association has requested that the Toronto Parking Authority's representative attend their virtual Annual General Meeting to be held on December 3, 2020. See Appendix A - Notice of Appointment of Representative.

New Policy Resolutions for Payment Card Industry Data Security Standard Compliance
The Payment Card Industry Data Security Standard is a set of security standards designed to ensure that all companies that accept, process, store or transmit credit card information maintain a secure environment. Toronto Parking Authority is seeking to certify as a Level 1 Merchant in order to continue working with major payment card brands. A requirement is to develop and implement policies to protect cardholder data. This report seeks the Board's approval of two new policies: - Policy Resolution 5-14: Protect Credit Cardholder Data; and - Policy Resolution 4-34: Visitor Policy.

2021 Toronto Parking Authority Parking Passes
Each year, pursuant to Toronto Parking Authority Policy Resolution 3-4 - Issuing of Life Time and Annual Toronto Parking Authority Parking Passes, the Toronto Parking Authority Board is requested to review and approve the list of Annual Parking Pass holders. The annual passes are made available to Toronto Parking Authority Board members, various management and staff who, because of their duties, require frequent access to Toronto Parking Authority facilities, including Toronto Parking Authority service providers, City Councillors, and certain City staff. In addition, the Policy sets out eligibility parameters (long service) for Toronto Parking Authority retirees qualifying for a life time parking pass. It is proposed that Policy Resolution 3-4 be amended to provide further clarity that individuals in receipt of life time parking passes must request and provide evidence of their requirement to access parking for the purpose of utilizing the life time parking pass.

Parking Management Agreement - 60 Shuter Street
Toronto Parking Authority operates an extensive inventory of over 307 off-street parking facilities containing over 40,000 spaces. A significant number of these locations are managed and operated by Toronto Parking Authority on behalf of private property owners through parking management agreements. In an effort to expand its offering of public parking in parking deficient areas of the City, Toronto Parking Authority has approached a number of landowners and developers to provide an overview of the range of parking management services that it provides to third-party landowners. Through these discussions, an opportunity has been identified to provide parking management services at a new mixed-use building being developed by Menkes 189 Church Street Inc. (Menkes) at 60 Shuter Street (the Subject Property). The purpose of this report is to seek authority from Toronto Parking Authority's Board of Directors for Toronto Parking Authority's President, to negotiate, enter into, and execute a parking management agreement with Menkes related to a 22-space below grade parking facility located at the Subject Property.
The Board of Directors of Toronto Parking Authority: 1. Authorized the President, Toronto Parking Authority to negotiate, enter into and execute a parking management agreement with Menkes Developments Inc. related to the operation of a 22-space commercial parking facility located within 60 Shuter Street in accordance with the terms and conditions as outlined in Confidential Attachment 1 to the report (November 26, 2020) from the Acting President, Toronto Parking Authority and any such other or amended terms and conditions as may be acceptable to the President and in a form satisfactory to the City Solicitor. 2. Parking Management Agreement - WDL 3/4/7 LP, 373 Front Street East (Car Park 289)
This report seeks the approval of the Board of Directors of the Toronto Parking Authority to enter into a Parking Management Agreement with WDL 3/4/7 LP (WDL or the Owner) in order to manage a 196-space surface parking lot located at 373 Front Street East (also known as Car Park 289) (the Subject Property), for a term of six (6) months, in accordance with the terms and conditions outlined in Confidential Attachment 1. Toronto Parking Authority has been operating public parking for WDL at the Subject Property for the past two (2) years and has arrangements with WDL to manage parking at two (2) other locations. Although the Subject Property will be redeveloped in the short-term, WDL has requested that Toronto Parking Authority continue to provide parking management services at this location for approximately six (6) months. The terms and conditions of the proposed agreement are generally consistent with the prior agreement save and except the term of the agreement, number of parking spaces to be managed and such necessary administrative changes resulting from the term and modifications to the layout of the parking facility, including minor modifications to the rates charged to the Owner.

At its meeting of December 19, 2018, Toronto Parking Authority (TPA or Licensor) Board of Directors authorized Toronto Parking to enter into a licence agreement (the Licence Agreement) with 1413652 Ontario Inc. operating as K.A. Car Care at Car Park 58, located at 9 Bedford Road (the Property). This Licence Agreement was later amended to change ownership of the licence to 2676417 Ontario (the Licensee or K.A. Car Care). Due to poor business performance resulting from the COVID-19 pandemic, the Licensee has proposed a relocation to Car Park 36 located at 110 Queen Street West, which also contains a car wash and hand detailing bay. Corporate Real Estate Management (CREM) and Toronto Parking Authority have completed a detailed review of the proposal from the Licensee and are recommending that the Toronto Parking Authority Board of Directors provide its concurrence with the proposed relocation of the car wash and detailing business to Car Park 36. It is further recommended that an approval be provided to direct the property transaction through the real estate approval process as described in Toronto Municipal Code, Chapter 179, Section 8.1, Toronto Parking Authority.

Costs were estimated as they are dependent on the volume of transactions paid by credit and debit cards. The contract commenced on February 1, 2017.

During Mr. Collier's 6+ year tenure at the Greater Toronto Airports Authority, he was responsible for the commercial and terminal operations of the airport including parking, ground transportation, retail, food and beverage, strategic partnerships, advertising, and customer experience. In addition, Scott and his team led the business development and relationships with its 65 airline customers and its three strategic government partners CBSA, CATSA and USCBP. Prior to joining the GTAA, Mr. Collier was Chief Operating Officer for PepsiCo Beverages Canada based in Toronto. During his 23 year tenure at PepsiCo, Mr. Collier held a number of senior commercial and operating roles across Canada, the United States and Mexico. Mr. Collier received his B.A. Honours (Economics) from Queen's University and his M.B.A. from the University of Windsor. He and his wife Caroline reside in the Town of Oakville and their two daughters live and work in the City of Toronto.

This is a report on the status of the legal action commenced by Toronto Parking Authority on January 17, 2019 against BSaR (Eglinton) Ltd. and BSaR (Eglinton) LP (both together referred to as "BSaR"), and BSaR's principals, Tarek Sobhi, and Tyler Hershberg. In the legal action, TPA is claiming damages in the amount of $7.0 million for breach of contract related to an option held by the Toronto Parking Authority to purchase the retail unit ("Retail Component") of a joint venture development at 935 Eglinton Avenue West (the "Property").
