Toronto Parking Authority Board of Directors referred Item PA25.3 to the President, Toronto Parking Authority, for further consideration and report back to the September 29, 2021 meeting of Toronto Parking Authority Board of Directors. The referral of this item was made in part to allow Toronto Parking Authority to update the proposed amendments to Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority to reflect the feedback received by Toronto Parking Authority Board of Directors at the July 29, 2021 meeting and to allow the proposed amendments to be considered together with the development of a terms of reference for an Audit and Risk Management Committee. The terms of reference for the Audit and Risk Management Committee is expected to be considered at the November 8, 2021 meeting of Toronto Parking Authority Board of Directors. This report has therefore been scheduled for consideration at the same time. Based on the feedback received by Toronto Parking Authority Board of Directors, Toronto Parking Authority is proposing further amendments to the proposed Delegation of Authority to include a term limit not exceeding five (5) years on the Presidential authorities requested for commercial management agreements; adjust the requested authority for amendments to contracts issued at a value of $500,000 or less to the greater of 20 percent or $500,000 in total commitments; and remove the authorities requested to initiate legal action and to settle actual or potential legal disputes.

Toronto Parking Authority has established a range of Board-enacted Policies which form the guiding principles and procedures by which it operates. The Occupational Health and Safety Act requires that two policies relating to the Act be reviewed on an annual basis. These policies were most recently reviewed and affirmed by the Board at its meeting of November 3, 2020. This report confirms that Toronto Parking Authority's Joint Health and Safety Committee, at its August 11, 2021 meeting, conducted its annual review as per requirements under the Act and concurred with the policies, with no recommended changes to the following Toronto Parking Authority policy resolutions, namely: Policy Resolution 4-19: Occupational Health and Safety Policy; and Policy Resolution 4-22: Workplace Harassment and Violence Policy.

Each year, pursuant to Toronto Parking Authority Policy Resolution 3-4 - Issuing of Life Time and Annual Toronto Parking Authority Parking Passes, Toronto Parking Authority Board is requested to review and approve the List of Annual Parking Pass holders. The annual passes are made available to Toronto Parking Authority Board members, various management and staff who, because of their duties, require frequent access to Toronto Parking Authority facilities, including Toronto Parking Authority service providers, City Councillors, and certain City staff.

SAP Enterprise Resource Planning Implementation Status Update
This report provides an update of Toronto Parking Authority's SAP Enterprise Resource Planning software implementation strategy. Phase One implementation is substantially complete with all basic functionality implemented, including all basic finance, purchasing, asset maintenance (work orders) and material management (inventory) functionality. The remaining work for this phase is primarily the integration of the system via establishment of new business processes and standard operating procedures for daily operations. Phase Two implementation is underway with the Human Resources Functionality and final Business Analytics component to commence in December 2021. Total SAP costs for the Phase Two implementation of the programme remain on budget. As project implementation nears completion, focus will shift to operationalizing standardized business processes, accelerating staff literacy, driving productivity and reducing enterprise risk.

Toronto Parking Authority's current Fire and Life Safety contract with Onyx-Fire Protection expires on November 30, 2021. In May 2021, the City of Toronto issued a city-wide Request For Proposals for services for various City divisions and agencies, including the thirty-two (32) Toronto Parking Authority facilities. These Fire and Life Safety services are required to meet the Ontario Fire Protection and Prevention Act 997, the Ontario Fire Code - O. Reg 213/07. Through the City's supervised competitive Request For Proposal processes, Eurotech Safety Inc., was selected as the winning proponent with a bid of $447,070, for inspection, testing, maintenance, and repairs outside of maintenance deficiencies. The contact will be managed by City of Toronto Fire and Life Safety Program Office as directed by the 2018 Auditor General Report.

The purpose of this paper is to request Board approval for the awarding of a new five-year security contract to Garda Canada. As background, in March 2018 (PA8.4), City of Toronto Corporate Security commenced a security review of Toronto Parking Authority's garages with a particular focus on those facilities experiencing higher frequencies of reported incidents. This assessment identified a need to invest in a more robust, multi-layered security platform including a step change increase in the use of professional security personnel, facility enhancements and the leveraging of improved technologies. The first element of the programme focused on the deployment of professional security personnel. At its meeting on December 12, 2019 (PA11.6), the Board granted management the authority to award a two-year contract to Garda Canada for the security of its off-street facilities for the period between January 1, 2020-December 6, 2021 for an amount not to exceed $4,074,260. However, throughout the course of 2020 and 2021, there has been an unprecedented increase in the number of cases of vandalism, drug use, fire alarms, biologic contamination, car damage and customer/staff harassment across our facilities- particularly in the downtown core (See Table 3). These conditions have driven a marked increase in customer complaints over the past eighteen (18) months; moreover, Toronto Parking Authority front line staff have expressed similar concerns about their health and safety. To this end, at its meeting on April 6, 2021 (PA22.4), the Board granted authority to management to increase the value of the contract by $1,100,000 on terms and conditions consistent with the current contract. Concurrently, at its Board meeting on July 19, 2021 (PA25.4) the Board granted management authorization to enter an agreement with Met-Scan Canada for the supply of closed-circuit television cameras, emergency intercoms and door access readers at nine (9) of its facilities for an amount not to exceed $4,696,689. This capital will be deployed over the next three (3) years and will enhance the health and safety of our staff and customers while reducing enterprise risk. In summary, on August 3, 2021, Management, in collaboration with City of Toronto Corporate Security, issued a Request for Proposals to secure formal proposals for a new security contract to support the Toronto Parking Authority's mandate of consistently providing safe and secure parking facilities for its staff, customers and residents.

Toronto Parking Authority is carrying out modifications to operations at three (3) of its downtown car parks (Car Park 26 located at 33 Queen Street East, Car Park 36 located at 110 Queen Street West and Car Park 125 located at 323 Richmond Street East). Planned improvements include the replacement of in-lane attendant booths with customer service booths, traffic flow adjustments, installation of pay on foot machines and relocating payment equipment to promote social distancing. Construction of the project is being delivered by Canada Construction Limited, while Our Cool Blue Architects has also been retained to provide engineering design, tender preparation and contract administration services. As a result of changes to the scope and schedule to the construction project, which were driven by delays associated with the Covid-19 pandemic and the discovery of hazardous materials at Car Park 36, amendments to both the construction contract with Canada Construction Limited and the consultant services contract with Our Cool Blue Architects are required. An increase in the value of Purchase Order Number 38191 with Our Cool Blue Architects from $92,939 to $134,814 is being requested due to the extended construction schedule needed to facilitate the asbestos removal at Car Park 36. The additional scope also includes further design effort needed to restage the asbestos removal work to reflect sequencing, as well as, the increased work areas needed to allow for customers to social distance while using the new pay equipment being installed. In addition, an increase in the value of the construction contract (Contract TPA5400-245) with Canada Construction Ltd., from $1,576,110 to $1,679,459, excluding Harmonized Sales Tax, is being requested to accommodate upgrades to life safety systems (emergency lighting and sprinklers) that were identified as requiring replacement after the removal of hazardous materials from the work site at Car Park 36, as well as, the additional effort related to the complexity of staging the work while hazardous materials were being removed.

Toronto Parking Authority is undertaking upgrades to the electrical switchboard equipment at Car Park 29 (CP29), located at 75 Holly Street and Car Park 43 (CP43), located at 2 Church Street. The main switchboard and electrical distribution equipment at both of car parks are over 40 years old and are past their service life, making these upgrades necessary. Construction of the project is being carried out by Beckett Electrical Inc., with consultant services, including engineering design, tender preparation and contract administration, provided by AECOM Canada Ltd., (AECOM). Purchase Order Number 37520 was issued to AECOM on July 21, 2017 in the amount of $34,000, including $2,350 for disbursements and a further $4,000 in contingency, excluding Harmonized Sales Tax. Following changes to the scope of work at the engineering design stage, the total value of the contract with AECOM was increased by Toronto Parking Authority on November 16, 2018 from $34,000 to $55,000, including $4,500 as contingency, excluding Harmonized Sales Tax. The amendment was captured in Purchase Order 38014. This amendment was completed outside of the authorities delegated to Toronto Parking Authority under Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority. Following the commencement of construction, Toronto Parking Authority was provided with change orders by AECOM for unforeseen changes that occurred during the execution of the project by Beckett Electrical Inc., as well as additional consulting effort for coordination and contract administration due to the extended scope and project duration resulting from the Covid-19 pandemic. Additional scope items were also requested by Toronto Parking Authority to address the condition of emergency generators at both Car Park 29 and Car Park 43, which were found to be in poor condition. The additional costs associated with these changes amounts to $117,600. A contingency of $15,400 is also being requested, which will increase the total value of the purchase order to $133,000, excluding Harmonized Sales Tax. Under Toronto Parking Authority Policy Resolution 5-10: Delegation of Authority, changes to a contract that exceed 20 percent of the original contract value require the authority of Toronto Parking Authority Board of Directors. Authority to amend the contract with AECOM is therefore being requested.

Toronto Parking Authority seeks to retain Toronto Hydro-Electric System Limited to deploy and operate thirty-two electric vehicle chargers at Toronto Parking Authority-operated facilities. Toronto Parking Authority is requesting authority to enter into two (2) agreements, one (1) for the retention of Toronto Hydro-Electric System Limited with respect to nine (9) Electric Vehicle chargers that will replace the existing Electric Vehicle charging equipment that Toronto Parking Authority has in place at three (3) Toronto Parking Authority facilities; and the other for Toronto Hydro-Electric System Limited 's retention with respect to twenty-three (23) Electric Vehicle charges at other locations within Toronto Parking Authority facilities. The purpose of this report is to provide Toronto Parking Authority Board of Directors with an update on the status of Toronto Parking Authority's Electric Vehicle Charging Pilot Project and to seek authority to include new and amended terms and conditions in the agreements needed to enable Toronto Parking Authority 's retention of Toronto Hydro-Electric System Limited to provide the necessary goods and services to install the Electric Vehicle charging stations and operate for a three (3)-year period, the Electric Vehicle charging stations as a Toronto Parking Authority service provider. Key changes to the terms and conditions include the removal of a licence for Toronto Hydro-Electric System Limited to access the Toronto Parking Authority facilities to operate the Electric Vehicle charging infrastructure as an independent amenity operated by a third-party, along with the restructuring of the agreement to retain Toronto Hydro-Electric System Limited as a service provider to operate the Electric Vehicle charging infrastructure; and the incorporation of actual installation costs as the basis for calculating Toronto Parking Authority's option to purchase the electric vehicle charging units and/or related infrastructure at the end of the term. Should Toronto Parking Authority Board of Directors adopt the recommendations of this report, Toronto Parking Authority will work with Toronto Hydro-Electric System Limited to finalize and execute the necessary agreements before the end of 2021 with installation and operation of the thirty-two chargers expected in 2022.

The purpose of this report is to provide the Board of Directors, Toronto Parking Authority, with the details of the tentative agreement reached between the Toronto Parking Authority and the Toronto Civic Employees' Union, Toronto Civic Employees Union Local 416 - Canadian Union of public Employees Union Loca; 79 (TCEU, Local 416 - CUPE) in order to approve the negotiated Memorandum of Settlement.

Audit and Risk Management Committee of the Board
City Council, at its April 7 and 8, 2021 meeting, adopted a Procedures By-law for the Board of Directors of Toronto Parking Authority, as recommended by the Board. Prior to this, the Board had been operating under Chapter 27, Council Procedures, as they apply to Council Committees. With the adoption of a Procedures By-law, the Board of Directors of Toronto Parking Authority gained the ability to establish committees.
The Board of Directors of Toronto Parking Authority: 1. Established the following Committee of the Board: a. Audit and Risk Management Committee. 2. Adopted the Audit and Risk Management Committee's mandate and terms of reference, as set out in Attachment 1 to the letter (November 8, 2021) from the Chair, Toronto Parking Authority. 3. Established the composition of the Audit and Risk Management Committee at 3 members including the Chair thereof, for terms of 1 year each. 4. Appointed the following members to the Audit and Risk Management Committee: Jeffrey Steiner, as Chair Zeshan Khan Namby Vithiananthan
